Sanmina is a diversified contract electronics manufacturer that builds complex products — everything from data-center hardware and networking gear to industrial, medical, defense and aerospace equipment — on behalf of the companies that design them. Its business has shifted over the past decade toward higher-value, lower-volume programs (industrial, defense/aerospace, medical) and away from lower-margin consumer/communications work, while a sustained share buyback program has cut the share count by nearly 30% since 2016. On October 27, 2025, Sanmina closed its acquisition of ZT Systems' data-center infrastructure manufacturing business from AMD for up to $1.6 billion, funded mostly with new debt. This gives Sanmina a much larger footprint building AI server racks and other data-center hardware for hyperscale computing customers — a fast-growing but currently thinner-margin business, and one that has meaningfully increased the company's leverage. Because this transaction closed after the most recent full fiscal year of results we have, it is not part of our starting cash-flow estimate, but it is central to how we think about where the business goes from here. We size the company's normalized annual cash-generating power — after real, cash costs including stock-based compensation and the capital spending needed just to stay in place (as opposed to spending to grow) — at roughly $4.64 per share, based on the last five fiscal years (2021–2025). That window spans both strong years and a soft one (fiscal 2024, when a broad electronics-industry inventory correction cut revenue), so it isn't simply picking the top of a cycle. Earlier years (2016–2020) reflect a materially different, lower-margin business mix and a much larger share count, and are less representative of the business today. One accounting note: in fiscal 2025, Sanmina changed how it accounts for customer prepayments on raw materials, shifting roughly $660 million from an offset against inventory to a "customer advances" liability. That, combined with a genuine inventory build to support higher volumes, moved a large amount of cash through the operating cash flow statement that year. We exclude working-capital swings like this from our estimate of normalized cash generation, so this reclassification does not distort the figure we use. Our base case assumes the ZT Systems integration goes reasonably well: cash flow per share grows at a mid-to-high single-digit pace for the next several years as the AI/data-center manufacturing business scales, before settling into modest, low-single-digit growth as the combined company matures. We assume debt paydown takes priority over share buybacks for a few years. On these assumptions, we estimate the shares are worth roughly $123. Our bull case assumes Sanmina becomes a go-to manufacturing partner for AI infrastructure — riding sustained hyperscaler and AI-chip customer capital spending, with the ZT Systems business scaling faster and margins holding up better than expected as Sanmina's existing capabilities (printed circuit boards, mechanical assemblies, optics) get pulled into the new business. Growth runs at a low-double-digit pace for five years before moderating, and once leverage comes down, buybacks resume. That points to a value of roughly $189. Our bear case reflects the real risk that comes with a large, debt-funded acquisition: if AI-related capital spending cools, if the new business proves costly to integrate, or if Sanmina's customer base in this area turns out to be concentrated among a handful of customers who can walk away, cash flow per share could fall sharply — by an amount similar to the roughly one-third, one-year drop the company experienced in fiscal 2018 (when a large one-time tax charge and a goodwill write-down hit results) — and stay depressed for a few years while the added debt is worked down, with little room for the growth or buybacks that lift the other cases. That scenario points to a value of roughly $49. Putting these together, the margin-of-safety price is around $71, meaningfully below our base-case estimate, reflecting how much of the outcome now depends on how well a large, recently closed acquisition is integrated. A couple of things we couldn't fully pin down from the filings: the exact split of fiscal 2025's working-capital swing between the customer-prepayment reclassification and organic inventory growth is described qualitatively rather than broken out with precision, and the amount of goodwill and acquired intangibles Sanmina will end up recording for the ZT Systems deal — which will affect reported (though not cash) earnings in future years — was not yet finalized as of the most recent filing available.
