Business condition attached to the margin of safety Cash earnings before interest rise enough to cover roughly $450 million of annual interest with room to spare, shown as positive owner earnings (operating cash flow less working-capital swings, stock compensation and maintenance capex) for two consecutive full years, with the 2029-2030 debt maturities refinanced or reduced.
Sabre runs one of the world's three large airline-booking networks (a global distribution system, or GDS), taking a fee for each air, hotel, car and other travel booking that travel agencies make through it, and sells reservation and IT software to airlines. In 2025 it sold its Hospitality Solutions business, so what remains is the travel-booking network and airline IT. 2025 revenue was $2.77 billion, up 1%, with distribution revenue up 2% and airline IT revenue down 3%. Operating income rose to $295 million from $242 million in 2024 and $32 million in 2023, and the first half of 2026 was ahead of the first half of 2025 ($209 million versus $181 million), so the operations are improving. The problem is the debt. Sabre owes about $4.5 billion in face value, mostly secured notes and term loans at roughly 10% to 11%. Net interest expense was $448 million in 2025 and $453 million in 2024, against operating income of $295 million and $242 million. Operating cash flow was $(109) million in 2025 (this includes roughly $200 million of interest that had been added to loan balances in earlier years and was paid in cash when the 2028 term loan was refinanced in June 2025) and $70 million in 2024 (which was helped by $118 million of interest deferred rather than paid). We measure earnings as operating cash flow, less swings in working capital, less stock compensation, less the capital spending needed to keep the business running (about $80 million a year, mostly internally developed software). On that basis, per-share earnings for the business as it now exists were about $(0.61) in 2023, $(0.05) in 2024 and $(0.64) in 2025. Earlier years include the divested hotel-software unit and the pandemic collapse, so we did not use them. The 2023-2025 median is negative, and 2023 was flattered by a $150 million working-capital inflow that we removed. Our estimate of cash earnings before interest is about $300 to $350 million a year. Taking off interest of roughly $450 million leaves a shortfall of about $100 to $150 million a year, before any repayment of debt. Sabre has about $910 million of cash, which covers that shortfall for several years and is why we see no immediate liquidity problem, but we do not add cash to the valuation because the debt it was raised against is not subtracted either. The main pressure points are $150 million of exchangeable notes due August 2026, $248 million of principal due within a year, and a wall of about $3 billion of debt maturing 2029 to 2030. Bear case: the business earns what it did in 2025, interest stays near $450 million, and the annual shortfall continues until the debt has to be refinanced in 2029-2030 on terms that are unlikely to be better. On these cash flows the company appears to owe more than the business is worth, by roughly $400 to $550 million, or about $1 to $1.40 per share. Because shareholder liability is limited to the shares themselves, we value the shares at $0. Base case: we credit only what has already happened. The first-half 2026 operating improvement is about one and a half quarters of evidence for one year, and we do not extend it, because the cost cuts behind the 2025 improvement are largely done and 2025 revenue grew only 1%. On that basis the cash shortfall continues, and the shares are worth $0. We left out any recovery in airline IT revenue (it fell 3% in 2025) and any margin expansion, since neither is contracted or shown over several years. Bull case: operating income keeps growing about $45 million a year for four more years, in line with the roughly $47 million gain in 2025 and the first half of 2026 pace, then holds flat. Cash earnings before interest reach about $510 million against interest near $450 million, giving owner earnings of about $60 million a year from 2030 after three years of shortfall. We set this to about $1.50 per share. It requires the debt to be refinanced at similar rates, which is not assured. We would change this view if operating income clearly outruns interest for a sustained period, or if debt is reduced. It would be too optimistic if bookings volumes fall or the 2029-2030 refinancing comes at higher rates. Items we could not fully reconcile: the 2023 owner-earnings figure uses a simple treatment of growth capital spending because comparable prior-year revenue was not available.
