Business condition attached to the margin of safety Royalty Management turns its 9.9% stake in Ferrox Holdings (carried at about $9.6 million) into cash or a verifiable market value, through a sale, a cash distribution or a public listing that values the stake near its carrying amount.
WHAT THE BUSINESS IS. Royalty Management Holding came out of a blank-check company that merged with Royalty Management Corporation in October 2023. It is a small holding company controlled by people linked to American Resources Corporation. Its only meaningful profit comes from RMC Environmental Services, which runs a clean-fill landfill in Hamilton County, Indiana, and is paid for each load dumped there or taken out. The company also earns about $90,000 a year in rent, a $5,000-a-month fee for managing a power account at a Perry County, Kentucky coal complex, and small coal royalties. Most of its $13.9 million of book equity is not in these businesses. It sits in a $9.6 million 9.9% stake in Ferrox Holdings, a private iron, vanadium, titanium and phosphate miner in Limpopo, South Africa (bought in December 2022 for 627,806 of the company's own shares), $1.43 million of unsecured convertible loans to Heart Water, Advanced Magnetic Lab and Ferrox, and $0.26 million of loans to coal businesses tied to its affiliates. WHAT IT EARNS. We measure the cash the business produces for its owners: operating cash flow with the timing effects of working capital stripped out, and with share-based pay and the upkeep spending on royalty assets counted as costs. On that basis the company lost about $758,000 in 2023 and $311,000 in 2024, and came out close to break-even (minus $27,000, or less than a cent a share) in 2025. Revenue jumped from $0.81 million to $4.95 million in 2025 because of a new services contract that started in February 2025. That contract is nearly pass-through: environmental-services gross profit rose only from $664,000 to $705,000. The landfill makes about $0.4-0.5 million a year after its own costs, which is not quite enough to cover roughly $0.64 million of corporate overhead. The 2025 break-even figure also counts $131,000 of interest the company accrued on its loans but did not receive. Uncollected interest has grown to $482,000 by June 2026. Counting only interest actually received, the business runs at about minus $158,000 a year. The first half of 2026 is tracking somewhat worse: gross profit fell to $362,000 on $3.47 million of revenue, and professional fees rose. Share-based pay, which was $1.6 million in 2024 and $0.27 million in 2025, has not recurred so far in 2026. ACCOUNTING JUDGEMENTS. We used 2025 as the level for the current business because the new contract changed its shape in February 2025. For 2023 we counted royalty-asset purchases as capital spending, splitting out the part tied to revenue growth. We counted accrued interest only when there is evidence it will be collected. The company reported no cash interest paid, and interest expense is now tiny. Its only borrowing at June 30, 2026 was a $167,270 convertible note (convertible at $6.50) plus $4,792 of accrued interest, which we subtract in every case. The $0.28 million of cash is needed to run the business, since payables of $1.33 million roughly match receivables of $1.37 million. THE CASES (all discounted at 6%). Base case (about -$0.004 a share): the landfill arrangement is renewed when its first five-year term ends in 2027. The land is leased from Land Resources & Royalties, which is run by the company's CEO, so both sides of the renewal are under the same control. The business keeps losing about $158,000 a year in cash for ten years, worth about -$1.16 million today. Heart Water ($750,000, due October 2028) and Ferrox ($250,000) repay their loans with interest, worth about $1.27 million today. Advanced Magnetic Lab and the coal-affiliate loans are not repaid. We have evidence they are struggling: Advanced Magnetic Lab's notes were pushed out to March 2027, the T.R. Mining notes that matured in December 2025 were still unpaid in June 2026, and the coal notes were created from fees those companies could not pay. The business is worth about $0.11 million before debt, owes $0.17 million, and is worth about -$0.06 million to shareholders. In short, nothing is left for the common shares. Bear case (about -$0.01 a share): the landfill arrangement lapses in 2027. The lease payment schedule and the intangible-asset amortization both show the initial term ending then. Corporate costs would then run well ahead of the remaining rent and fee income, so the operations are worth nothing to an owner who would close them rather than fund losses. None of the loans are recovered. The business is worth about zero, owes $0.17 million, and shareholders are about $0.17 million, or one cent a share, under water. Bull case (about $0.19 a share): the landfill is renewed, the share-based pay does not come back so the operations bring in about $114,000 a year in cash, and every loan is repaid with all accrued interest by about 2028 (roughly $2.45 million, worth $2.18 million today). The business is worth about $3.0 million, owes $0.17 million, and leaves about $2.85 million for shareholders. WHAT WE LEFT OUT AND WHY. We gave no value to the Ferrox stake in any case. It pays nothing, has no market price, and its $9.6 million carrying value rests only on a 2022 swap for the company's own then-private shares. If it were ever turned into cash near that value, it would add about $0.63 a share, far more than everything else combined. The stock is therefore mainly a bet on Ferrox. We also gave no value to the early-stage royalties (ReElement platinum-group-metals technology, Heliponix seed pods, Advanced Magnetic Lab products, coal permits) because none has produced revenue, or to the plan to host digital-currency mining at the Perry County power site, which has not started. We credited no growth in any case: the 2025 revenue jump added almost no profit. The quarterly dividend of $0.0025 a share (about $150,000 a year) is being paid while the business does not cover its costs in cash, so it is not evidence of earning power. WHAT WOULD MAKE THIS WRONG. Ferrox paying cash or being valued by a sale or listing; the landfill producing materially more profit; or corporate overhead being cut enough for the business to cover its costs. On the downside, losing the landfill arrangement in 2027 would leave a holding company that loses money every year.
