Transocean rents deepwater and harsh-environment drilling rigs (ultra-deepwater floaters and North Sea-type semisubmersibles) to oil companies under day-rate contracts. It carries about $5.7 billion of debt at year-end 2025, so the shares are a leveraged bet on rig day rates and utilization. How we measure earnings. We start from cash from operations, remove swings in working capital (mainly deferred contract revenue and receivables), subtract stock compensation as a real cost, and subtract only the maintenance portion of capital spending. On that basis owner earnings per share were roughly: 2016 $0.92, 2017 $1.37, 2018 $0.78, 2019 -$0.19, 2020 $0.78, 2021 $0.59, 2022 -$0.36, 2023 -$0.37, 2024 $0.51, 2025 $0.90. The business changed after the 2018 Ocean Rig acquisition and the share count roughly doubled since, so we use 2019-2025, a full down-and-up cycle, and take the median: about $0.51 per share. The 2022-2023 losses reflect heavy rig spending in a weak-earnings stretch; 2025 looks strong partly because capital spending fell to just $123 million, which we do not treat as sustainable. Owner earnings rose about 77% in 2025, but we assume no such growth: the contract backlog fell 28% to $6.29 billion at year-end 2025 ($6.06 billion by February 2026). Base case (about $3.40 per share). $0.51 per share holds through 2026-2027, when most of the fleet is under contract (only 36% of ultra-deepwater and 5% of harsh-environment days are uncommitted in 2026, rising to 52% and 45% in 2027). We then step down to $0.40 in 2028 and $0.30 through 2035, since uncommitted time reaches 82% (ultra-deepwater) and 97% (harsh) in 2028 and nothing signed covers it, then fade to zero over the following decade as the existing rigs age. We credit no growth: no new rigs, market expansion or share gains are secured. Bear case (about $0.20). Rigs are not re-contracted as backlog rolls off, and interest on $5.7 billion of debt (about $458 million due within a year) absorbs cash flow. Earnings fall to about $0.35 in 2026, $0.10 in 2027, and nothing after; the record of negative years in 2019, 2022 and 2023 shows this is buildable. Bull case (about $6.90). Owner earnings stay near the 2025 level of $0.90 through 2028, then $0.65 through 2035 as the company re-contracts rigs at rates like those in its current backlog, with harsh-environment demand in Norway remaining strong, then fade over ten years. Other points. Transocean agreed on February 9, 2026 to acquire Valaris for shares (15.235 Transocean shares per Valaris share). This is not completed in the filings we used, is not valued here, and would add shares and rigs; the result could differ meaningfully per share. Our working-capital adjustment relies on the individual tagged cash-flow lines and could not be fully tied to net income; deferred contract revenue and costs make this line noisy. Customer concentration is high: Petrobras, Equinor, BP, Shell, Chevron and Woodside make up about 85% of backlog. The value would be wrong on the upside if day rates strengthen materially beyond current contracts, and on the downside if customers cancel or renegotiate contracts. Given leverage and cyclicality, the margin-of-safety price is set at a large discount to the base value, about 50%.
