What the company is: two public golf clubs in Kissimmee, Florida, near Orlando. Kissimmee Bay Country Club (about 51,000 rounds played in 2025) and Remington Golf Club (about 23,000 rounds) were bought in 2014. Revenue comes from green fees, memberships, food and beverage and events. It is a small, seasonal business: in 2025 the winter half of the year brought in about $1.9M of the $3.0M annual revenue. Revenue was $3.0M in 2022, $3.6M in 2023, $3.3M in 2024 and $3.0M in 2025, and in the first half of 2026 it was $2.2M against $1.9M a year earlier. What changed in 2025: the company listed on Nasdaq in February 2025 (net IPO proceeds $10.65M) and raised about $23.5M more in a July 2025 private placement of shares, pre-funded warrants and two series of warrants. Before listing, the golf clubs generated modest owner earnings: about $0.31M in 2022, $0.47M in 2023 and a small loss of $0.11M in 2024 (after operating cash flow, working-capital swings and maintenance spending). As a listed company the picture is different: in 2025 the company lost $3.7M, operating cash flow was negative $2.0M, it spent $1.9M on stock-based pay and $1.07M on capital projects, and owner earnings were about negative $4.5M. Owner earnings for 2025 are also distorted by a per-share count that jumped during the year. In the first half of 2026 the operating loss was $2.2M, of which $1.5M was stock-based pay, so the cash operating loss was roughly $0.7M in the seasonally strongest half; the weaker second half of 2025 lost far more. We count stock-based pay as a real cost, since it dilutes owners. What the shares are backed by: no borrowings are reported. At June 30, 2026 the company held $22.2M of cash plus $20.5M of short-term investments, which the June 2026 quarterly data show includes a $20.0M note investment made in the first half of 2026 with about $0.5M accrued interest. Total liabilities were $1.45M, mostly payables and lease obligations that already flow through operating cash flow. We count the cash and the note at face value, about $42.7M in total. We could not confirm from the annual report who owes the $20.0M note, so its collectability rests on that carrying value. Interest earned on this cash is left out of the business's earnings, since the cash is valued separately. Share count: we use about 50.0M shares, meaning common shares plus pre-funded warrants that cost almost nothing to exercise (about 26.9M common shares at June 30, 2026 and 49.9M weighted diluted shares in the second quarter). In addition, warrants issued in the July 2025 placement (29.9M exercisable at $1.00, 29.9M exercisable at $1.25, as originally issued, of which some have since been exercised) and 2.4M placement-agent warrants at $1.00 could add shares. At the values below, all are out of the money, so they are not counted; if the shares were worth more than $1.25 they would add shares and cash. The pending merger: on March 8, 2026 the company agreed to merge with Autonomous Power Corporation. Its holders receive shares at a set exchange ratio plus up to 50M earn-out shares if performance milestones are met; five of the combined board's directors would be chosen by the target and its Andrew Fox would become CEO and chair. A $9.0M private placement at $3.00 a share was a closing condition, and the deal needs a registration statement, both companies' shareholder approvals and Nasdaq approval, with a termination date of December 31, 2026. Cash-flow data through June 2026 show $8.1M of new stock proceeds and $5.6M from warrant exercises. The founders also stepped down as CEO and chair in January 2026. We give the merger no value in any case: the filing does not disclose the target's earnings, contracts or the exchange ratio, so nothing about it can be evidenced. It is also a real risk to current holders, who would be diluted and whose cash would be put to work in a business we cannot assess. Base case, about $0.36 a share: the golf clubs keep earning what they earned before listing (about $0.35M a year of owner earnings, the median of 2022 to 2024), but the costs of being a listed company carry on, so the business as a whole loses about $2.0M a year in cash operating terms. That is consistent with 2025's loss of about $2.2M before stock pay and interest income. Add maintenance spending of $0.15M (2022 to 2024 averaged $0.16M; 2025's $1.07M was a one-off renovation year) and stock-based pay of $1.5M (2025: $1.9M, first half of 2026: $1.5M), for a business cash flow of about negative $3.65M a year. Over ten years at 6% that is worth negative $26.9M. After year ten only the golf clubs' $0.2M a year of earnings is credited, worth $1.9M today. The business is worth about negative $25.0M, the company owes no debt but holds $42.7M of cash and notes, and the difference is roughly $17.7M, or about $0.36 a share. No growth is credited: golf revenue fell in 2024 and 2025, and one strong half-year is not a track record. Bear case, about $0.12 a share: revenue falls again as it did in 2024 (down 7%) and 2025 (down 10%), so the clubs earn nothing; costs stay at about $2.35M a year; stock pay runs at $2.5M (the first half of 2026 annualizes to more than $3M); maintenance spending is $0.15M. The business is worth about negative $36.8M, the company owes no debt but holds $42.7M, leaving about $5.9M, or $0.12 a share. This case has nothing left of the clubs' value after year ten. Bull case, about $0.48 a share: the clubs return to their 2023 earning power, helped by the 12.8% first-half 2026 revenue increase, with about $0.6M of owner earnings a year; costs stay at $2.35M; stock pay falls to $1.2M as the 2025 option grants roll off. The business is worth about negative $18.6M; with $42.7M of cash and notes the difference is about $24.1M, or $0.48 a share. We did not credit a lower cost base, land value (the filings give no appraisal) or any value from the merger, since none has evidence behind it yet. What would make this wrong: the cash pile is the main asset and the merger the main unknown. If the note is fully collectible, costs are cut quickly, or the merged company produces real earnings, value would be higher than any case here. If the merger fails, the $9.0M placement proves refundable or the note is impaired, it would be lower. The cases are cash-burn stories because ten straight quarters of cost data do not exist yet, and public-company costs are already visible in the 2025 filing.

Chart analysis
A chartist would see a very young listing with almost no price history: the shares began trading on the Nasdaq Capital Market on February 13, 2025, so there is no multi-year trend, no established long-term support or resistance, and no meaningful moving-average history to lean on. The filings show the stock closed at $3.15 on December 31, 2025, and a private placement was priced at $3.00 per share in March 2026, so the shares appear to have spent recent months in the low-single-dollar range after the mid-2025 financing, which would read as a range-bound or consolidating stock near a recent financing price. With a public float of only about $27 million held by non-affiliates at year-end 2025, a chartist would expect gaps, sharp moves and unreliable breakout signals, and would treat any pattern as low-confidence until several more quarters of price data exist. The pending merger vote and warrant exercises are events around which the price could move sharply.
