Procaccianti Hotel REIT owns five select-service hotels with 559 rooms in four states: Springhill Suites Wilmington (North Carolina), Staybridge Suites St. Petersburg (Florida), Hotel Indigo Traverse City and Cherry Tree Inn & Suites (both Traverse City, Michigan) and Hilton Garden Inn Providence (Rhode Island). It is an externally managed company; its 2025 annual report states that no public market exists for its shares and that it has no current plans to list them, so shares are not freely tradable. The company owns 51% of the Wilmington and St. Petersburg hotels; outside investors own the other 49%, which is why roughly 15% of the cash the company distributes goes to minority holders and why we count only about 85% of the hotels' earnings as belonging to common shareholders. Revenue was $32.8 million in 2025 (2024: $31.9 million), almost all from rooms, plus food and beverage and parking and similar items. What we measure. We take cash from operations, remove the swings from receivables, payables and prepaid items, and subtract the cost of keeping the hotels in shape. The filings show no stock-based compensation. Capital improvements were $1.36 million in 2025; because revenue has moved little, nearly all of it is treated as upkeep. Per share, on about 6.0 million shares and after the minority holders' share, this earning power was $0.82 in 2022, $0.70 in 2023, $0.71 in 2024 and $0.67 in 2025. 2022 was the strongest post-pandemic year, with a $2.6 million capital program; the median of 2023 to 2025 is $0.70, which we treat as the level the hotels have demonstrated. Earlier years reflect a portfolio still being assembled and the pandemic, so they are not used. In 2025, owner earnings (before the minority split) fell 5.8% from 2024; we assume further decline in year one, not a rebound. What changed recently. In the first half of 2026 revenue was $14.05 million versus $15.02 million a year earlier (down 6.4%), operating income was $1.34 million versus $2.21 million, interest expense rose to $2.05 million from $1.91 million, and the company reported a net loss of $0.82 million versus net income of $0.48 million. After stripping out working-capital swings, cash from operations in the half was about $1.16 million against about $2.63 million. The decline showed up in both quarters (operating income down $0.53 million in the first quarter and $0.34 million in the second). Part of the 2025 strength also looks non-repeatable: the Providence hotel's room revenue rose 12.1% in 2025, and the company attributes the occupancy gain to a strike by unionized hospital employees nearby. We could not read the quarterly report's narrative, so the cause of the 2026 slowdown is not reconciled. Debt. Mortgage debt was $67.3 million at year-end 2025, with $9.06 million due in 2026 (the Cherry Tree Inn note matures November 23, 2026), $0.62 million in 2027, $0.99 million in 2028, $38.3 million in 2029 and $18.4 million after that. The company held $10.9 million of cash and restricted cash at year-end. Interest is already deducted in our earnings figure, so debt is not subtracted again; its risk is reflected in the bear case. Bear case, $5.22 per share. Owner earnings stay at about $0.46 a year for three years, about what the first half of 2026 implies, then fall to $0.36 in 2029 when the $38.3 million of loans due that year is refinanced at a rate we assume is about 2 percentage points higher (about $0.11 per share a year; recent refinancings were done at 6.10% and 7.025%). Earnings then continue at $0.36 through year 30. Base case, $7.57 per share. Owner earnings settle at $0.55 a year, slightly above the first-half 2026 run rate because the second quarter gap narrowed, and below the $0.70 three-year median. They stay flat for 30 years. We credit no growth: hotel demand recovery, new acquisitions or rate gains are not locked in or backed by a repeatable process. Nothing is credited after year 30 because we cannot identify franchise or management terms that run that far. Bull case, $9.64 per share. Earnings return to $0.70, the median of 2023 to 2025, and hold for 30 years. This is a return to a level already achieved, not growth. Value is $5.22 to $9.64, with $7.57 as the central estimate. Given the leverage, a small non-traded company, falling first-half results and limited ability to sell shares, the margin-of-safety price is $3.75, about half the base value and about 28% under the bear case. This would be wrong on the upside if the 2026 slowdown reverses quickly; it would be wrong on the downside if hotel results keep falling or the 2026 and 2029 loan maturities cannot be refinanced on reasonable terms.
