Priority Technology Holdings is a payments company with three segments. Merchant Solutions ($642.1 million of 2025 revenue) processes card payments for merchants, sold through independent sales organizations, financial institutions and software partners; it handled $72.4 billion of card volume in 2025. Treasury Solutions ($215.8 million) runs recurring-fee and float-income products such as CFTPay, which had about 1.02 million average billed clients in 2025. Payables ($100.9 million) includes the Plastiq bill-pay platform. Total 2025 revenue was $953.0 million, up 8.3%. How we measured earnings. We start from operating cash flow, remove the swings in receivables and other working-capital items, subtract stock compensation as a real cost, and subtract only the maintenance share of equipment and software spending. On that basis owner earnings per share were $0.51 in 2023, $0.99 in 2024 and $1.18 in 2025 (owner earnings of $40.3 million, $77.1 million and $96.3 million). We anchor on the median of 2023 to 2025, $0.99 per share. Earlier years describe a much smaller company (revenue of $372 million to $664 million from 2019 to 2022, against $756 million to $953 million since) and, until 2024, one that also carried a redeemable preferred stock, which was fully redeemed in 2024. Cash interest paid was $85.8 million in 2025, so debt costs are already inside these figures. Acquisition spending, such as $69.5 million of asset purchases in 2025, is not treated as ordinary spending, and we credit no growth from future deals because the company's acquisitions have been irregular rather than a steady annual habit. Growth check. Owner earnings grew 19.7% in 2025, but part of that reflects a $30.2 million working-capital adjustment and acquired revenue. Our base case assumes only 3% a year for five years, resting on merchant transaction counts that grew 3.6% in 2025 and on billed CFTPay clients that grew about 28% (from about 0.80 million to 1.02 million). We leave out acquisitions, rate-driven float income and margin gains. Results for the first half of 2026 (revenue up 10.2% to $511.8 million and operating cash flow of $55.3 million against $27.1 million a year earlier) support the level but do not change it. Base case, about $12.85 per share: owner earnings of $0.99 rising 3% a year for five years, then held flat through year 20, then nothing further because we can name nothing that carries earning power past then. Bear case, about $3.79 per share: earnings fall back to the 2023 level of $0.51 and stay flat for ten years, then end. Reasons: about $1.04 billion of term debt maturing in May 2031, with $85.8 million of cash interest, and Treasury Solutions revenue that includes interest earned on customer balances, which falls if rates fall. Bull case, about $20.49 per share: owner earnings start at the 2025 level of $1.18, grow 8% a year for five years (below 2025 revenue growth of 8.3% and first-half 2026 growth of 10.2%), then 3% for five years, then flat through year 20. Other points. Chairman and CEO Thomas Priore owns about 60% of the shares. On November 9, 2025 he made a non-binding proposal to acquire the rest at $6.00 to $6.15 per share, and a committee of independent directors is reviewing it. Minority shareholders have limited influence, and a sale could end public trading. Our values were built from the business results and not from that offer. The filings do not break out revenue by country, so we could not size the Canadian business. What would make this wrong: a sharp fall in rates that cuts float income, loss of sponsor-bank or major sales-partner relationships, or a refinancing on worse terms. The margin-of-safety price of $6.40 is roughly half of the base case, a wide margin because of the heavy debt, the rate-sensitive income, and the controlling shareholder.
