Business condition attached to the margin of safety Incyte Corporation exercises its option to acquire the JAK2V617F inhibitor program for $100 million (the option lapses at the latest 18 months after the November 2025 agreement, roughly May 2027).
Prelude Therapeutics is a clinical-stage cancer drug developer. It has no approved product and no product sales. Its pipeline is built around precision oncology drugs, including PRT12396, an inhibitor aimed at the JAK2 V617F mutation in blood cancers (Phase 1 enrolling patients with polycythemia vera and myelofibrosis after FDA clearance in February 2026), PRT13722, a KAT6A degrader for breast cancer (Phase 1 start targeted for the fourth quarter of 2026), and an early-stage program against mutant CALR using antibody-linked degraders. What the business earns today. On our owner-earnings measure (operating cash flow, less working-capital swings, less stock compensation, less capital spending) the company has lost money every year on record. Per share, owner earnings were about -$16.76 in 2019 (a pre-listing share count), -$4.57 in 2020, -$2.40 in 2021, -$2.38 in 2022, -$2.08 in 2023, -$1.70 in 2024 and -$1.26 in 2025. The 2025 figure is about -$96.7 million in total. The losses are narrowing as spending fell after a 2025 workforce reduction and license revenue rose from $7.0 million in 2024 to $12.1 million in 2025. We deliberately strip out about $35.5 million of cash booked as deferred revenue in 2025 (largely the upfront payment from Incyte), because it is a one-time receipt for work not yet performed. There is no year of positive owner earnings from which to build a normal level; the median of the last five years (2021 to 2025) is about -$2.08 per share. The most recent year improved by about 26% (from -$1.70 to -$1.26 per share), and we assume no improvement beyond that pace and no move to profit, because nothing in the filings yet secures one. What we credit and what we leave out. Nothing in the filings shows a product, contract or history of repeatable earnings that would produce positive owner earnings, so the operating pipeline is credited at $0. Drug approvals, milestone payments beyond the first $100 million, and royalties depend on clinical trials that have not yet read out, and they are left out of every case. The company's cash is real, but it is being spent: at June 30, 2026 the company held $155.2 million in cash and securities (after a $90 million stock offering priced in April 2026, versus $106.4 million at the end of 2025), and management expects that to fund operations into the second quarter of 2028. Cash on hand is therefore roughly what the current programs will consume before then, so cash and the expected losses largely offset each other. The share count we use is about 98.4 million, the weighted average for the second quarter of 2026. It is higher than the roughly 79.8 million common shares reported outstanding, and we use the higher figure to be conservative. Bear case: $0.00 per share. Programs continue to burn cash through mid-2028, Incyte lets its option lapse, no milestone or royalty stream appears, and any further funding comes through issuing more shares. Shareholders would end up with nothing from the operating business. Values cannot fall below zero for a shareholder, so this is the floor. Base case: $0.00 per share. The same path without extra dilution: cash funds the trials into 2028 and is used up, and nothing evidenced today produces cash beyond that. We do not count the Incyte option exercise in the base case because it has not happened and depends on Phase 1 data that do not yet exist. Bull case: about $0.96 per share. Incyte exercises its exclusive option, which the company disclosed as a contractual right running up to 18 months from November 2025, and pays $100 million for the JAK2 V617F program, on top of the $60 million already received ($35 million in cash plus a $25 million equity investment). Counted at about a year out and discounted at 6%, that $100 million is roughly $94 million, or about $0.96 per share on 98.4 million shares. The further $775 million of possible clinical and regulatory milestones and the single-digit royalties are excluded because no trial has yet reached those stages. What would make this wrong. If the two clinical programs show strong data, the value could be far above our bull case, because Incyte's agreement carries up to $910 million in total potential payments. If the company can stretch its spending well beyond mid-2028, the base case would be above zero. On the other hand, the company has said it will need substantial additional capital to pursue its strategy, and it received a Nasdaq notice about its share price falling under $1.00 in March 2025 that it resolved in September 2025, so further dilution is possible. Margin-of-safety price: about $0.40 per share, applicable only once Incyte has exercised its option. Without that event the operating business has no value we can support, so the price alone is not enough.
