CPI Card Group makes payment cards and the services around them for U.S. card issuers. Its Debit and Credit segment (about $451 million of 2025 revenue) produces debit and credit cards, including contactless and metal cards, and sells the Card@Once instant-issuance system that lets an issuer hand a customer a personalized card on demand at its own location. The Prepaid Debit segment (about $94 million) supplies prepaid cards and secure packaging to prepaid program managers. In May 2025 the company bought Arroweye Solutions, which adds on-demand card printing and fulfillment and contributed $42.8 million of 2025 revenue. Total 2025 revenue was $543.5 million, up 13.1%. How we measure earnings. We start from operating cash flow, remove swings in receivables, inventory and payables, subtract stock compensation as a real cost, and subtract equipment spending needed to stay in business (spending that only supports growth is excluded). On that basis owner earnings per share were $1.16 in 2019, $2.95 in 2020, $2.38 in 2021, $3.49 in 2022, $2.96 in 2023, $2.86 in 2024 and $2.40 in 2025. We use 2020 to 2025 as the measuring window because 2019 was a year of net loss, before the company returned to steady profit; the median of those six years is about $2.90 per share. Interest on roughly $290 million of debt is already deducted in these figures because it is paid out of operating cash flow. One correction to that figure. The company also pays for some production equipment through finance leases, and the principal repaid on them ($8.4 million in 2025, about $0.70 per share) does not show up in reported capital spending. We treat it as a genuine cost. That brings the normal level to roughly $2.20 per share, and 2025 itself to roughly $1.70. In 2025 owner earnings fell 16% from 2024 ($2.86 to $2.40). Our base case does not assume that decline reverses on its own. It uses $2.00 per share, between the 2025 result and the adjusted six-year median, and grows it by nothing. Base case: $17.7 per share. Owner earnings stay at $2.00 for ten years. After that we fade them evenly to zero over a further ten years, because we cannot point to a contract or record that guarantees card demand beyond that horizon. We credit no growth. Rising contactless and metal card volume, Card@Once sales and Arroweye synergies are real but depend on markets expanding or integration succeeding, so they are left out of this case. Revenue has grown in five of the last six years (2020 to 2025), but a meaningful part of 2025's increase was the Arroweye purchase, which is a one-time step and not a repeating process. Bear case: $11.3 per share. One customer represented 16% of 2025 revenue (18% in 2024). Losing that business, and paying a higher interest rate when the $265 million of 10% Senior Notes and the $25 million revolver borrowing come due in July 2029, would cut earnings from about $1.70 in the first three years to about $1.10 from year four, followed by the same ten-year fade. Tariffs on imported materials have already hurt gross margin (31.3% in 2025 versus 35.6% in 2024), and this case assumes that pressure is not recovered. Bull case: $24.8 per share. If the company executes on the levers already in its results, owner earnings return to about $2.80, near the 2022 peak after the lease adjustment, and hold there for ten years before the same fade. That requires the higher-priced contactless and metal cards and the Arroweye business to offset the drop in the Prepaid Debit segment (revenue down 12.1% in 2025, and gross margin down from 40.5% to 34.1%). What we could not fully reconcile: 2025 gross margin fell 4.3 points while revenue rose, which management attributes to product mix, higher depreciation and tariffs. A reduced revenue recognition on work-in-process orders in the Prepaid Debit segment, adopted in the second quarter of 2025, also lowered 2025 reported revenue growth by about $10 million ($62.9 million reported versus $73.0 million without the change). First-half 2026 operating cash flow was $42.1 million, far above the $9.9 million of the same period in 2025, but a single half-year of working-capital timing is not enough for us to raise the earnings level. The margin-of-safety price is $11.00, roughly where the bear case sits and about 38% below the base case. The wide margin reflects heavy debt with a 2029 maturity, a 16% customer, tariff exposure and the fact that earnings have declined for two years in a row.
