Business condition attached to the margin of safety At least two more reported quarters showing underlying (non-milestone) Elfabrio product-supply revenue still growing year-over-year and a clear slowdown in new at-the-market share issuance; the recent improvement so far rests mostly on a single already-collected $25 million milestone plus only two quarters of data.
Protalix BioTherapeutics is a commercial-stage biopharmaceutical company built around a proprietary plant-cell protein expression platform (ProCellEx). It has two approved enzyme-replacement therapies: taliglucerase alfa (Elelyso) for Gaucher disease, an older, mature product sold internationally through Pfizer and directly into Brazil's public tender system, and pegunigalsidase alfa (Elfabrio), a newer therapy for Fabry disease that Protalix manufactures and supplies to its partner Chiesi under agreements covering the U.S. and the rest of the world. Protalix earns 15%-40% of Chiesi's net sales as consideration for product supply, plus regulatory and commercial milestone payments that can total several hundred million dollars over the life of the agreements, most of which remain uncollected and contingent on Elfabrio reaching specific sales thresholds. We build owner earnings from operating cash flow, after removing the swing from working-capital timing and stock-based compensation, and after separating maintenance from growth capital spending. Over the seven fiscal years for which comparable diluted share counts are available (2019-2025), owner earnings per share have been volatile and mostly negative: heavy losses in 2019-2022 as the company invested to bring Elfabrio to approval, followed by modestly positive results in 2023 (about six cents per share) and 2024 (about four cents), then a slip back to a loss of about seven cents in 2025 as accounts receivable and inventory grew to support the Elfabrio commercial ramp. We anchor the valuation on the median of the three most recent fiscal years (2023-2025, the period since Elfabrio's approval reshaped the business), which comes to about four cents of owner earnings per share -- a level we treat as more representative of the current, two-product business than the loss-making years that preceded approval. The trailing full year (2025) actually saw owner earnings decline versus 2024, not grow. Our base case nonetheless projects a sharp rebound in the current fiscal year. That is not optimism: in the first half of 2026, Protalix became entitled to a $25 million regulatory milestone payment from Chiesi tied to European approval of a new every-four-week (E4W) dosing regimen for pegunigalsidase alfa, a dated, already-collected fact disclosed in the 2025 annual report's subsequent events and confirmed in first-half 2026 cash receipts. We treat that $25 million as a one-time item that lifts the current year, then let owner earnings revert toward a more modest, gradually compounding level as Elfabrio's underlying, sales-based payments to Protalix grow with patient uptake -- tempered by continued erosion in the older Elelyso business and by the dilution that has historically accompanied the company's reliance on at-the-market stock sales to fund itself (diluted share count has grown roughly five-fold since 2019). Our bear case (roughly the worst one outcome in ten) assumes the E4W milestone is the last major payment for years: Elfabrio's sales-based payments barely grow, Elelyso keeps declining as older Gaucher therapies face biosimilar and generic pressure, and the company returns to funding modest losses through continued share issuance, eroding per-share value even as the business limps along. Our base case assumes Elfabrio's supply payments compound at a low-double-digit rate over the decade as European and U.S. adoption builds -- helped by the E4W dosing option, which improves convenience for patients and caregivers -- while dilution slows now that the company has real, collected milestone cash. Our bull case assumes Elfabrio meaningfully outperforms, reaching a larger share of the global Fabry disease market (a market where comparable branded therapies have reached several hundred million dollars of annual sales), triggering several of the larger sales-based milestones remaining under the Chiesi agreements, while dilution largely stops. For the years beyond our ten-year forecast we did not assume the business renews itself forever. The Chiesi supply agreements run until the later of patent expiration or roughly fifteen years from each country's product launch; with Elfabrio launched in 2023, that points toward the late 2030s to early 2040s for the core U.S. and European rights -- inside or just beyond our forecast horizon. We modeled owner earnings holding near the year-ten level for several more years and then fading toward zero as those patent and contract terms lapse, rather than assuming a perpetuity. This tail is a meaningful share of the total value, so we want to be transparent that it depends on Elfabrio's contractual and patent protections extending roughly as currently disclosed, and assumes no near-term successor product from the ProCellEx platform, since none has been concretely disclosed. Putting this together: our bear case is worth about $0.33 per share, our base case about $1.82, and our bull case about $6.58. The wide range reflects a small, partnered, milestone-dependent business where a modest change in Fabry disease market share moves the value substantially, and where the company's own history of funding itself through stock issuance is a real, ongoing drag on outcomes for existing shareholders. Given how much of the downside case still depends on the company controlling further dilution, the margin-of-safety price is set conservatively at about $0.91 per share, and it assumes Protalix's underlying (non-milestone) product-supply revenue keeps growing for a couple more quarters and the pace of new share issuance slows now that it is sitting on more cash. One item we could not fully verify: the detailed narrative behind the large first-half-2026 revenue and income increase beyond the disclosed $25 million milestone was not available to us, so those figures come from the company's reported financial data rather than management's discussion of them. We have treated the improvement conservatively, as a one-time item, rather than assuming it continues at the same pace.
