Princeton Capital Corporation is a small, externally managed business development company that has made no new investments since its board launched a strategic review in November 2019 to sell, merge or liquidate the company. Nearly seven years later no transaction has been announced. What remains is four illiquid private positions in Texas-based companies, carried at $13.8 million at June 30, 2026 against $34.1 million of original cost: Rockfish Seafood Grill (a casual-dining chain, about half of net assets, whose first-lien loan has been past maturity since 2018), Advantis Certified Staffing Solutions (about a quarter), Performance Alloys (a nickel pipe and fittings distributor, about 15%, second-lien loan on non-accrual), and a small energy-services holding. Four loans were on non-accrual at the end of 2025 and all equity stakes and warrants in Rockfish and Performance Alloys are carried at zero. The company has no borrowings; at mid-2026 it held $431,210 of cash against $855,970 of liabilities, which have been rising as fees accrue. Net asset value per share has fallen from $0.187 at the end of 2020 to $0.112 at mid-2026, after a single $0.075 special distribution in December 2022. The operating earnings of the vehicle are negative. Net investment income was negative in five of the last six years, from -$0.006 per share in 2020 to -$0.015 in 2025, when $155,941 of investment income was swamped by $1.9 million of management, administration, audit, valuation, insurance and director costs (including a one-off $444,517 write-off of uncollectible interest). The first half of 2026 was better, at -$237,860, helped by $345,681 of investment income in the second quarter, but one quarter does not change the picture of a vehicle whose running costs exceed what its portfolio pays. Because there is no positive earnings stream to capitalise, the shares are worth what the four positions can be sold for, less the cost of keeping the company alive until they are, discounted back to today. Base case: the positions realise about 65% of their current carrying value, roughly $9.0 million, over about three years, which is consistent with the portfolio's long record of being written down toward recoveries well below cost; net running costs of about $1.2 million a year consume $3.6 million; and the current shortfall of liabilities over cash is settled. That leaves roughly $5.0 million for shareholders three years out, worth about $4.3 million today, or $0.035 a share. Bear case: Rockfish and Performance Alloys, both already non-performing, recover roughly a quarter of their marks in a weak restaurant and industrial environment of the kind seen in 2020, total realisations come to about $4 million over four to five years, and running costs of $1.2 million a year exceed that; on those numbers the costs would consume everything and leave about $1 million of shortfall, so the case is a total loss to shareholders, carried at zero because the company has no borrowings and cannot owe holders more than their shares. Bull case: the current marks of $13.8 million are broadly achieved within about eighteen months through a sale of the portfolio or the company, with about $1.8 million of costs along the way, leaving roughly $11.5 million, or $0.09 a share today. There is no debt in any case; what separates the cases is entirely how much the four positions fetch and how long it takes. We are not confident of any of these recovery figures. The carrying values are management estimates of unobservable values on non-performing private holdings, and they have been cut repeatedly: net assets fell from $31.9 million at the end of 2023 to $13.6 million by mid-2026. The worst plausible outcome is the one in the bear case or something close to it, a slow sale process that lets fees eat the remaining value, and nothing in the structure, an external manager paid on assets with no deadline and a review now seven years old, forces a faster outcome. If we are wrong about the recovery rate by twenty percentage points, or about the timing by two years, the base value roughly halves. The company pays nothing in the meantime and has paid one distribution in a decade. For a 20% annual return over an assumed three-year wind-down from a base outcome of about $0.04 a share, with a realistic chance of receiving nothing, the margin-of-safety price is no more than about one cent a share; that price covers roughly a third of the portfolio's current mark after costs, a level the bear case itself does not fall far below. The previous analysis carried a margin-of-safety price of zero; we have replaced that with a specific one-cent figure, and the base value is modestly higher because second-quarter 2026 investment income narrowed the cost drag. The earlier per-share figures are otherwise not directly comparable.

Externally managed BDC; owner earnings on the financial-sector net-income basis: OE = net investment income after income tax. FY2025 total investment income 155,941 less total operating expenses 1,914,782 = -1,758,841 pre-tax, less income tax 10,100 = -1,768,941 NII after tax; diluted weighted-average shares 120,486,061; OE/diluted share = -1,768,941 / 120,486,061 = -0.0146817066 (exact; stored rounded to -0.0147). EPS tie-out: company-reported diluted net investment loss per share for FY2025 = -0.015 - ties. Capex not applicable (no PP&E) and SBC = 0 (no employees), so no capex or SBC adjustment. Literal recipe formula for reference: CFO -1,049,032 - capex 0 - SBC 0 = -1,049,032, i.e. -0.0087066732 per share; not used for the reason above. Adjustment note: FY2025 operating expenses include a one-off 444,517 bad-debt charge on interest receivable; excluding it, operating expenses were 1,470,265 and NII after tax would have been -1,324,424 (-0.0109923 per share). Operating expenses ran 10.1% of average net assets in FY2025 against 155,941 of investment income. Externally managed BDC; owner earnings on the financial-sector net-income basis: OE = net investment income after income tax. FY2024 total investment income 1,384,051 less total operating expenses 1,524,538 = -140,487 pre-tax, plus income tax benefit 1,850 = -138,637 NII after tax; diluted weighted-average shares 120,486,061; OE/diluted share = -138,637 / 120,486,061 = -0.0011506476 (exact; stored rounded to -0.0012). Literal recipe formula for reference: CFO -683,795 - capex 0 - SBC 0 = -683,795, i.e. -0.0056753019 per share; not used for the reason above. Separately, FY2024 also carried 5,549,735 of net realised losses and 5,172,924 of net unrealised losses, which are excluded from owner earnings as portfolio marks rather than recurring earnings. FY2023 total investment income 2,480,893 less total operating expenses 1,599,326 = 881,567 pre-tax, less income tax 64,993 = 816,574 NII after tax; diluted weighted-average shares 120,486,061; OE/diluted share = 816,574 / 120,486,061 = 0.0067773317 (exact; stored rounded to 0.0068). EPS tie-out: company-reported diluted net investment income per share for FY2023 = 0.007 - ties. Capex not applicable (no PP&E) and SBC = 0 (no employees), so no capex or SBC adjustment. Literal recipe formula for reference: CFO 413,113 - capex 0 - SBC 0 = 413,113, i.e. +0.0034287204 per share; not used because for an investment company operating cash flow carries portfolio purchases and repayments rather than an earnings stream. Only year of the last five with positive net investment income. 2022 -$0.01 ▼
Externally managed BDC; owner earnings on the financial-sector net-income basis: OE = net investment income after income tax. FY2022 NII after tax = -778,954 USD; diluted weighted-average shares 120,486,061; OE/diluted share = -778,954 / 120,486,061 = -0.0064650964 (exact; stored rounded to -0.0065). EPS tie-out: company-reported diluted net investment loss per share for FY2022 = -0.006 - ties. Capex not applicable (no PP&E) and SBC = 0 (no employees), so no capex or SBC adjustment. Literal recipe formula for reference: CFO 10,038,600 - capex 0 - SBC 0 = 10,038,600, i.e. +0.0833175223 per share; explicitly NOT used - that figure is portfolio repayments received in 2022 (portfolio turnover 32.3% that year), which the board then paid out as a 0.075 per share special cash dividend on December 1 2022 (total 9,036,455 USD). Reconciliation check: net assets 34,472,992 at 2021-12-31 plus 6,646,925 net increase from operations less the 9,036,455 distribution = 32,083,462 at 2022-12-31, which matches the filed balance. Data caveat: tag NetIncomeLoss in accession 0001213900-23-024619 carries 66,000 for FY2022 and 269,000 for FY2021, which do not tie to any reported figure (these appear to be tax-footnote contexts); the statements-of-operations values 6,646,925 (FY2022) and 11,993,452 (FY2021) were used instead. Source accession 0001213900-24-027958 (FY2023 10-K, filed 2024-03-29), statements of operations comparative column for the year ended December 31, 2022.

Princeton Capital Corporation is an externally managed BDC (Investment Company Act file 814-00710), so owner earnings are taken on the financial-sector net-income basis rather than CFO-Capex-SBC: OE = net investment income after income tax. FY2021 NII after tax = -879,786 USD; diluted weighted-average shares 120,486,061; OE/diluted share = -879,786 / 120,486,061 = -0.0073019733 (exact; stored rounded to -0.0073). EPS tie-out: company-reported diluted net investment loss per share for FY2021 = -0.007 - ties. Capex tag not applicable (no PP&E; no capex tag in any accession) and SBC = 0 (no employees, externally managed, no share-based compensation line in any year), so no capex or SBC adjustment. Literal recipe formula for reference: CFO -1,186,829 - capex 0 - SBC 0 = -1,186,829, i.e. -0.0098503444 per share; not used because for an investment company operating cash flow carries portfolio purchases, repayments and sales and is therefore a portfolio-turnover figure, not an earnings stream. Sales geography
United States - South (Texas)
Historical growth strategy
Raised capital as a business development company and made first-lien, second-lien and mezzanine loans, often with equity kickers, to small and lower middle-market private US companies. Since a 2019 strategic review it has made no new investments, only supporting existing holdings and conserving cash while it seeks a sale, merger or liquidation.
Chart analysis
A chartist would see a sub-dime stock in a decade-long downtrend, with long flat stretches punctuated by gaps lower on write-downs and a one-off pop around the 2022 special distribution. The price sits near multi-year lows with no base or reversal pattern; most technicians would find little in the price action alone and wait for a volume-backed breakout on corporate news.
