Business condition attached to the margin of safety
Positive Phase 1b/2 clinical data for PH-762 plus a signed licensing or partnership agreement with committed payments.
Phio Pharmaceuticals is a clinical-stage biotechnology company based in King of Prussia, Pennsylvania. It has never recognized product revenue. Its technology, called INTASYL, is a self-delivering RNA-based approach designed to silence genes that tumors use to evade the immune system. The lead compound, PH-762, targets the PD-1 protein and is being tested by direct injection into tumors in a U.S. multi-center Phase 1b trial in cutaneous squamous cell carcinoma, melanoma and Merkel cell carcinoma. The trial fully enrolled 22 patients in November 2025, with no dose-limiting toxicities reported. The company said it planned to submit a proposal to the FDA on next steps in the second quarter of 2026, and we found no evidence of the outcome. A second compound, PH-894, has been deferred. What the business earns today: nothing. Cash from operations was a loss of about $8.0 million in 2025 and $7.1 million in 2024. After stock compensation of $0.5 million in 2025 and negligible capital spending, our owner earnings were about negative $8.6 million in 2025, or negative $1.43 per share, and negative $9.32 per share in 2024 on the share count after the July 2024 reverse split. We stored those two years only, because share counts before the reverse splits are not comparable. In the first half of 2026 the company used a further $8.0 million of operating cash and ended June 2026 with about $13.0 million in cash, so the current pace of spending is funded for roughly another year without new financing. How we value it: our approach credits only earnings that are contracted, backlogged or produced by a long-proven process. Phio has no product sales, no licensing or milestone agreement that we could identify in the filing, and no earnings track record. A successful trial would be a hope, not a fact already in place, so it cannot enter the valuation. Nothing named and evidenced produces future owner earnings, so all three cases are worth $0 per share. Bear case: $0. Losses continue, the PH-762 data do not support further development, and the company either raises more capital by issuing shares that dilute existing holders or winds down. The company has repeatedly used reverse stock splits to keep its Nasdaq listing, most recently on July 5, 2024, and the filing warns that another minimum-bid-price shortfall following a recent reverse split could bring an immediate delisting determination. Base case: $0. Cash is spent on the trial and on manufacturing of PH-762, and no revenue-producing agreement exists to value. Bull case: $0. Even a favorable outcome would depend on a future FDA agreement, further trials and a partner, none of which is in place today. We do not credit the possibility, though shareholders should recognize that a clinical success would change the picture materially and quickly. What we would need to see: positive clinical data and a signed partnership with committed payments. Until then the shares are an option on the science, not a claim on earnings. The auditor's 2024 opinion carried a going-concern warning, which was lifted in the 2025 annual report after equity financings in January, July and November 2025. We did not review the most recent quarterly filing for a renewed warning. One limit on this work: other accrued-liability changes were not separately tagged, so the working-capital adjustment reflects payables and prepaid items only. It is small relative to the loss and does not change the conclusion.
