Business condition attached to the margin of safety Owner earnings turn positive on a sustained basis: at least two consecutive quarters in which cash from operations, after stock compensation and working-capital swings, is above zero while quarterly VOQUEZNA revenue stays at or above about $74 million.
Phathom Pharmaceuticals sells VOQUEZNA (vonoprazan), an acid-suppressing prescription drug for erosive esophagitis, heartburn and H. pylori infection, in the United States. Net product revenue was $175.1 million in 2025 (up from $55.3 million in 2024) and $132.6 million in the first half of 2026, with the second quarter alone at $74.3 million against $58.3 million in the first quarter. The company has never made money: cash from operations was negative $267 million in 2024, negative $167 million in 2025 and negative $18 million in the first half of 2026. Owner earnings per share (cash from operations less working-capital swings, less stock compensation, less maintenance capital spending) were negative $4.35 in 2024 and negative $2.53 in 2025. We have not built a longer history because the company had essentially no product revenue before 2024. Accounting treatment: stock compensation ($28.7 million in 2025) is treated as a real cost. Capital spending is tiny (about $0.2 million a year), so the maintenance versus growth split does not move the result. The first half of 2026 works out to roughly negative $20 million of owner earnings, or about negative $41 million annualized, on about 84 million diluted shares. Because the company has no positive earnings year, we anchor on the first-half 2026 run rate rather than an earlier, more loss-making year. What is locked in: VOQUEZNA has regulatory exclusivity through May 3, 2032 (the FDA extended the exclusivity to ten years in June 2025). The $74.3 million second-quarter 2026 revenue level has already been reached. What we do not credit: further prescription growth, new indications, margin expansion, and management's stated expectation of operating profitability beginning in the third quarter of 2026. None of these has happened yet. We also credit nothing after May 2032, when nothing named and evidenced continues the earnings. Bear case (about negative $2.30 per share): losses continue at the first-half 2026 pace of roughly $41 million a year until exclusivity ends in 2032 and nothing persists afterward. The company carries $216.5 million of term debt to Hercules with covenants that test minimum trailing three-month VOQUEZNA revenue and minimum cash, and it depends on outside funding to bridge the losses. On this path the shares are worth less than nothing: the company would owe more than the business is worth, by about $195 million. Base case (about negative $0.70 per share): the second-quarter 2026 revenue level of $74.3 million (about $297 million a year) is held, with the extra revenue over the first-half pace landing on a largely fixed cost base, which narrows the loss to about $13 million a year through May 2032, then zero. On this path the business still does not earn back what it consumes over the period, so the shares are worth less than nothing on our numbers. Bull case (about $3.40 per share): the company's own lever executes. In this case revenue keeps building from the second-quarter level to roughly $400 million a year on a largely fixed cost base, turning owner earnings to about $60 million a year, held through May 2032 and then zero. Growth-path check: owner earnings improved from negative $274.9 million in 2024 to negative $184.1 million in 2025 (a 33% narrowing). The base case narrows the loss faster than that (from about $41 million to about $13 million a year), but only because the second-quarter 2026 revenue level of $74.3 million, reported in the June 2026 quarterly filing, is already in hand; no revenue beyond that level is assumed. Challenge to the case: the strongest counter is the steep revenue ramp, which could make the base too pessimistic. That is tested by the bull case; it is not credited in the base because profitability has not yet been demonstrated in any period. The term-loan revenue tests are the main pressure point if revenue slips. Cash was $130.0 million at year-end 2025, plus $122.2 million of net proceeds from a January 2026 share offering. What would make this wrong: sustained positive cash from operations within the next two to three quarters would move the base toward the bull case. The margin-of-safety price applies only after that business condition is met.
