Payoneer runs a cross-border payments network for small and mid-sized businesses: marketplace sellers (one marketplace, Amazon-scale, was 21% of 2025 revenue, down from 25% in 2023), B2B service providers and online merchants get paid in one currency, hold balances, convert and withdraw in another. It earns two kinds of revenue: fees on about $80+ billion of annual volume ($813M in 2025) and interest on the money customers leave on the platform ($239M in 2025, on customer balances that reached $7.9 billion at year-end). About a third of revenue comes from sellers in Greater China, and in 2025 Payoneer bought a licensed Chinese payment company (PayEco/EasyLink); the company itself is US-listed, Delaware-incorporated and run largely from New York and Israel. How we measured earnings. We start from operating cash flow and strip out working-capital swings (including the merchant cash-advance book), charge stock compensation ($73M in 2025) as the real cost it is, and deduct capital spending needed to stand still, including capitalized software ($61M in 2025). Amortization of acquired intangibles (Skuad 2024, PayEco 2025, Boundless 2026) is added back, so the risk that acquired assets fade is carried in the cases, not the earnings level. On this basis Payoneer lost money every year 2019-2022, when interest rates were near zero, then earned about $52M in 2023, $109M in 2024 and $33M in 2025. The 2024 figure was flattered by peak interest rates and a one-off $10M tax benefit; 2025 included roughly $19M of one-time fit-out spending for a new Israel office, without which it would have been about $52M. The middle of the 2023-2025 period, about $52M a year (roughly 15 cents a share), is our starting point. The central fact: without interest on customer money this business does not currently make money. 2025 operating profit was $125M against $239M of customer-balance interest, and costs have grown as fast as fee revenue (2025 G&A +25%, R&D +15%, sales and marketing +11%). Interest income is already falling: down $25M in 2025 and down another 11% in the first half of 2026 ($107.5M vs $120.5M) even though balances grew. The company has cushioned this with $1.8B of fixed-rate Treasuries and term deposits and interest-rate floors on another $2.2B, but that covers about half of balances and only for the life of those instruments. First-half 2026 net income fell to $17M from $40M, with a small loss in the second quarter. Base case ($2.05/share): earnings of about $40M a year, below the $52M starting point because of the lower interest income already visible in the first half of 2026 (reported 2025 earnings fell 70%, or about 53% excluding the office fit-out; our first year is a further step down from the normalized 2025 level, not a rebound). We credit no growth: fee revenue has grown every year, but that growth depends on cross-border e-commerce expanding and on share gains, and so far costs have absorbed it. We carry that level for 20 years on the strength of a 20-year operating history, licenses across many countries and embedded marketplace integrations, then fade it to zero over five years. That business is worth about $481M; Payoneer has no borrowings (its warehouse credit line ended in April 2025), so nothing is owed, and we add about $246M of corporate cash beyond an estimated $100M operating need (cash was $346M at June 30, 2026, after $93M of first-half buybacks). Total about $727M, or $2.05 per diluted share on about 354M shares. Bear case ($0.92/share): the named risks play out: the hedges roll off by about 2028 and short-term rates settle lower as the company itself expects, cutting interest income by roughly another $50M; the largest marketplace keeps losing share of revenue; trade policy aimed at Chinese cross-border sellers (the filing names this exposure) squeezes the 34% of revenue from Greater China. Earnings run about $25M for two years and then about $5M a year, and the story ends after year 12. The business is worth about $79M, owes nothing, plus $246M of cash = about $325M. Bull case ($3.19/share): interest income holds near current levels, the 2025-26 cost build (headcount, Boundless integration, new offices) stops growing faster than revenue, and earnings return to the $52M level already achieved in 2023 and 2025, then grow 4% a year, well below the long-run growth in payment volume, for ten years before holding flat to year 25 and fading. Business about $883M, no debt, plus $246M cash. What would make this wrong: short-term rates are the single biggest swing factor; a sustained return to 4-5% rates would lift value well above the base, while rates near zero would return the business to the losses of 2019-2022. Genuine operating leverage (fee revenue growing faster than costs, which has not yet happened) would also move value up. Stock compensation near 7% of revenue and steady acquisitions are ongoing costs to owners.

Chart analysis
A chartist would see a long, choppy range since the 2021 SPAC listing near $10: a slide to roughly $4 in 2022, a multi-year base, and a strong run to about $11-12 into early 2025. That advance fully reversed. The stock broke down after late-2025 results, setting repeated 52-week lows (reported near $4.91 and later about $4.08) following weak fourth-quarter 2025 results and 2026 outlook. The pattern is a completed round trip with a series of lower highs and lower lows; a chartist would call the trend down, look for the 2022 lows around $4 as the key support to hold, and want to see a reclaim of the $6-7 breakdown area before calling a bottom.
