Business condition attached to the margin of safety A signed, paid customer or design-win agreement with a hyperscale operator, chip maker or OEM for Palomino's optical transceiver, with revenue and a cost structure that can be checked in the filings.
Palomino Laboratories is a pre-revenue technology company that went public through a reverse merger with a blank-check vehicle on September 29, 2025. It is developing a tiny optical transceiver, a device that moves data with light instead of copper wires, built around microLED technology licensed from the University of California, Santa Barbara. It has no product, no revenue, no signed customer and no backlog. The filing says only that it has started early-stage technical and commercial discussions with hyperscale data-center operators, chip integrators and equipment makers. Its stock had no trading market at the time of the annual report (March 2026). HOW WE VALUE IT. Owner earnings have been negative in every period: about $(2.7) million for 2025 (cash burn of $1.3 million plus $1.4 million of stock compensation paid to the CEO, directors and consultants) and roughly $(2.2) million of operating cash burn in the first half of 2026. Nothing about the future business, such as a contract, a design win, a purchase order or a manufacturing line, is signed or under way today, so we credit the technology with no value. Palomino's worth to shareholders is therefore its cash, less what it spends before anything commercial is proven. WHAT IT HAS AND OWES. At June 30, 2026 it held about $19.4 million in cash against about $0.5 million of total liabilities and no borrowings, so net cash is roughly $19.0 million, or about $0.86 per share on roughly 22 million shares. It raised about $9.8 million of gross proceeds in a private placement at $1.50 a unit in 2025 and added cash in the first half of 2026. The units carry investor warrants for about 6.5 million shares at $1.50, exercisable only after the stock is listed or admitted to trading. Those are left out because they are not certain to be exercised, and exercising them would add cash and shares in roughly equal measure. It leases about 2,754 square feet of office and laboratory space in Goleta, California through December 2028. BEAR CASE, about $0 per share. Spending rises to around $6.5 million a year as engineers and public-company costs are added, and no customer commitment arrives. Roughly three years of cash is consumed, further financing is only available on heavily dilutive terms, and nothing is left for today's shareholders. Business worth $0, owes about $0.5 million, difference about $0. BASE CASE, about $0.10 per share. Spending runs around $5.5 million a year, up from the current pace of about $4.5 million, with no commercial contract that we can verify. About three years of cash is spent and roughly $2.5 million, about $0.10 per share after discounting at 6%, remains at the point the results can be judged. Business worth $0, owes about $0.5 million against $19.4 million of cash, difference about $0.10 per share after the spending. BULL CASE, about $0.40 per share. Spending is held near today's roughly $4.5 million a year and the results are judged after two years, leaving about $10 million, or about $0.40 per share discounted. We do not credit commercial success in any case: hyperscale interest and prototype demonstrations are not contracts, and the parts of the technology that are not yet proven are not counted. WHAT WOULD MAKE THIS WRONG. A signed volume agreement or paid development contract with a data-center or chip customer would create value we have not credited, and the analysis should be redone if one appears. The cash could also last longer than assumed if spending stays flat. The lower figures could be too high if the company issues shares or spends faster than assumed. Stock compensation was large in 2025 ($1.4 million), and warrants and incentive-plan grants can dilute shareholders further. We could not reconcile the recent cash increase to the year-end figures from the annual report alone, so the June 2026 cash balance and share count come from the latest quarterly filing (June 30, 2026) and are approximate.
