Palisade Bio is a clinical-stage drug developer with one programme that matters: PALI-2108, a once-daily oral PDE4-inhibitor prodrug designed to activate only in the terminal ileum and colon, being developed for ulcerative colitis and Crohn's disease. The compound is licensed worldwide from Giiant Pharma, which is owed milestones (payable in cash or stock at Palisade's choice) and royalties, subject to a cap. Palisade sells no products. Its only income has been small licence payments, most recently $0.5 million in the second quarter of 2026 from Newsoara, a partner in China that holds rights to an older compound Palisade no longer develops. What the business has produced so far: since the April 2021 merger that created today's company, it has consumed between $11.9 million and $16.4 million a year in owner earnings (operating cash flow with working-capital swings removed and stock-based pay charged as a cost), with a median of about $14.2 million. The shortfall widened 15% in 2025, and in the first half of 2026 it was about $20.7 million for six months, over 40% of it stock-based pay, as the company prepared for mid-stage trials. There is no earnings level to capitalise. The business today is a pool of cash being converted into clinical data. That pool is real. An October 2025 share offering raised $127.6 million net, and the company held $125.2 million of cash at 30 June 2026 against about $5.6 million of total liabilities and no borrowings. There are about 211 million shares counting pre-funded warrants from that offering, which can be exercised for a nominal price, and we allow roughly 10% more for share awards to staff over the next two years, because stock-based pay here is large and is a real cost to existing holders. The plan, per the annual report and the second-quarter update: the FDA has cleared the Phase 2 ASCENTRA-UC study, with enrolment starting in the second half of 2026 and a primary efficacy readout expected in the second half of 2027. A Phase 2 Crohn's study (ASCENTRA-CD) is to be filed in the second half of 2026, start in early 2027 and read out in 2028. Management says current cash funds the company through those readouts, while cautioning that more funding may be needed. How we valued it: we value only what can be evidenced today. The encouraging early data (all five ulcerative colitis patients in an open-label Phase 1b cohort responded) comes from an uncontrolled study of five people, and the company itself says it must be validated in randomised trials. Nothing yet evidences whether PALI-2108 will work, what it would sell for, or what a partner would pay, so none of that enters any case. Each case therefore asks how much of today's cash is left for shareholders after the committed trial programme, discounted at 6% a year to today. Bear case, about $0.02 a share: the trials cost as much as the company's runway statement allows, so cash lasts only until the 2028 Crohn's readout; both studies disappoint, and after wind-down costs about $6 million is left at the end of 2028. Base case, about $0.10 a share: the two Phase 2 studies run to plan with some cushion, leaving about $25 million by mid-2028. Any value from positive data is left out because it cannot yet be measured. Bull case, about $0.18 a share: spending comes in at the low end, interest on the cash balance helps, and a contractual $1.5 million milestone from Alto Neuroscience (due if ALTO-100, a compound sold by the company's predecessor, enters a Phase 3 trial) is received, leaving about $46 million. These figures should be read for what they are: the value of the cash that is likely to survive the trial programme, not a forecast that PALI-2108 will fail. A clear, randomised Phase 2 result in ulcerative colitis in the second half of 2027 would create value these cases deliberately exclude; a failure would leave holders with leftover cash at best. The cases sit close together only because the one large unknown is left out of all of them. Accounting judgements: the 2021 figures include a $30.1 million write-off of research acquired in the merger and large swings in the fair value of warrants; both are non-cash and were added back. Per-share history is adjusted for the 1-for-50 (November 2022) and 1-for-15 (April 2024) reverse stock splits. We counted the cash because the spending is funded from it; with no debt there is nothing to offset. Before the October 2025 offering the company had disclosed doubt about its ability to keep operating; the annual report states that the offering removed that doubt. The shares fell below Nasdaq's $1 minimum bid in April 2025 and regained compliance in October 2025; the company has used reverse splits to cure past deficiencies. Margin-of-safety price: $0.04 a share, well below the base case, because the bear case shows that most of the cash can be spent with nothing left to show for it.
