Business condition attached to the margin of safety The merger with Open World Ltd. is terminated (failed shareholder vote, or the combined company cannot meet the exchange's share-price requirements) and the logistics business has then shown two to three quarters of stabilizing or growing revenue with its new shipping partner.
VerifyMe runs a logistics data business, operating as PeriShip Global, that helps shippers of time- and temperature-sensitive goods - think pharmaceuticals, vaccines and perishable food - track shipments, get ahead of weather and carrier delays, and resolve problems before packages spoil. It also holds a small, now largely dormant, anti-counterfeiting technology business that the company says it is no longer actively growing. The logistics business itself just went through a serious shock. FedEx had been VerifyMe's primary shipping-carrier partner. In August 2025, FedEx notified VerifyMe that it would bring preferred-shipper services in-house, ending that relationship as of September 24, 2025 (a related premium-service arrangement ended in February 2026 as well). Full-year revenue fell from about $24.2 million in 2024 to $16.4 million in 2025, and kept falling sharply into the first half of 2026. VerifyMe wrote down roughly $3.9 million of goodwill and acquired customer-relationship intangibles tied directly to this loss. The company has lined up a new shipping partner, handling one type of service since September 2025, with a broader rollout of its premium tracking services planned for the second quarter of 2026 - but this relationship is new and unproven at anything like the prior scale. Looking at cash actually generated by the business - after real costs including the sizable stock awarded to employees each year - VerifyMe has not generated positive owner earnings in any year since it acquired the logistics business in 2022, though the shortfall narrowed steadily and meaningfully from roughly $(0.35) per share in 2022 to about $(0.06) per share in 2025. We used this four-year record, centered on roughly $(0.21) per share, as our starting point, rather than the better, most recent year, because that improvement was achieved while FedEx was still the primary partner - a relationship that no longer exists. The more decisive fact for anyone looking at these shares today is a pending merger. In February 2026, VerifyMe signed a definitive agreement to combine with Open World Ltd., an early-stage company building infrastructure for launching crypto tokens. Under the agreed terms, today's VerifyMe shareholders would end up owning only about 10% of the combined company, with Open World's investors receiving the other roughly 90%. Closing still requires a shareholder vote, a reverse stock split, and clearing Nasdaq's listing standards for the combined company, so it is not guaranteed to happen. Open World's own business has no established revenue or profit track record disclosed anywhere in VerifyMe's filing, and is described as needing substantial further outside capital in an uncertain regulatory environment for digital assets - so rather than guess at a value for it, we have assigned it none, and valued only what can be verified: VerifyMe's own assets. On that basis: our base case (about $0.03 per share) assumes the merger closes on its current terms, leaving today's shareholders with roughly a 10% claim on VerifyMe's own remaining net cash and assets (estimated around $4 million by closing, after further losses and deal costs) - worth only a few cents per current share. Our bear case (about $0.01 per share) assumes the merger still closes but continuing losses, deal costs, and the risk that a $2 million loan VerifyMe made to a separate small lender in August 2025 (maturing May 2026) is not fully collected, push the contributed cash down toward the roughly $1 million minimum the merger agreement requires. Our bull case (about $0.75 per share) assumes the merger instead falls through, VerifyMe keeps its logistics business intact, the new shipping-partner relationship ramps up as planned, and the pre-disruption trend of shrinking losses resumes and eventually turns modestly profitable over several years - on top of the roughly $0.44 per share of net tangible assets already on the balance sheet. The biggest way this estimate could be wrong is the merger itself: whether it closes, on what terms, and what (if anything) the resulting crypto-infrastructure business turns out to be worth are questions a business valuation like this one cannot answer with evidence in hand. Given how much of the outcome depends on that single binary event rather than on steady operating performance, the margin-of-safety price sits at a very large discount to even our modest base-case estimate, and a materially higher figure would depend on the merger's outcome being resolved - or clear signs the new shipping partnership is replacing the lost volume.

OE = CFO - working-capital movement - SBC - maintenance capex, sourced from the FY2025 10-K (accession 0001214659-26-004051). CFO=$603K. Working-capital movement (AR +1,782 + unbilled +395 + inventory +17 + prepaid -33 + AP/accrued/leases -2,346) = $(185)K. SBC = option expense $86K + RSU/RSA fair value for services $715K = $801K. Capex (office equipment $18K + capitalized software $715K) = $733K; revenue declined from $24,207K to $16,398K (largely due to FedEx Corporation, the prior carrier partner, ending PeriShip Global's preferred-shipper status effective 9/24/2025), so growth capex = $0 and maintenance capex = full capex = $733K. OE = 603 - (-185) - 801 - 733 = $(746)K. Diluted shares = 12,619,512. OE/share = -$0.0591. Note: FY2025 also carries a $3,850K goodwill/intangible impairment (excluded from OE as a non-cash, non-operating item per methodology) directly tied to the loss of the FedEx relationship; this wasting-intangible decay is carried in the growth path/scenarios rather than in the earnings level.

OE = CFO - working-capital movement - SBC - maintenance capex, sourced from the FY2025 10-K comparative statement (accession 0001214659-26-004051), which restates FY2024. CFO=$871K. Capex (patents $12K + office equipment $7K + capitalized software $504K) = $523K; revenue declined from $25,313K to $24,207K, so growth capex = $0 and maintenance capex = full capex = $523K. OE = CFO - working-capital movement - SBC - maintenance capex, sourced from the FY2023 10-K (accession 0001214659-24-005643). CFO=$244K. Working-capital movement (AR +1,295 + unbilled -96 + inventory -57 + prepaid +9 + AP/accrued/leases -531) = $620K. SBC = option expense $200K + RSU/RSA fair value for services $1,475K = $1,675K. Capex (patents $62K + leasehold improvements $8K + office equipment $27K + capitalized software $677K + deferred implementation $58K) = $832K; revenue rose from $19,576K to $25,313K (delta $5,737K); using the 3.01% capex/revenue ratio, growth capex = $173K; maintenance capex = clamp(832-173,0,832) = $659K. OE = 244 - 620 - 1,675 - 659 = $(2,710)K. Diluted shares = 9,766,469. OE/share = -$0.2775.

OE = CFO - working-capital movement - SBC - maintenance capex, all sourced directly from the FY2023 10-K comparative cash-flow statement (accession 0001214659-24-005643), which restates FY2022. CFO=$(2,551)K. Working-capital movement (AR -3,352 + unbilled revenue -1,185 + inventory -29 + prepaid -77 + AP/accrued/leases +3,621) = $(1,022)K. SBC = stock option expense $145K + fair value of RSUs/RSAs issued for services $1,323K = $1,468K. Capex (patents $40K + capitalized software $236K + deferred implementation costs $140K) = $416K; capex_ratio (mean capex/revenue over the FY2022-2025 post-acquisition window) = 3.01%; revenue rose from $867K (FY2021, pre-acquisition) to $19,576K, so growth capex = 3.01%*(19,576-867) = $563K > capex, so maintenance capex = $0 (clamped) and all capex treated as growth capex in this acquisition year. OE = -2,551 - (-1,022) - 1,468 - 0 = $(2,997)K. Diluted shares = 8,466,075. OE/share = -$0.354. FY2022 was the year VerifyMe acquired PeriShip Global (Precision Logistics segment), transforming the company from a pre-revenue-scale authentication-only business (FY2021 revenue $867K) into a ~$20M-revenue logistics business; prior years are not comparable and are excluded from this series.
