Business condition attached to the margin of safety FDA approval of OCU400 (Phase 3 topline data expected in the first quarter of 2027) or another lead program, followed by at least two quarters of reported product sales that show a path to positive owner earnings.
Ocugen, based in Malvern, Pennsylvania, develops gene therapies for inherited and age-related eye disease. It has no approved product and no product sales. Its three lead programs are late-stage: OCU400 for retinitis pigmentosa (a group of inherited disorders the company says affect about 310,000 people in the United States, Europe and Canada), OCU410ST for Stargardt disease, and OCU410 for geographic atrophy, the advanced form of dry age-related macular degeneration. The revenue it reports ($4.4 million in 2025) is collaboration revenue, and much of it is non-cash. It comes from partnerships. CanSino Biologics makes clinical supply at its own cost and holds the rights for China, Hong Kong, Macau and Taiwan. Kwangdong Pharmaceutical has OCU400 rights for South Korea (September 2025, about $0.8 million upfront). A binding term sheet with Roots Pharmaceutical covers the Middle East and North Africa (up to $255 million in sales milestones and a 22% royalty, all dependent on approval and sales). What the business earns today. We measure owner earnings as operating cash flow, with working-capital swings removed, stock compensation deducted as a real cost, and all capital spending deducted. The result has been a steady cash drain: -$58.7 million in 2021, -$84.7 million in 2022, -$69.1 million in 2023, -$57.5 million in 2024 and -$65.6 million in 2025. The median over those five years is -$65.6 million. We use 2021-2025 because that is the period in which the company has run several programs toward late-stage trials. The first half of 2026 came in at -$38.0 million, a pace of about -$76 million a year, and the burn grew 14% in 2025. Rent paid on leases is kept as a cost. The company also took write-offs tied to its COVAXIN vaccine effort in 2023. How we value it. We credit only earning power we can point to today. None of the three therapies is approved, so we put no number on future product sales. Their price, uptake and label breadth cannot be measured yet. The first-stage OCU400 data are encouraging but small: about a two-line gain in low-light visual acuity in 8 evaluable patients at three years, measured against their untreated eyes. The Phase 3 liMeliGhT trial (140 patients) uses a new mobility endpoint. We also do not add the roughly $100 million of cash on hand at June 30, 2026, or subtract the debt. Owner earnings already reflect interest paid, and the cash is what funds the burn described below. Each case discounts the expected burn at 6% and divides by the 339.0 million shares outstanding at June 30, 2026. Bull case (-$0.25 per share, about -$86 million): OCU400 topline data (due in the first quarter of 2027) and OCU410ST topline data (second quarter of 2027) are positive. Spending runs at about $70 million a year, in line with the company's statement that its cash lasts into 2028, and our count stops at the end of 2027. After that, spending would be paid for by product and partner income that cannot yet be measured. We leave out both that cost and that reward. Base case (-$0.48 per share, about -$162 million): Spending continues at the first-half 2026 pace of about $76 million a year through 2028. That period covers the two 2027 readouts, the filings for approval, and the roughly 237-patient Phase 3 trial of OCU410, which targets filings in 2028. Nothing measurable is credited after that. Bear case (-$0.65 per share, about -$220 million): OCU400 misses its Phase 3 goal. The company presses on with OCU410 and OCU410ST through 2028 at about $85 million a year, as the geographic atrophy trial adds cost. It then winds down but still owes about $8.8 million a year of cash interest on its $130 million of 6.75% convertible notes until they mature in 2034. Those notes rank ahead of shareholders. In this case the company would owe more than it is worth: the case comes out about $220 million below zero, and the $130 million of note principal would still be owed. What the shares appear to be worth. On the evidence available today, all three cases are negative. The business consumes cash and has no demonstrated earning power. Any value the shares hold rests on clinical and regulatory outcomes that have not happened yet. We therefore see no positive margin-of-safety price supported today. That changes only if OCU400 or another program is approved and starts producing measurable sales. Financing and timing. Ocugen's 2025 annual report and its first-quarter 2026 report both said there was substantial doubt about its ability to continue as a going concern. In the second quarter of 2026 it sold $130 million of convertible notes, used $32.7 million of the proceeds to repay a 12.25% term loan, and now says its cash lasts into 2028. Management also scheduled a special shareholder meeting for September 2026 to increase the number of authorized shares, which points to further share issuance. Timelines have already slipped once: in March 2026 the company expected to begin a rolling OCU400 filing in the third quarter of 2026, and it now expects to file after the 2027 topline data. What would make this wrong. Positive Phase 3 results and an approval would create earning power this valuation does not include, and we would revalue on reported sales. The management-cited priority review voucher tied to OCU410ST and the payments under the Roots and Kwangdong agreements would matter in that case too. We could not confirm the conversion terms of the 2034 notes from the filings we reviewed, so any dilution from conversion is not reflected in the per-share figures.
