Business condition attached to the margin of safety The FDA clears the enVVe pivotal trial to begin and the company shows the trial is funded by cash on hand without a dilutive financing.
enVVeno Medical is a pre-revenue medical device developer. It is building replacement venous valves for people with severe chronic venous insufficiency, a condition in which damaged leg veins let blood flow backwards. Its first product, the surgical VenoValve, received a not-approvable letter from the FDA in August 2025. The company is now focused on the enVVe System, a catheter-based valve that has completed pre-clinical testing. The company has begun discussions with the FDA about the pivotal trial and expects to begin it in 2026. There are no sales, and no device is approved. What the business earns today. After subtracting share-based compensation and working-capital swings from operating cash flow, the company has lost money every year we measured. Owner earnings per share (restated for the 1-for-35 reverse split effective January 20, 2026) were about -$254.87 in 2020, -$68.93 in 2021, -$77.09 in 2022, -$67.68 in 2023, -$44.17 in 2024 and -$32.19 in 2025. The 2025 cash burn, on this basis, was about $19.0 million versus about $21.6 million in 2024, an improvement of roughly 12%. In the first half of 2026 operating cash outflow was $6.8 million versus $7.7 million a year earlier, also about 12% lower. Because there are no earnings to anchor on, we value what shareholders own: cash and investments, less what the business consumes before any evidenced earning power appears. What the company has. At June 30, 2026, cash was $2.8 million and short-term investments were $18.6 million, about $21.5 million in total, or about $32 per share on roughly 673,000 shares. Management stated in the 2025 annual report that its capital resources are sufficient to meet its obligations for one year after the report date, and the notes to the financial statements carry no going-concern warning. The company also says it may need to raise additional capital, which would dilute existing holders. The stock had been below Nasdaq's $1.00 minimum bid price; after the 1-for-35 reverse split that took effect on January 20, 2026, Nasdaq confirmed on February 4, 2026 that the company had regained compliance. Growth path. In 2025 the loss on this basis narrowed about 12%. The base case assumes the burn simply continues at the first-half 2026 pace, about $14.8 million a year including share-based compensation (first-half 2026 owner earnings of about -$7.4 million, doubled). That assumes no further improvement, which is below the trailing 12% improvement. We credit no revenue, no approval, and no successful trial, because none of these has happened yet and there is no contract or approved product behind them. The value of the enVVe program beyond the cash used to fund it is therefore taken to be $0. Bear case, $0 per share. Spending continues at about $14.8 million a year with nothing to show for it. At that pace the roughly $21.5 million of cash and investments lasts about 17 months, after which either new financing at heavy dilution or a wind-down leaves current shareholders with essentially nothing. Base case, $9.31 per share. One further year of spending at $14.8 million leaves about $6.6 million, which discounted at 6% is about $6.3 million, or $9.31 per share. Beyond that year nothing in the filings secures any earnings, so the story ends there. Bull case, $11.81 per share. The roughly 12% annual reduction in cash burn recorded in 2025 and the first half of 2026 continues for a further year, so spending is about $13.1 million and about $8.4 million remains, which discounted is about $7.9 million, or $11.81 per share. We do not credit an approval or a product launch in any case. What could make this wrong. If the enVVe pivotal trial is cleared, enrolls quickly and produces a positive result, the company could be worth far more than the cash it holds. That outcome is not yet evidenced, so it is not in our numbers. In the other direction, share-based compensation and new equity raises would dilute holders faster than the per-share arithmetic above shows.
