Business condition attached to the margin of safety Owner earnings run at breakeven or better, excluding one-time milestone cash, for two consecutive quarters after the 2025 upfront-recognition bump has fully worked through the numbers — or a positive pivotal readout on the combination COVID-flu vaccine.
Novavax makes a protein-based COVID-19 vaccine (Nuvaxovid) built on its proprietary Matrix-M adjuvant. For most of its history this was a story of enormous cash burn: the company spent hundreds of millions a year building manufacturing capacity and funding trials while losing money on every dose sold or given away. That changed in May 2024, when Novavax signed a collaboration and license agreement with Sanofi. Sanofi paid a $500 million non-refundable upfront fee and, starting with the 2025-2026 vaccination season, took over commercialization of the COVID-19 vaccine worldwide. In exchange, Novavax is now entitled to: royalty payments in the high-teens to low-twenties percent of Sanofi's vaccine sales; up to $350 million in COVID-19 product milestones ($75 million of which remains, tied to completing the manufacturing technology transfer); up to $350 million more tied to a combination COVID-flu vaccine Sanofi is developing using Novavax's technology; and additional payments of up to $200-210 million for each future vaccine Sanofi builds using the Matrix-M adjuvant. This is a fundamentally different, much less capital-intensive business than the one that existed before the deal, so we anchored this valuation on the two years since the transformation rather than the earlier, pre-deal history. One accounting wrinkle matters here. Novavax's 2025 results look excellent on paper - revenue of $1.1 billion and net income of $440 million - but a large part of that reflects the accounting recognition, as 2025 revenue, of cash Sanofi paid back in 2024. The liability Novavax carries for cash received but not yet earned (deferred revenue) fell by about $623 million during 2025 as that obligation was worked off; actual operating cash flow was negative $245 million for the year. The first half of 2026 confirms this was a one-time bump, not a new normal: revenue fell to $196 million from $906 million in the same period a year earlier, and the company returned to a net loss. We treated 2025's reported earnings as real - the cash was genuinely earned, just in an earlier period - but we did not extrapolate that elevated level forward, since the specific payment being recognized will not repeat. We treated stock-based compensation as a real cost (it dilutes shareholders even though it isn't a cash expense) and subtracted it in every year. Capital spending is now small relative to the size of the business - well under 1% of revenue in 2025 - so it is not a meaningful drag on value. Our base case assumes 2026 comes in well below 2025's level, consistent with the first-half trend, as royalty income and the remaining technology-transfer milestone are only partly offset by continued heavy research spending (still over $300 million a year, funding the combination vaccine and other pipeline work). From there we assume a gradual recovery toward modest, sustained profitability over several years as royalty income on Sanofi's vaccine sales stabilizes and research spending is right-sized, with occasional milestone payments adding lumpy upside. Beyond the ten-year forecast, we assumed the royalty stream fades gradually rather than continuing forever, reflecting real uncertainty about how large and durable the COVID-19 vaccine market will be a decade out and the fact that this business model is barely two years old. Our bear case assumes the combination vaccine and other pipeline programs largely fail to produce future milestone payments, the COVID-19 royalty stream disappoints as demand for the vaccine erodes faster than expected, and research spending stays elevated for longer than it should because management is reluctant to abandon programs already underway. In that scenario, the company would spend a decade running near or below breakeven while continuing to fund research from its cash balance, and the cumulative value destroyed exceeds what today's shares are worth - the bear case comes out below zero on a pure owner-earnings basis. This does not mean the company's assets are worth less than its debts today (Novavax holds roughly $735 million in cash and marketable securities against roughly $250-290 million in convertible notes), but it does mean that in a persistently disappointing outcome, continued losses would erase essentially all the value in the shares over time. Our bull case assumes the combination COVID-flu vaccine succeeds and triggers its milestone payments, additional products are licensed using the Matrix-M adjuvant, and the COVID-19 royalty stream proves more durable than the base case assumes. A few things we could not fully verify from the filings: Sanofi does not disclose Novavax's actual COVID-19 vaccine sales or the exact royalty dollar amount separately, only the royalty rate range, so we could not independently size that piece of revenue and instead relied on the company's own reported figures. We also could not determine a fixed end date for the Sanofi agreement from the filings reviewed. We checked specifically and found no going-concern warning in the most recent audited filing - the company said it expects to have sufficient capital for at least the next year - so that concern, which applied in some earlier years, no longer applies today.

IMPORTANT CAVEAT: this figure is inflated by a one-time, non-recurring event — the $622,939K deferred-revenue drawdown reflects recognition, as 2025 revenue, of the $500M Sanofi upfront payment (received May 2024) plus prior milestone cash, now being earned into income as performance obligations are satisfied, without corresponding new 2025 cash. Contract-liability balance fell from ~$1,121,886K (end 2024) to ~$498,996K (end 2025), confirming the drawdown. H1 2026 actuals (revenue $196,212K vs H1 2025's $905,895K; CFO $(105,230)K; net loss $(62,878)K) confirm this was a one-time recognition event, not a new sustainable run rate. FY2024 is a transition year: Sanofi CLA signed May 2024 but Sanofi did not take over COVID-19 Vaccine commercialization until the 2025-2026 season, so Novavax still bore most commercialization cost this year while receiving the $500M upfront (largely deferred, not yet recognized as revenue). Reconciliation check (NI+D&A+other non-cash-maint capex) ties to within a few percent; some 2023-vs-2025 ambiguity in attributing single-line non-cash items (asset-held-for-sale impairment, debt-extinguishment loss) does not affect this figure since it is built directly from tagged CFO, the WC line total, SBC and capex.
