NetSol Technologies sells software that banks, leasing companies and the finance arms of car makers use to run vehicle and equipment financing - loan and lease origination, contract servicing, collections and wholesale finance - through its NFS Ascent and Transcend platforms, plus the subscription, hosting, support and implementation services around them. Most of the engineering is done in Lahore by NetSol Technologies Ltd, a Pakistani subsidiary that is itself publicly listed in Pakistan and about 30% owned by outside shareholders. The customer base is concentrated: Daimler's financial-services arm (now Mercedes-Benz Mobility) was 19.1% of fiscal 2025 revenue and BMW's 16.1%, with Toyota, Nissan, Ford and FIAT captives among other clients. China alone was about 26% of fiscal 2025 revenue. How we measure earnings. We start from ten years of reported operating cash flow (fiscal 2016-2025), take out stock compensation, strip out working-capital timing (billing on large implementation contracts makes receivables, unbilled revenue and customer prepayments swing by $5-14 million a year), and deduct the capital spending needed to maintain the business. We then make two further adjustments that matter a great deal for this company. First, we add back the interest paid to banks so we can value the business before its lenders and then deduct the debt itself. Second, and most important, we deduct the share of profits that belongs to the outside shareholders of the Pakistani subsidiary. The Pakistani unit is where most of the group's profit is earned, while the US, European and other units have often run near break-even or at a loss, so those outside owners have taken a very large slice of consolidated profit - $18.0 million over the last ten years, against $11.5 million for NetSol's own shareholders. On this basis the cash earnings available to NetSol shareholders (before interest) have ranged from about $0.7 million in fiscal 2023 to $12.0 million in fiscal 2019, and were $4.2 million in fiscal 2025. What changed since our previous estimate. Our earlier estimate treated all of the group's cash earnings as if they belonged to NetSol's shareholders; about 30% of the Pakistani subsidiary belongs to others, and correcting that is the single biggest reason our values are lower. We also no longer assume growth the business has not demonstrated: revenue was $64.6 million in fiscal 2016 and $74.4 million in fiscal 2026, and earnings for shareholders are no higher than a decade ago, so none of our cases builds in ongoing revenue growth. Working the other way, we now explicitly credit the company's net cash and it has materially reduced one big risk - in December 2025 it signed a $50 million, four-year contract extension with a tier-one auto-finance customer of three decades (consistent in size with the Daimler relationship), which secures roughly a sixth of revenue into late 2029. We also corrected a small revenue figure that had included sales between the company's own units. Anchor. We use the ten-year median, about $3.7 million a year (roughly $0.31 per share), because the decade covers a full cycle for this business: the strong license-sale years of fiscal 2016-2019 and the weak fiscal 2020-2024 stretch of pandemic disruption, Pakistani wage inflation and a fiscal 2023 loss. In fiscal 2025 these earnings rose 31% (from $3.2 million to $4.2 million); our base case does not carry that forward and starts year one flat at the lower $3.7 million anchor, because the fiscal 2026 results released today show record revenue of $74.4 million but net income for NetSol shareholders flat at about $2.95 million, even though the company began capitalizing $2.7 million of software development costs that would previously have been expensed. We treat that capitalized development as an ongoing cost of staying competitive, not as an investment to be added back, so it does not inflate our earnings figure. Debt and cash. The group owed about $8.4 million to Pakistani banks at June 30, 2026, which a year earlier consisted almost entirely of short-term rupee export-refinance loans that roll every six months, secured on the Pakistani subsidiary's assets. Because that debt sits in the 70%-owned subsidiary, NetSol's share is about $5.9 million. Against that, the company reported $27.1 million of cash at June 30, 2026; after keeping about $14 million for day-to-day operations and the customer prepayments that swelled cash during the year, and allowing for the minority owners' share of cash held in Pakistan, we credit about $11.1 million of surplus cash. NetSol's shareholders therefore effectively hold net cash of about $5.3 million (roughly $0.45 per share). The loans carry Pakistani interest rates of around 11%, but because they are in rupees, whose long-run decline against the dollar offsets much of that rate, we make no extra charge for their cost. Interest has recently run at about $0.8 million a year and is covered in every case; the company could repay the loans from cash. Bear case ($1.60 per share). For fiscal 2027-2029 earnings for shareholders average about $2.9 million, the level of the weak fiscal 2020-2024 period. When the four-year extension runs out at the end of 2029, the renewal is lost or cut sharply, or BMW's business (16% of revenue) goes, and combined with the Pakistani wage-cost pressure the company already lived through in fiscal 2023 this leaves only about $1.0 million a year through year ten, fading to nothing over the following five years. The business is worth about $13.7 million to NetSol shareholders; add $5.3 million of net cash for about $18.9 million, or $1.60 per share. Base case ($3.99 per share). Earnings hold at the $3.7 million ten-year median. The secured contract extension, a subscription and support line that reached $35.8 million in fiscal 2026 (almost half of revenue), and $49.1 million of contracted but unrecognized revenue at June 30, 2026 support that level; the persistence of customer relationships that have lasted up to thirty years through several product generations supports holding it for fifteen years, after which we fade it to zero over ten years because nothing we can evidence guarantees the platform beyond that. The business is worth about $41.9 million; plus $5.3 million of net cash gives about $47.1 million, or $3.99 per share. Bull case ($5.62 per share). Earnings return to the ten-year average of about $4.8 million - a level the business has actually achieved, driven by license sales like those in fiscal 2016-2019, and in reach given that license fees rebounded to $5.0 million in fiscal 2026 from $0.6 million - held for twenty years before fading over ten. The business is worth about $61.0 million; plus $5.3 million of net cash gives about $66.3 million, or $5.62 per share. We did not go higher: despite record revenue in fiscal 2026, profit for NetSol shareholders did not rise, and a growing share of the group's profit is going to the minority owners in Pakistan. What would make this wrong. On the upside, if the Pakistani unit keeps buying back its own shares (it cut outside ownership from 32.4% to 30.2% in fiscal 2025), or the US and European units become consistently profitable, more of the group's earnings would reach NetSol shareholders. On the downside, losing a large auto-captive customer, a sharp fall in China revenue (already down from $20.7 million to $17.0 million in fiscal 2025), or a Pakistani currency or banking disruption affecting cash held there would push toward the bear case. Margin-of-safety price. With a small company, two customers providing about 35% of revenue, most profit earned in a partly owned foreign subsidiary, and a bear case at less than half of the base, the margin of safety is wide, roughly 47% below the base value: the margin-of-safety price is about $2.10 per share. Items not fully reconciled: the fiscal 2026 figures used for cash, debt and the capitalized software come from the company's results release of September 28, 2026; the audited annual report was not yet available, so fiscal 2026 is not included in our ten-year earnings record.

Chart analysis
A chartist would see NTWK trading near $4.90 in late September 2026, in the upper half of a 52-week range of roughly $2.73 to $5.75. The stock roughly doubled from its 52-week low near $2.73, then pulled back from the $5.75 high and is now pushing back toward it into the fiscal 2026 results. A technician would call the one-year trend up, treat the $5.75 area as overhead resistance where a decisive close above would confirm a breakout, and see the $4 area and then roughly $3 as support if the move fails.
