Business condition attached to the margin of safety Positive, statistically significant topline data from the Phase 3 AFFIRM-1 trial in social anxiety disorder, or from the planned Phase 2b/3 SYMPHONY trial in PTSD (whichever reads out first), confirming a viable path to FDA approval.
Neuphoria Therapeutics is a clinical-stage drug developer focused on anxiety and trauma-related disorders. Its lead candidate, BNC210, is now in a Phase 3 trial (AFFIRM-1) for social anxiety disorder, with FDA alignment reached after an earlier Phase 2 trial (PREVAIL, 2022) missed its main goal but showed a signal the company redesigned the pivotal trial around. A second, positive Phase 2b trial (ATTUNE) supports a planned Phase 2b/3 trial (SYMPHONY) in PTSD, which the company has said it will start in the first half of 2026 provided it has enough cash on hand at the time. Separately, since 2014 the company has out-licensed two other central-nervous-system compounds to Merck, which funds all the research itself and pays Neuphoria milestone payments as the programs advance -- $20 million up front, $10 million in 2017, and $15 million in March 2025 when Merck moved one compound (MK-1167) into a Phase 2 Alzheimer's trial. Roughly $45 million has been received this way over 11 years, with more potentially available, though the company itself says it cannot predict if or when further payments will occur. The company has no product sales -- everything to date is upfront and milestone payments from partners. Historical cash flow reflects this: the business has burned roughly $15-17 million a year funding its own trials, financed almost entirely by issuing new shares (shares outstanding have grown roughly six-fold in under two years). The one exception was the year ended June 2025, when the $15 million Merck payment temporarily pushed cash flow to roughly breakeven; stripped of that one-time item, the underlying burn that year was in line with the prior year. Because BNC210 has not been approved for sale, none of the three cases below assumes any revenue from it -- only costs that are already being incurred, and the Merck relationship's demonstrated but irregular history of payments. That is a deliberate and important limitation: it means these figures do not capture the upside if either trial succeeds and leads to approval, which would be a material positive development not reflected here. The bear case assumes trial spending continues at its current elevated pace for about three years while both trials run, no further Merck payments arrive (management's own words: these cannot be predicted), and after that the company scales back given the prior clinical disappointment in this same indication. The base case assumes a similar but gradually moderating spending path and credits roughly one further Merck-style milestone over the next decade, consistent with the pace of the last 11 years. The bull case assumes disciplined cost control on the trials plus two further Merck milestones, roughly matching the collaboration's historical cadence. Under all three cases, the value comes out negative -- meaning, on a pure cash-flow basis and excluding any credit for drug approval, the business consumes more cash than it is likely to bring in in cash from operations and its partnerships over the next decade. This does not mean the shares are worthless; it means their value, if any, rests on BNC210 succeeding in the clinic and reaching approval, which is not yet established and is therefore not something we can put a number on today. Given that, the ongoing cash-flow economics alone support no positive margin-of-safety price; any value above that depends on a specific, verifiable trial or regulatory result.

IMPORTANT: FY2025 revenue of $15,649,448 and the resulting near-breakeven CFO/NI are driven almost entirely by a one-time $15.0 million milestone payment received March 19, 2025 from Merck (third milestone under the 2014 Research Collaboration and License Agreement, triggered by Merck's Phase 2 initiation for MK-1167 in Alzheimer's dementia). Ex that one-off, underlying operating cash burn was approximately $(14.9) million, in line with FY2024. This one-off nature is treated explicitly in the growth-path/anchor discussion in the Analysis record, not by altering this stored figure. Source: FY2025 10-K, accession 0001193125-25-223338.

Note: this is the earliest year with clean annual data in this system (company began domestic 10-K filing in FY2024); flagged as noisier than FY2024/FY2025 given the large one-off AR/tax-credit swing and the approximated share-conversion ratio.
