Nephros makes point-of-use water filtration products sold mainly into two channels: medical-grade filters used by hospitals for infection control (removing waterborne pathogens like Legionella and Pseudomonas) and filters used in dialysis clinics to purify the water and bicarbonate concentrate used in kidney dialysis, plus a smaller line of commercial filters (taste/odor, scale, and a newly launched filter targeting PFAS "forever chemicals") sold to hospitality, food service, and industrial customers. The medical filters are FDA-cleared Class II devices built on a licensed hollow-fiber membrane technology. The business changed shape in 2022, when Nephros exited an unrelated genetic-diagnostics unit and a small foreign subsidiary; both were sold or wound down, with a one-time non-cash write-off. Since then Nephros has operated as a single, focused water-filtration business, and that is the business valued here. Revenue in that cleaner business has grown from about $10.0 million (2022) to $18.8 million (2025), including 33% growth in 2025 alone, and continued at a similar pace in the first half of 2026. Reported cash flow briefly turned negative in the most recent half-year, but that tracks a large build in receivables and inventory to support the higher sales volume, not a deterioration in profitability - net income for the same six months was up 68% year over year. A key feature of the model: Nephros's core medical filter membrane is supplied under a long-running license and supply agreement with an Italian manufacturer, in place since 2012, that carries minimum purchase commitments rising each year (roughly proportional to volume) through a hard expiration date at the end of 2030. Nephros met its 2025 purchase minimum. This combination - an 18-year, still-expanding relationship, but with a firm end date and no confirmed renewal - is the single biggest swing factor in this valuation, more so than day-to-day demand. Three cases were built: The base case assumes the current growth trajectory continues, moderating over time, through the current contract period, and that the supply relationship is extended in some form afterward given the multi-year track record and rising committed volumes already locked in through 2030. It also assumes the earnings run-rate resets each year off actual reported results rather than compounding an overly generous starting growth rate - next year's growth is set well below the unusually strong rate posted in 2025 to avoid extrapolating a single good year forward. On this path, Nephros is worth around $5.58 per share today. The bear case takes the licensing risk at face value: growth continues but at a slower pace through 2030 (reflecting a customer base that has grown more concentrated - the top three customers rose from 23% to 44% of receivables in a single year), and then the supply agreement is not renewed, removing the large majority of the medical filtration business with nothing to replace it, leaving only the smaller, non-dependent commercial filter line. On this path Nephros is worth around $1.58 per share. The bull case assumes the company keeps executing on its current momentum, aided by rising regulatory attention to PFAS in drinking water (a real, dated federal rulemaking) that plays to its newest product, a large and still-growing US dialysis population, and a renewed or expanded supply relationship past 2030. On this path Nephros is worth around $6.79 per share. Given how much of the value swings on a single licensing relationship with a fixed 2030 end date and no visible renewal yet, along with the company's small size and rising customer concentration, the margin-of-safety price is set at a meaningful discount to the base-case estimate: around $2.80 per share. No single business condition needs to be met first - the discount already reflects the licensing-renewal uncertainty - but a reader should watch two things over the next several years: whether the company continues to meet its rising annual purchase minimums under the license, and whether customer concentration keeps climbing. Both are disclosed by the company each year and would be the earliest signs of whether the base case or the bear case is playing out. One item could not be fully reconciled from the filings: the exact split of revenue between the dialysis and infection-control product lines is not separately disclosed, so the share of revenue tied to the licensed technology is an estimate rather than an exact figure.

This year describes a different, larger and lossmaking business than the current single-segment water-filtration company and is excluded from the valuation anchor.
