NeoVolta Inc. (NEOV) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.00 ComplexityAverage Updated
NeoVolta designs and builds home and small-business battery storage systems (the NV14, NV24, NVPlus and NV7600 inverter) at its Poway, California plant and sells them through wholesale dealers and solar installers, first in Southern California and now in other U.S. states and Puerto Rico. Revenue was $4.5 million in fiscal 2022, $3.5 million in 2023, $2.6 million in 2024, $8.4 million in 2025 and $13.3 million in fiscal 2026 (year ended June 30, 2026). The business has not yet produced cash for its owners. Cash flow from operations was negative in every year we examined: about negative $1.0 million in fiscal 2024, negative $4.4 million in fiscal 2025 and negative $15.2 million in fiscal 2026. After removing working-capital swings and treating stock compensation as a real cost (it was $2.1 million in fiscal 2025 and $5.0 million in fiscal 2026), our measure of owner earnings was about negative $0.05 per share in fiscal 2024 and negative $0.15 per share in fiscal 2025, and it was worse again in fiscal 2026. We could not fully reconcile the fiscal 2026 cash flow statement to the net loss from the data available, so we did not record a fiscal 2026 per-share figure, but the direction is clear. Losses have been funded by issuing shares: the diluted share count rose from 33.6 million in fiscal 2025 to 39.3 million in fiscal 2026. The company states that its financial statements are prepared on a going-concern basis that depends on obtaining financing, and in September 2024 it arranged a credit line of up to $5 million to cover near-term needs. What each case assumes: we credit growth only where it is contracted or is the output of a long, repeated process, and NeoVolta has no such record. Revenue fell for three straight years (fiscal 2022 to 2024) before rising, the company itself notes that it depends on a relatively small number of wholesale dealers and installers for its revenue, and it typically fills orders in under two weeks, so there is no order backlog to build on. Sales growth in fiscal 2025 and 2026 is real, but it came with larger losses (fiscal 2026 gross profit was $2.1 million against $20.3 million of operating expenses), so it has not yet created earning power we can name and evidence. The bear, base and bull cases are therefore each valued at $0 per share. The bear case is continued cash burn funded by further share issuance, which dilutes existing holders. The base and bull cases give no value to hoped-for scale, margin improvement or new products, because none has yet produced positive cash for owners. What would make this wrong: if sales scale enough that gross profit covers the operating cost base, the shares would be worth something. We have not counted that because it has not yet happened, and positive operating cash flow would need to appear before the business is valued above zero. On that basis no margin-of-safety price can be set today.
