Business condition attached to the margin of safety Two consecutive quarters showing the combined bank (including the Texas acquisition) earning at least about $0.70 per share excluding one-time merger costs, confirming the acquired earnings are arriving.
National Bank Holdings is the parent of NBH Bank, a community and commercial bank with about $10 billion of assets before its January 2026 purchase of Texas-based Vista Bank (about $12.4 billion pro forma). It earns money mainly from the spread between loan yields and deposit costs (net interest margin 3.94% in 2025, up from 3.85%), and from mortgage and SBA lending fees. Roughly a quarter of deposits pay no interest, a durable funding advantage. How we measure earnings. We start from operating cash flow, then remove the swings from mortgage loans being originated and sold (the cash flow statement records these as operating items, and they moved cash flow from -$6 million in 2020 to $215 million in 2022), and then subtract stock compensation and capital spending on branches and technology. That gives owner earnings per share of roughly $2.77 to $3.78 over 2019-2025 (2025: $3.71; 2024: $3.17; 2023: $3.59). We anchor on the median of 2019-2025, about $3.39 per share, the period in which the bank became a larger, mostly organic lender; earlier years reflect a much smaller, post-crisis bank. A bank's cash flow adds back its provision for credit losses, yet steady-state lending has real charge-offs, so we deduct about $0.20 per share a year for a normal level of losses. 2025 net charge-offs were higher (0.34% of loans, $25.2 million, partly one charge-off that the company's 2025 10-K attributes to suspected fraud by the borrower) than the 0.02%-0.13% of the prior four years. The Vista purchase closed January 7, 2026 for about $378 million ($89 million cash and 7.3 million shares), lifting the share count from about 38 million to about 45 million. Because the filings do not break out Vista's earnings, we credit only a modest contribution. The first half of 2026 supports caution: net income was $47.3 million versus $58.3 million a year earlier, while per-share results fell more because of the extra shares, merger costs and higher stock compensation. We cannot tell from the filings how much of that is one-time. Base case: about $2.86 of owner earnings per share (about $129 million in total: existing bank about $122 million after normal credit costs, Vista about $10 million, less about $3 million of lost interest on the cash paid), held flat for 20 years, then fading to zero over the following 20 years as competitive pressure and rate cycles erode what we can evidence. First-year growth is set at zero versus 17% actual growth in 2025 because that jump came from a weak 2024, not a trend. Value: about $38.50 per share. We credit no loan growth, cost savings or share gains: the bank's growth has come from occasional large acquisitions and average loans actually fell in 2025. Bear case: owner earnings of about $2.00 per share (the bank's weaker 2019-2022 level, credit losses at 0.2% of loans, only $5 million from Vista), one to two further years of elevated losses like 2025, then a 15-year flat period and fade. Value: about $22 per share. This case reflects the bank's disclosed credit losses and integration risk, not a catastrophe. Bull case: 2025's stronger level of about $3.6 per share on the enlarged base with Vista contributing about $25 million, held flat for 25 years and fading over 25 more. Value: about $50 per share. What could make this wrong: Vista earning far less (or more) than assumed; a larger credit event, since commercial real estate and the 2025 charge-off the company attributed to suspected borrower fraud show losses can spike; falling short-term rates compressing the margin; or mortgage income (which boosted 2020) shrinking. In 2025 the annual report also disclosed the bank's first-half 2026 profit dipped, which we could not fully reconcile to merger costs. We mention that the acquisition announcement valued shares at a price we disregarded in our own valuation.
