Madison Square Garden Sports owns the New York Knicks (NBA) and New York Rangers (NHL), their minor-league affiliates (Westchester Knicks and Hartford Wolf Pack) and a training center. Revenue of $1,154M in fiscal 2026 (year ended June 30) comes from tickets, suites and sponsorships at The Garden, national league media distributions, local telecast fees paid by MSG Networks, and playoff games. The teams play at The Garden under 35-year license agreements that expire in June 2055. The company has announced a plan to spin the Rangers off to shareholders; we value the combined company as it exists today. How we measure earnings. We start from operating cash flow, remove the swings in working capital, and deduct share-based pay and maintenance capital spending (tiny here, $1.4M in fiscal 2026). Owner earnings per share were about -$3.46 (fiscal 2021, pandemic year), $3.30 (2022), $1.65 (2023), $2.96 (2024), -$2.39 (2025) and $0.54 (2026). Only fiscal 2021 onward is used because earlier years included the entertainment venues business, which was spun off in 2020. We excluded fiscal 2021 (games played without normal attendance) and fiscal 2025. In 2025 the company recorded a $52M deferred-tax credit and paid $57M of current tax despite a pre-tax loss, because about $39M of player waiver and contract-termination costs were expensed but not yet tax-deductible; the matching accrual sits in the working-capital line we remove, so keeping one side and dropping the other makes that year look worse than the business was. Year-over-year growth is not meaningful from a negative base; our base case assumes no growth in year one. What changed inside the earnings. Local telecast fees were cut in June 2025 (28% for the Knicks, 18% for the Rangers, effective January 2025, escalator removed, contracts now ending after the 2028-29 season). Stated local fees were $139M in fiscal 2026 versus $163M in 2025. The NBA's new national media agreements (through the 2035-36 season) added $41M of league distributions, but player compensation rose $41M and revenue sharing plus NBA luxury tax rose $23M to $130M. So the strong 2023 and 2024 results predate the local-fee cut and higher payroll costs, and they do not describe today's earning power. The Knicks won the 2026 NBA championship; nine home playoff games were played in both 2025 and 2026, so we do not treat the title run as a windfall in the level. We do not credit any growth in national media fees, ticket pricing, sponsorship or the new NHL Canadian agreement (starting 2026-27) because the filing gives no amounts we can rely on. Fees are simply not yet quantifiable. Base case: about $11.40 per share. Starting owner earnings of $0.84 per share: fiscal 2026's $0.54 plus about $0.30 for roughly $13M of pre-tax costs unlikely to recur (executive transition $7.2M, Rangers separation $3.8M, restructuring $2.1M, taxed at 44%, the fiscal 2024 effective rate). Held flat for 29 years to the 2055 end of the arena licenses at a 6% discount rate, and then zero, because nothing in the filings tells us what follows. We assume local telecast fees continue at today's stated level after 2029, since MSG Networks holds a right to make a firm offer and to match third-party bids and the teams have sold these rights every year. Bear case: about -$0.70 per share. Fiscal 2026 costs recur at $0.54 per share for three years. After 2029 the local telecast fees are re-set lower by about 23% (the midpoint of the 18% to 28% cut just imposed, which shows the counterparty's limits), lowering earnings by about $0.74 per share to roughly -$0.20 a year through 2055. On earnings alone the shares would be worth about nothing, and the company would owe slightly more than the earnings stream is worth. Debt matters here: $242M was drawn on the Knicks revolving facility and $16.5M was owed on the Rangers NHL advance at June 30, 2026, with another $20M borrowed in July 2026. Interest is already in our earnings. Our earnings-based measure ignores the franchises' resale value, which is a separate matter. Bull case: about $22.40 per share. Owner earnings return to $1.65 per share, the median of fiscal 2023, 2024 and 2026, which is what the teams have earned three times in four years with the same arena and league contracts. Levers named in the filings: the NBA national deals running to 2035-36, the new NHL deal from 2026-27, and one-time costs falling away. Held for 29 years. What could make this wrong. Working capital has been a steady cash inflow (about $312M over fiscal 2022-2026, including roughly $25M to $28M a year from lease accounting where cash rent lags expense and will catch up). Reported operating cash flow averaged $115M a year, about $4.80 per share before share-based pay. If the accrued liability build, mainly luxury tax and revenue-sharing accruals, is a permanent float rather than a timing effect, we understate earnings. The Garden is not owned by the company, the arena licenses must be renewed in 2055, and the NHL's U.S. national media agreements expire after 2027-28. The margin-of-safety price is about $5 per share: highly variable year-to-year earnings, dependence on league media contracts and a leveraged balance sheet warrant a discount of more than half to the base value.
