Morgan Stanley Direct Lending Fund is an externally managed lender. It holds about $3.8 billion of loans, roughly 96% first-lien senior secured term loans to U.S. middle-market companies owned by private equity sponsors. Its earnings are the interest on those floating-rate loans, less interest on its own borrowings and fees to its manager. It reports as a business development company, so it generally distributes most of its income to shareholders. How we measured earnings. Cash from operations is not meaningful for a lender, because buying and repaying loans runs through it (it was negative $1.7 billion in 2021 while the portfolio was built). We used net investment income, which is already after all interest costs and management and incentive fees, and there is no stock compensation or capital spending to deduct. Per share it was $2.34 (2021), $2.08 (2022), $2.69 (2023), $2.51 (2024) and $2.05 (2025). Because a lender's real cost of doing business is loans that go bad, we also deducted an ongoing credit-loss charge of $0.25 per share a year. That is the average yearly net realized and unrealized loss over 2021-2025 (worth about $1.27 per share across the five years, with 2022 at -$1.29 and 2025 at -$0.65). Starting level. The higher 2023-2024 results reflected income levels that have since fallen (total investment income was $416.1 million in 2024, $397.3 million in 2025 and running about 11.5% lower in the first half of 2026), so we did not anchor on them. We used the 2025 level of $2.05 per share, close to the 2022 figure of $2.08. The first half of 2026 supports a lower path: net investment income was $0.94 per share against $1.03 in the first half of 2025, and the two quarters ran about $0.48 and $0.46. Growth path. Net investment income per share fell 18% in 2025. The base case assumes a smaller decline of about 8% in 2026 (to about $1.88), because the first-half 2026 decline was already only about 9%, then a further step down to $1.75 in 2027 as the decline in total investment income seen in the first half of 2026 continues to flow through. No growth is credited: adding loans would need new borrowing or new shares, and neither is secured. What is credited is the ability to keep a flat loan book by reinvesting repayments, which the fund's reported record supports. After the deduction of $0.25 a year for credit losses, base-case owner earnings are about $1.63 in year one and $1.50 afterwards. We hold that flat for ten years, then fade it to zero over the following ten years, because the evidence for the manager's origination record is only about five reported years long and nothing named supports it beyond that. This gives a base value of about $14.23 per share. Bear case ($9.13). Continued falling income takes net investment income to about $1.55 by 2027. Credit losses run at $0.65 a year for three years, matching 2025, because four portfolio companies were on non-accrual status at the end of 2025 with $60.4 million of amortized cost (versus two a year earlier), and net asset value already fell from $20.26 to $19.50 in the first half of 2026. Losses then ease to $0.40 a year. The stream fades to zero over five years after year ten. Borrowings are meaningful (asset coverage of 183% at year-end 2025 versus a 150% legal minimum), which is why this case is materially lower. Bull case ($17.78). Net investment income holds at the first-half 2026 run rate of about $1.88, and credit losses return to the $0.15 a year average of 2021-2024. Owner earnings of about $1.73 stay flat for ten years and fade to zero over the next fifteen. We did not include growth in the loan book or a recovery in interest rates, since neither is something we can point to in the filings. What we tested. A large part of the base value comes from the assumption that the loan book is recycled at par indefinitely. The filings support that record, but net asset value per share has drifted from $20.91 (2021) to $19.50 (June 2026) even though the portfolio is 96% first lien, showing losses have been real. If losses stay near the first-half 2026 pace, the bear case is closer to the truth than the base case. The margin-of-safety price is near the bear case, about $9.00 per share, because earnings are falling, credit losses have been rising and the balance sheet uses borrowed money.
