MainStreet Bancshares is the holding company for MainStreet Bank, a commercial bank in the Washington, D.C. area. Most of its loans are made within a 15-mile radius of the city. It earns money mainly from the gap between what it charges on loans (about $1.09 billion of them are commercial real estate and construction loans) and what it pays on deposits. How we measure earnings. We start from the cash the bank generates from operations, remove one-year swings in receivables and payables, and subtract stock compensation and the equipment spending needed to stay in business. Two bank-specific judgements matter. First, the provision for loan losses is not a cash cost in the year it is booked, so we separately deduct a normal level of loan losses (about $0.18 per share per year, based on net charge-offs averaging roughly 0.09% of loans over 2023 to 2025). Second, the bank pays about $2.2 million a year on its perpetual preferred stock, which is a claim ahead of common shareholders, so we deduct about $0.28 per common share each year. The $19.7 million write-off of technology software in 2024, which caused that year's reported net loss of $10.0 million, was a non-cash charge tied to the bank's financial technology segment and is not treated as a recurring cost. The earnings record. Owner earnings per share were $1.70 (2018), $1.90 (2019), $2.23 (2020), $2.70 (2021), $3.92 (2022), $4.02 (2023), $1.98 (2024) and $1.89 (2025). The 2022 and 2023 results were the high points of the series; net interest income (interest earned less interest paid) then fell about 18%, from $76.7 million in 2023 to $62.6 million in 2024, and recovered to $69.5 million in 2025. We therefore do not treat those two years as normal. Our starting level is $2.23 per share, the middle value of 2019 to 2025. It is above the last two years, which is supported by the first half of 2026: net income was $8.8 million against $7.0 million a year earlier, with both quarters up. In 2025 owner earnings fell about 4% from 2024; our first year starts above that because of the 2026 figures reported in the second-quarter filing. We credit no growth after that. Total assets were roughly flat in 2025 ($2.21 billion against $2.23 billion), and a bank's growth depends on new lending and rate conditions that are not yet secured. Base case, $29.50 per share. Earnings of $2.23, less $0.18 of normal loan losses and $0.28 of preferred dividends, leave about $1.77 a year, which we treat as lasting because the deposit and lending franchise has produced positive owner earnings in every year since 2018. Discounted at 6% this is worth about $29.50. That is about 1.2 times the reported book value of $25.52 per share. Bear case, $16.50 per share. Earnings fall to $1.50, similar to the squeeze seen in 2024, and losses run at 0.25% of loans for three years, the rate seen in 2024. This is grounded in the filing: non-performing loans rose to $31.5 million (1.69% of loans) at the end of 2025 from 1.18% a year earlier, and the loan loss allowance of $19.3 million covers only about 61% of them. The bank also holds $791.8 million of non-owner-occupied commercial real estate loans plus $300.7 million of construction and land loans, concentrated in the D.C. area. After losses and preferred dividends, this case is worth about $16.50. Bull case, $40.20 per share. Earnings return to about $2.75, near the $2.70 reached in 2021, as the 2026 improvement continues, and losses stay at the 2023 level of 0.03% of loans. After preferred dividends this is worth about $40.20. What would prove these estimates wrong. Losses on the $31.5 million of problem loans or on office and other commercial property exceeding the allowance would push value toward the bear case. Faster loan growth at good margins, which we do not assume, would push it higher. The margin-of-safety price is $17.50, about 40% below the base case and near the bear case, reflecting the commercial real estate concentration, the rise in problem loans and the bank's small size.
