Business condition attached to the margin of safety Two consecutive quarters of operating cash flow of at least $25 million each.
MannKind makes inhaled medicines on its Technosphere dry-powder platform. Today its most valuable asset is a royalty: United Therapeutics pays MannKind 10% of net sales of Tyvaso DPI, an inhaled pulmonary hypertension treatment that MannKind also manufactures for United Therapeutics in Danbury, Connecticut, on a cost-plus basis. In December 2023 MannKind transferred 1% of that royalty to Sagard Healthcare for $150 million, so it keeps 9%. The rest of the company is its own products: Afrezza inhaled insulin (approved for children aged 6 and up on May 29, 2026), the V-Go insulin patch, and Furoscix, an under-the-skin diuretic for heart-failure and kidney patients that came with the October 2025 purchase of scPharmaceuticals. That purchase was funded with $325 million of Blackstone term loans. How much cash the business produces. We measure owner earnings as operating cash flow with working-capital swings removed, minus stock compensation (treated as a real cost) and minus the capital spending needed to maintain the business. On that basis MannKind first produced positive owner earnings in 2024 (about $49 million, $0.17 a share) and 2025 (about $39 million, $0.12 a share); every earlier year lost money. Adding back cash interest gives the cash the business generates before its lenders: about $66 million in 2024 and $54 million in 2025. Only these two years describe the business as it now exists, so we treat them as the normal level the company has already reached. Underneath that, the 9% royalty brought in about $115 million in 2025, which means everything else combined consumed roughly $62 million. What changed this year. In the first half of 2026 revenue rose 29% to $199.5 million, but the company reported a net loss of $35.7 million and operating cash flow of minus $23.7 million. Furoscix and the Afrezza pediatric launch added large sales forces (sales, general and administrative costs were $58.3 million in the second quarter versus $31.6 million a year earlier), and interest expense rose to $11.9 million a quarter. Royalties grew only 4% year on year in the second quarter, against 25% in 2025. Owner earnings fell about 20% in 2025. Our base case assumes a further and steeper fall in 2027, to cash before interest of roughly minus $3 million, because the first-half 2026 results already show that fall. In July 2026 the FDA approved the Furoscix ReadyFlow autoinjector. That triggered a $45 million payment to former scPharmaceuticals holders, which MannKind funded by issuing about 12.9 million shares and pre-funded warrants at $3.89. On our estimate the first half of 2026 cash flow before interest was roughly minus $15 million annualized, against plus $54 million in 2025. Our previous figures were built on a different basis and are not comparable; the business changes since then are those listed in this paragraph. What the company owes. We subtract the $325 million Blackstone loan (9.35% effective rate, all due August 6, 2030) and the $103 million financing liability on the Danbury plant sale-leaseback (9.1%). We add back cash and short-term investments of $111.1 million at June 30, 2026, less about $30 million kept for operations, plus the $5 million left from the July share issue after the $45 million payment. Both borrowings cost well above a long-bond rate for years, so we add about $69 million for the excess interest. Net debt comes to about $411 million, spread over about 322.8 million shares including the July issue. Base case. The 9% royalty holds near its current run rate of about $117 million a year and edges up 3% in 2028 and 2029. We credit no further growth because a competing inhaled treprostinil (Liquidia's Yutrepia, launched June 2025 according to Liquidia's 2025 annual report) is now on the market and royalty growth has already slowed to single digits. The other businesses consume about $120 million in 2027 as the launches absorb spending, improving to about $60 million a year from 2030. That is roughly the 2025 level, and we treat it as a return to a level already reached rather than as growth. Tyvaso DPI's longest patent runs to 2035. The license says royalties continue after patent expiry on a reduced share of net sales, so we keep half the royalty in 2036 and a quarter in 2037, then stop. The business is worth about $362 million against about $411 million of net debt, so in this case the company owes roughly $48 million more than it is worth: about minus $0.15 a share. Bear case. Yutrepia and other new pulmonary hypertension treatments take share from Tyvaso DPI, so the royalty falls 4% in 2027 and 8% a year after that. That is the kind of decline an inhaled therapy can suffer once a direct competitor is on the market, but it is an estimate, not a disclosed fact. Afrezza and Furoscix stay unprofitable, consuming $60 million or more a year. Cash before interest never covers the roughly $40 million of annual interest. This case does not survive the 2030 maturity without a restructuring or heavy dilution. The business is worth about $28 million against $411 million of net debt, about minus $1.18 a share: the company would owe roughly $382 million more than it is worth. Bull case. Tyvaso DPI keeps growing 6% a year through 2035, Afrezza's pediatric approval and Furoscix ReadyFlow cut the losses in the other businesses to about $20 million a year by 2030, and the royalty fades more slowly after 2035. The business is worth about $870 million against $411 million of net debt, about $1.42 a share. Accounting judgements. Acquired-intangible amortization and inventory write-offs ($10.4 million in 2025) are non-cash and do not reduce owner earnings, but the patent dates (Afrezza 2032, Furoscix 2034, Tyvaso DPI 2035) end the royalty fade in every case. The royalty transferred to Sagard is excluded from cash flow rather than subtracted as debt. Working capital uses each line of the cash-flow statement; for 2025 net income plus non-cash items plus those lines ties exactly to reported operating cash flow of $18.3 million. Margin of safety. We are reasonably confident in the royalty, because it is a contractual 10% of a product United Therapeutics markets. We are not confident in the cost of the rest of the company, which has not yet earned money as a whole and has grown much larger since the Furoscix acquisition. The worst plausible outcome is the bear case: falling royalties meet a single $325 million maturity in 2030, with shareholders already in a stockholders' deficit of $67 million at June 30, 2026. The company pays no dividend. On today's facts the base case has no value left after debt, so no positive price meets a 20% annual return target. The margin-of-safety price of $0.40 applies only if the non-royalty businesses stop consuming cash, observable as operating cash flow of at least $25 million in each of two consecutive quarters. In that situation the other businesses lose about $20 million a year instead of $60 million or more, and the shares would be worth roughly $1.00 in five years. From $0.40 that implies roughly 20% a year over the assumed five-year holding period. From that price the bear case implies a total loss.
