Business condition attached to the margin of safety Hologen's remaining ~$95 million payment for the AAV-GAD joint venture has actually been received and the $25 million June 2026 debt paydown made, with cash covering the remaining $50 million due May 2027.
MeiraGTx is a clinical-stage gene therapy company with no approved products and no product sales. Its revenue is collaboration income: an $81.4 million in 2025 (up from $33.3 million in 2024), mostly recognised from deals with Johnson & Johnson (RPGR gene therapy for X-linked retinitis pigmentosa, sold to J&J in 2023) and, from November 2025, Eli Lilly. It is a heavy cash burner: operating cash flow was -$46.4 million in 2025 and -$104.5 million in 2024, and after adding back the stock compensation it pays staff (a real cost, about $22 million in 2025), our measure of what the business earns for owners was about -$0.75 per share in 2025 and between -$1.46 and -$3.25 per share in every year from 2020 to 2024. Because no year has been profitable, there is no earnings level to capitalise, and we value only what is contracted or already received. What we credit. In March 2025 MeiraGTx signed a strategic collaboration with Hologen AI to form a joint venture (Hologen Neuro AI) around its Parkinson's program AAV-GAD, with a $200 million upfront payment to MeiraGTx and up to $230 million of further committed funding to take the program through approval; MeiraGTx keeps 30%. The filing shows $55 million already received and non-refundable in early 2026, $5 million receivable, and $95 million still to come at closing, which the company expected in the second quarter of 2026 (we could not confirm the closing from the filing we relied on). Against that, MeiraGTx owes Perceptive Credit $75 million of secured notes ($25 million due by June 2026, $50 million due May 2027, at SOFR plus 10%). The company itself estimates that cash plus these receipts funds operations into the second half of 2027. Base case: the Hologen money is received, the debt is repaid, and the company burns roughly $60 million a year until the JV takes over funding of AAV-GAD. That leaves roughly $50 to $60 million of equity value, about $0.60 per share on roughly 88 million shares (80 million average diluted in 2025 plus ongoing issuance). Nothing beyond that is credited: the milestones below depend on trials and approvals that have not happened, and the 30% JV stake and the pipeline (xerostomia, gene regulation platform) have no contracted cash flows. Bear case: the Hologen closing slips or fails, so only the $60 million received or receivable arrives against $75 million of debt and about $90 million of two-year cash burn. The company then owes more than it is worth, by roughly $35 million, or about $0.40 per share. Debt maturing in May 2027 and an already-once-extended maturity make this a named risk, not a hypothetical one. Bull case: the Hologen money arrives and the milestones already written into signed contracts are reached on schedule: up to $135 million of near-term Lilly payments on development and regulatory achievements and up to $285 million from Johnson & Johnson on first US and European commercial sale of the RPGR product and manufacturing transfer, assumed received about three years out and discounted at 6%. That lifts value to about $4.60 per share. We do not add any value for products beyond these contracts. What could make this wrong. The shares depend on a single unclosed-at-filing transaction and on regulators. Positive: J&J's RPGR programme is late-stage and a US approval would trigger cash. Negative: the company has spent more than it earned every year since 2019, and future equity raises would dilute existing holders. We could not fully reconcile working-capital movements line by line because some cash-flow items are not separately tagged; the effect on the conclusion is small relative to the size of the losses.
