Manhattan Associates makes software that runs the physical operations of supply chains: warehouse management, transportation planning, and inventory visibility for large retailers, wholesalers, and logistics providers. The business has been shifting for several years from selling one-time, on-premise software licenses to selling cloud subscriptions, and that shift is now well advanced: cloud subscription revenue grew 21% in 2025 to $408 million, now 38% of total revenue, and the company's contracted-but-not-yet-recognized cloud backlog stood at roughly $2.2 billion at year-end 2025, up 25% from a year earlier, with over 98% of it locked into cloud contracts running more than a year. That transition has structurally improved the economics of the business. Owner earnings per share (the cash a shareholder could pocket each year after the company reinvests what it needs to keep running, not grow) went from roughly $1.50-$1.78 in 2016-2022 to $2.43 in 2023, $3.02 in 2024, and $3.76 in 2025, as cloud's higher, more predictable margins replaced a lower-margin mix of licenses, maintenance, and professional services. We anchor our valuation on the median of the last three fiscal years ($3.02/share, the 2024 level) rather than the 2025 peak, because part of 2025's jump reflects an unusually large positive swing in working capital (a bigger increase in deferred/unearned revenue than in 2024, plus a favorable tax-timing item) that may not repeat every year at the same size. Two accounting judgments matter here. First, stock-based compensation is a real and growing cost - it rose from about $59 million in 2022 to $111 million in 2025 - so we subtract the full amount as an expense rather than treating it as free money, even though the cash flow statement adds it back. Second, Manhattan expenses its software development costs rather than capitalizing them, so there is no hidden amortization cliff to plan for; the R&D spending that keeps the product competitive is already inside our owner-earnings figure. Actual owner earnings grew about 24% in 2025. We do not carry that pace forward: cloud revenue and backlog growth in the 20-25% range support continued strong growth, but our base case starts at a more conservative 15% for the coming year, fading gradually to roughly 6% by year ten as the pool of remaining legacy on-premise customers still to convert to cloud shrinks and the business matures. Beyond year ten, Manhattan's revenue comes from renewing subscriptions on software kept current by ongoing, already-expensed R&D - closer to a self-renewing business than one with assets that expire - so we carry a modest 1% annual growth into perpetuity after year ten. That is intentionally conservative given how sticky enterprise software becomes once a customer's operations are built around it, but this 'years beyond ten' piece still makes up roughly two-thirds of our total value estimate, which is typical for a business with no obvious expiration date on its cash flows, but does mean the valuation leans on Manhattan holding its competitive position against SAP, Oracle, and Blue Yonder/Panasonic rather than losing share to them. Our bear case (roughly a one-in-ten outcome) assumes the easiest, highest-value legacy customers have already converted to cloud, so new cloud growth slows faster than the base case expects; that stock-based compensation keeps rising faster than revenue, continuing to erode real owner earnings even while reported growth looks fine; and that the 2025 working-capital tailwind partially reverses, producing one to two years of flat-to-down owner earnings before a slow low-single-digit recovery. That case is worth about $52 per share. Our bull case (roughly a one-in-ten outcome on the upside) assumes the cloud migration of Manhattan's remaining on-premise customer base runs longer and faster than the base case assumes, margins keep expanding as the cloud business scales, and the company continues buying back stock at a similar pace to the last decade (diluted shares outstanding fell from about 72 million in 2016 to 61 million in 2025), compounding per-share value on top of operating growth. That case is worth about $188 per share. Putting the cases together, our estimate of per-share value today is about $133 (base case), with a range of roughly $52 to $188 depending on how the cloud transition plays out from here. Because the bear case is only around 39% of the base case - real uncertainty about how much of recent growth is durable versus timing-driven - the margin-of-safety price is set at a meaningful discount to that base-case estimate, around $76 per share, to leave room for being wrong. One item we could not fully reconcile from the filings: the exact drivers behind an unusually large swing in a 'deferred income taxes' cash-flow line between 2024 and 2025. It does not change our value estimate materially since it flows directly through operating cash flow, but we note it for transparency.
