Business condition attached to the margin of safety Positive primary-endpoint data from the PiNACLE pivotal trial (NCT05826535) supporting an accelerated-approval filing for ronde-cel in third-line-or-later large B-cell lymphoma
Lyell Immunopharma is a clinical-stage cell therapy company with no approved products and no meaningful revenue today. Its value rests almost entirely on two things: roughly $204 million of cash and short-term investments on its balance sheet (against no funded debt), and the clinical progress of its lead program, ronde-cel. Ronde-cel is a CAR T-cell therapy that targets two markers (CD19 and CD20) found on certain lymphoma cells, designed to produce deeper, more durable remissions than the CD19-only CAR T therapies already approved for large B-cell lymphoma. In a company-run Phase 1/2 study, patients treated in the third-line-or-later setting had a 93% overall response rate and a 76% complete-response rate, which compares favorably with response rates historically reported for the approved competing therapies. Following discussions with the FDA, the company has moved ronde-cel into two pivotal trials: PiNACLE, a single-arm study of about 120 patients intended to support approval in patients who have already failed at least two prior lines of therapy, and PiNACLE-H2H, a randomized Phase 3 trial comparing ronde-cel head-to-head against an approved CAR T therapy in an earlier line of treatment, which began dosing patients in February 2026. One note of caution on the early data: the ongoing pivotal trial has stopped enrolling a subset of higher-risk lymphoma patients in order to concentrate on those most likely to respond well. That is a sensible trial-design choice, but it also means the very strong response rates reported so far may not carry over unchanged to the eventual label or to real-world use. The company also has an earlier-stage program, LYL273, aimed at colorectal cancer, but its U.S. study is just getting underway, and a separate, unpublished study of a related therapy conducted by a licensing partner in China reported five patient deaths across a small group of patients treated at multiple manufacturing sites, before the study was consolidated to a single experienced site. Given how early this program is, and that disclosed history, we assign it no value in any of the three cases below; it could add value later, but not on what has been disclosed so far. The company carries no outstanding debt. Its main financial obligation beyond ongoing research and administrative spend is the lease for its manufacturing and lab facility. Management expects existing cash to last into the second quarter of 2027, meaning more capital will need to be raised well before either pivotal trial is likely to read out. The company has funded its cash burn almost entirely by issuing new shares; the diluted share count, adjusted for the 1-for-20 reverse stock split completed in May 2025 (done to meet Nasdaq listing standards, not from financial distress), has more than tripled since the 2021 IPO. We expect further dilution as the company funds the new Phase 3 trial and moves toward a possible approval decision, and each case below reflects that. Bear case: The single-arm PiNACLE trial does not deliver a package the FDA is willing to approve, or the randomized PiNACLE-H2H trial produces an early signal that undercuts confidence in the program - a real risk for any cell-therapy program, underscored by the safety issues already disclosed in the company's other CAR T program. The company discontinues ronde-cel, cuts spending sharply, and winds down after further years of R&D spending and share issuance. What's left for shareholders is a small fraction of today's cash after severance, facility exit costs and continued dilution - roughly $1 per share. Base case: PiNACLE succeeds and supports accelerated approval in the third-line-or-later lymphoma setting, roughly consistent with the response rates already reported (tempered for the trial-population change noted above). PiNACLE-H2H, the larger second-line study, is still too early to credit with success here. Getting to approval requires several more years of losses similar in size to today's, funded through further equity issuance that we expect to roughly double the diluted share count again before any product reaches the market. The value of a modestly differentiated, later entrant into an already-served market, net of that dilution, comes out to roughly $7.50 per share. Bull case: Both pivotal trials succeed, including the larger second-line study, putting ronde-cel in position to compete for a substantially bigger share of the CAR T lymphoma market rather than the smaller third-line-or-later segment alone. Continued dilution still occurs but is more than offset by the larger commercial opportunity - roughly $28 per share. For this to be wrong on the upside would require clinical results we have no evidence for today, such as efficacy in the colorectal-cancer program, or meaningfully less dilution than the company's recent history suggests. On the downside, the biggest risk is a safety or efficacy setback in either pivotal trial, which for a single-product clinical biotech at this stage could turn the story from a real drug candidate into little more than a cash balance.

FY2025 (accession 0001628280-26-017253, filed 2026-03-12): CFO=$(150,024)K; NI=$(274,448)K; D&A=$11,539K; SBC=$41,829K; Acquired IPR&D expense (non-cash, LYL273 license acquired 11/2025)=$66,332K; other non-cash items (loss on securities purchase agreement put/call $19,185K, net amortization/accretion on securities $(4,959)K, non-cash lease income $(3,550)K, loss on PP&E disposal $3,344K, change in FV contingent consideration $(1,706)K, impairment of long-lived assets $1,443K, change in FV success-payment liability $831K) sum with D&A/SBC/IPR&D to $134,288K; residual working-capital movement=$(9,864)K (ties closely to explicit lines: prepaid/other assets +2,823, AP (2,339), accrued liabilities (7,642), other non-current liabilities (2,736) = (9,894)K, within rounding). Capex=$780K; maintenance capex=total capex (revenue de minimis, $36K). OE=(150,024)-(9,864)-41,829-780=$(182,769)K. Diluted shares=17,093K. OE/sh=$(10.69). First full year of the streamlined, ronde-cel-focused cost base (R&D excl. acquired IPR&D fell to $158,675K from $171,603K in 2024; G&A fell to $45,135K from $52,041K) - primary anchor year for this analysis given the 2024 acquisition/discontinuation transformation.

Pre-revenue clinical-stage biotech; OE = CFO - WC movement - SBC - maintenance capex. FY2024 (accession 0001628280-25-011978): CFO=$(162,394)K; NI=$(342,994)K; D&A=$19,631K; SBC=$33,144K; Acquired IPR&D expense (non-cash, from ronde-cel acquisition)=$87,184K; other non-cash items (net amortization/accretion on securities $(14,681)K, non-cash lease income $(2,198)K, loss on PP&E disposal $1,341K, change in FV contingent consideration $(3,804)K, change in FV success-payment liability $(1,165)K, impairment of other investments $13,001K, marketable equity security gain/loss ~$30K) sum with D&A/SBC/IPR&D to $132,483K; residual working-capital movement=+$48,117K (large one-time favorable swing tied to acquired/assumed liabilities in the ronde-cel transaction and program-discontinuation accruals - stripped out per methodology so it is not mistaken for recurring cash generation). Capex=$464K; maintenance capex=total capex (revenue de minimis). OE=(162,394)-48,117-33,144-464=$(244,119)K. Diluted shares (post-split restated)=13,074K. OE/sh=$(18.67). FY2024 is the transformation year: ronde-cel acquired and LYL797/LYL845/LYL119 discontinued; the large Acquired IPR&D charge is correctly added back (sunk acquisition cost) but the one-time WC benefit inflates reported CFO, which this figure corrects for.

Pre-revenue clinical-stage biotech; OE = CFO - WC movement - SBC - maintenance capex, built from CFO (not NI) so non-cash addbacks are captured automatically. FY2023 (accession 0001628280-24-007592): CFO=$(163,694)K; NI=$(234,632)K; D&A=$20,250K; SBC=$47,084K; non-cash items per CF statement (net amortization/accretion on securities $(9,596)K, non-cash lease income $(1,873)K, loss on PP&E disposal $1,509K, change in FV success-payment liability $(2,780)K, impairment of other investments $12,923K) sum to $67,517K reconciling with NI to imply working-capital movement=+$3,421K (residual check: NI+non-cash items+WC=CFO, ties out exactly). Capex=$2,686K; revenue is de minimis/flat so maintenance capex=total capex. OE=CFO-WC-SBC-capex=(163,694)-3,421-47,084-2,686=$(216,885)K. Diluted shares (post 1-for-20 reverse split effected 5/30/2025, as restated)=12,549K. OE/sh=$(17.28). Pre-transformation year (predates 2024 ronde-cel acquisition and discontinuation of LYL797/LYL845/LYL119); included for trend context, not primary anchor.
