Business condition attached to the margin of safety (1) The pending sale of the Superform aluminum-forming business (classified as held for sale, expected to close within twelve months of the FY2025 10-K) closes without a loss materially larger than the amounts already provided for, and (2) the $15-20 million of capital spending guided for 2026 (roughly double to triple 2025's level) is either tied to a specific disclosed project or shown in the FY2026 results to have reverted toward the historical $8-10 million range.
Luxfer makes specialty industrial materials and equipment: high-pressure composite and aluminum gas cylinders (used by firefighters and other first responders, in medical oxygen delivery, and increasingly for compressed natural gas and hydrogen storage and transport), and specialty magnesium and zirconium materials used in aerospace alloys, aircraft countermeasure flares, and industrial chemical catalysts. Gas Cylinders and Elektron (the magnesium and zirconium business) are now roughly 45% and 51% of sales respectively, after the company completed the sale of its Graphic Arts business (photo-engraving plates) on July 2, 2025 and classified its smaller Superform aluminum-forming unit as held for sale. Owner earnings - the cash the business generates after funding the capital spending needed just to keep it running, and after stripping out the swings caused by working-capital timing and stock-based compensation - have run close to $1.10 per share over the last five years on a median basis, though the year-to-year figure has bounced around quite a bit (from about $0.67 to $1.71), mostly because of large swings in inventory and receivables rather than the underlying profitability of the business. We used the middle of that five-year window, which begins after the 2019-2020 divestiture of a non-strategic aluminum-cylinder business (at the time, a meaningfully different and larger company), rather than the most recent year alone or any period that includes the pre-divestiture years. Owner earnings were down slightly in the most recently completed year (2025) versus 2024, and we carried that same softness into the first year of our outlook. More significantly, the company has told investors it expects to spend $15 to $20 million on capital projects in 2026, roughly double to triple the $7.8 million it spent in 2025, without specifying what the spending is for. Because we cannot point to a named, revenue-generating project behind that increase, we cannot credit it as growth investment; it is treated as a cost of running the business in the year it is incurred, which puts a real, one-time dent in the cash available to shareholders in 2026 across all three cases below. If the spending turns out to fund a specific new capacity project, or if it drops back toward the historical range of $8-10 million once 2026 is over, that would be good news we do not yet have evidence for. From there, the base case assumes modest growth resumes. Firefighter breathing-apparatus cylinders are replaced on a regulation-driven cycle that continues regardless of the economy, and the company's hydrogen and compressed-natural-gas storage systems (its G-Stor Hydrosphere product line) are already being deployed in hydrogen mobility and infrastructure projects in Europe. We have not assumed this becomes a major growth driver, only that it continues at the pace already visible, since there is no signed, disclosed order book that would justify more. Beyond the ten-year forecast, we assume earning power simply holds at whatever level the business has reached by then; there is no evidence of a mechanism that would let it keep compounding indefinitely on its own. The bear case reflects risks the company has flagged itself. Two customers each account for about 15% of Gas Cylinders segment sales (together roughly 14% of total company sales), so the loss of either would hurt, and we model one of them stepping away over 2027-2028 with no replacement. The zirconium chemicals business sells in part into automotive catalytic converters, a market the company itself expects to shrink gradually as battery-electric vehicles take share from gasoline and hybrid engines; we model this as a slow, continuing drag rather than a cliff, consistent with how the company describes it. We also assume the elevated 2026 capital spending only partially reverts afterward, since we have no evidence either way about what happens once 2026 ends. One item that turned out to be less of a risk than it first appears: Luxfer's U.K. pension plan, which has required meaningful cash contributions in some past years, is currently running a $54.8 million funding surplus, and the company expects to make no contribution at all in 2026. That is a modest positive, not a drag, and we have weighted it accordingly. The bull case assumes the levers the company already has in hand play out well: continued hydrogen and CNG storage deployments, a steady mix shift toward the higher-margin Elektron segment, and capital spending stepping back down to a normal level quickly once 2026 passes. We deliberately did not build in an assumption that defense spending is currently accelerating. Aircraft countermeasure flares are a real, ongoing product line tied to military training and readiness needs, but the company's own filing describes this as a steady, structural demand source rather than one that is currently growing faster than usual, and we found no evidence to support crediting an acceleration. Putting these together, we get about $13 a share in the bear case, $19 a share in the base case, and $23 a share in the bull case. Because there is a real, currently unexplained question mark around next year's capital spending, layered on top of the ordinary customer-concentration and end-market risks a niche industrial manufacturer carries, the margin-of-safety price carries a wide cushion - around $13 a share, close to our bear-case estimate. It also assumes two things are resolved: the pending sale of the Superform business closing without a loss much larger than the company has already recognized, and next year's elevated capital spending either explained by a specific project or shown to have reverted toward a normal level once 2026's results are reported. One item we could not fully reconcile from the filings: in several years, including 2025, the individually disclosed cash-flow reconciling items do not, when added by hand, quite foot to the reported operating cash flow figure, most likely reflecting how per-line amounts are presented in years where only one of the three comparative columns shows a value. The cash flow, working-capital and stock-compensation figures we used are each taken directly from what the company reported rather than backed into by subtraction, so this does not affect the figures above.

An independent NI-based foot left an unexplained gap versus reported CFO of roughly 20%, likely reflecting rounding and ambiguous column attribution of several small one-time non-cash items in the flattened filing text; CFO, working-capital and SBC are each taken directly from the filed statement, not derived residually. OE=15.8-(-40.9)-2.5-7.2=$47.0M; diluted shares=27.541M; OE/sh=$1.71. This is the high year in the series: a large working-capital build (inventory/receivables, likely input-cost inflation and supply-chain restocking) suppressed reported CFO, and removing that swing (as the owner-earnings formula requires) produces the year's high figure; excluded from the anchor window as an outlier on the high side, consistent with FY2021's low-CFO/high-WC-swing pattern. An independent NI-based foot left an unexplained ~$1.5M gap versus reported CFO (same rounding/attribution caveat as FY2021); CFO, WC and SBC are taken directly from the filed statement.
