Business condition attached to the margin of safety The pending acquisition of Bank Zero, a South African digital bank, either closes on disclosed terms (including whether it is funded with cash or new shares) or is called off, so the actual share count and balance sheet are known.
Lesaka Technologies (formerly Net1 UEPS Technologies) is a South African financial-technology company serving banked, underbanked and informal-economy consumers and merchants. Its platform spans merchant card acquiring and point-of-sale services (built around the 2022 Adumo acquisition and the Kazang informal-retail network), consumer transaction accounts, lending, insurance and bill payments, and prepaid/recharge distribution (Recharger). A proposed acquisition of Bank Zero, a digital bank, is pending regulatory approval and would add an in-house deposit-taking license. This is a business that has been almost completely rebuilt in the last several years. Through 2018 the company's earnings power came overwhelmingly from a monopoly contract distributing South African social welfare grants; that contract was lost, and between 2019 and 2022 the company sold off a string of unrelated units (a Korean subsidiary, minority stakes, other payment businesses) while absorbing large one-time losses, including a roughly $167 million non-cash write-down on an equity stake in 2019. None of that legacy record describes the company as it exists today, so we valued Lesaka only on its performance since the Adumo acquisition closed and the business was rebranded Lesaka in 2023 — fiscal 2023 through fiscal 2025 (years ended June 30). Revenue in that window grew from $223 million to $528 million to $564 million to $660 million, but cash earnings available to owners, after stripping out non-cash charges, working-capital swings and the spending needed just to keep the existing business running, have been thin and uneven: roughly 9 cents, 2 cents and 27 cents per share in fiscal 2023, 2024 and 2025 respectively. We anchored our valuation on the middle of those three years, about 9 cents per share, rather than the strongest or most recent year, because a single strong print doesn't establish a new normal. A few accounting judgments matter here. We added back depreciation, amortization and one-time non-cash items — most notably a $59.8 million non-cash write-down in fiscal 2025 tied to the company's full exit from a legacy equity stake in the Indian fintech MobiKwik — because that stake is now completely sold and the loss won't recur. We charged stock-based compensation as a real cost rather than treating it as free. And we set aside only the portion of capital spending needed to maintain the existing business, treating spending tied to revenue growth as investment rather than a drag on today's earning power. One item we did not try to separate out: the company's consumer and merchant lending book is growing quickly, and that growth consumes real cash each year (about $35 million in fiscal 2025 alone) that is bundled into normal working-capital movements in our formula. If that lending book keeps growing rapidly, the true cash left for shareholders will run a bit below what our numbers show; we've reflected that conservatively in the growth assumptions below rather than by adjusting the base earnings figure itself. Our base case assumes revenue and earnings growth continues but decelerates — starting around 12% next year (below both last year's revenue growth of 17% and the extraordinary but low-base jump in cash earnings) and easing toward roughly 5% a decade out, as the South African merchant-acquiring and informal-retail markets mature and acquisition-related costs fade. Beyond ten years we assume Lesaka's transaction network is largely self-renewing — card acquiring and bill-payment relationships don't have a fixed expiry the way a patent does, and the upkeep is already funded inside our maintenance-spending estimate — so we carried forward a modest 1% annual growth rate rather than assuming decline. That assumption beyond year ten ends up being a majority of the total value in both our base and bull cases, which is worth being upfront about: it rests on the belief that Lesaka's merchant and consumer relationships keep renewing at roughly today's scale, not on any specific new product. Our bear case assumes the business essentially treads water: the consumer lending book sees rising losses in a soft South African economy, integration and compliance costs (including around the pending Bank Zero deal) stay elevated, and the company's roughly $110 million of net debt consumes most of the benefit of any growth that does occur, leaving cash earnings per share stuck near the weakest levels of the last three years for an extended period. Our bull case assumes the Bank Zero acquisition (or an equivalent deposit-funding source) closes successfully, cross-selling across the merchant and consumer businesses works as intended, and margins expand as one-time deal costs roll off, lifting cash earnings well above the 2025 level and sustaining faster growth for longer. Putting these together, our bear case values the shares at roughly $0.92, our base case at roughly $3.10, and our bull case at roughly $5.44. Because the downside case is a large fraction of our base case — reflecting real leverage, thin historical earnings and ongoing acquisition risk — the margin-of-safety price carries a wide discount, at around $1.55 per share. We were not able to fully reconcile every minor cash-flow reconciliation line across the company's several changes in fiscal-year reporting basis over the past decade, though the figures we used for the current business (fiscal 2023 through 2025) tie out exactly to the audited cash-flow statements. Shares outstanding have also grown substantially (roughly 26% in fiscal 2025 alone) to help fund acquisitions, and further dilution is a real risk if the Bank Zero deal or future deals are funded with new shares rather than cash.
