Business condition attached to the margin of safety The Silver Springs, NV recycling facility has run at commercial scale with at least two consecutive quarters of segment-level profitability, and/or Comstock has disclosed a signed, dollar-denominated biofuels licensing or offtake contract (not just a stated intent to seek one).
Comstock Inc. is a Nevada-based holding company built around four small, still-early-stage businesses: mining and leasing of roughly seven square miles of mineral claims in the historic Comstock district near Virginia City, Nevada; a solar-panel recycling operation (Comstock Metals) that has run a demonstration-scale facility and, as of early 2026, is commissioning its first full industrial-scale facility in Silver Springs, Nevada; a biofuels licensing and technology business (Bioleum, formerly Comstock Fuels) that is still working toward its first commercial demonstration facility, planned for Oklahoma; and a portfolio of minority equity stakes in other companies, including Green Li-ion and the Sierra Springs Opportunity Fund. The business has not generated positive cash from operations in any of the last twelve years, and the cash burn has been getting larger, not smaller: operating cash outflow grew from about $13.9 million in 2024 to $24.4 million in 2025, and the first half of 2026 already shows a larger outflow than the same period of 2025. The company has funded every year of this history by issuing new shares (and, more recently, by having subsidiaries issue their own equity) rather than from the business itself. Share count grew from about 52 million at the end of 2025 to roughly 76 million by mid-2026 alone. That dilution is a real, structural feature of how this company has always operated, not a one-time event. We build our estimate from cash actually generated (or consumed) by the business, after adding back non-cash items and then subtracting the reinvestment needed to sustain operations — including the value of shares the company hands out in place of cash to pay for services and intellectual property, since that is a real cost to existing shareholders even though it does not touch the cash flow statement. On that basis, the business has produced owner losses of roughly $1.76 to $1.80 per share in 2023 and 2024, narrowing to roughly $0.98 per share in 2025 — though that apparent improvement is mostly because a large, unusual non-cash charge related to acquiring biofuels intellectual property in 2024 did not repeat at the same size in 2025, not because the underlying cash burn improved (it did not: cash burn grew substantially over the same two years, and has grown further in 2026). We have not assumed that improving trend continues into our forecast. We see three defensible paths from here. In the weaker case, the recent acceleration in cash burn continues, funded by ever-larger share issuance, while neither the recycling business nor the biofuels licensing business reaches a scale that covers corporate costs within our ten-year window — the biofuels business in particular has no signed, dollar-denominated customer contract on the record today, only a planned first commercial facility. Under that path, the compounding cost of years of losses and dilution is worth more than the assets support, and we estimate the shares are worth meaningfully less than zero on a per-share cash-generation basis — roughly negative $2.25. In our base case, the solar-panel recycling facility that is being commissioned in Nevada in 2026 gradually ramps toward paying for itself over the following several years, consistent with the company's own stated 2026 goal of running that one facility profitably (a goal that, as of this filing, had not yet been achieved). The mining segment stays a small, largely dormant leasing operation after the company sold its main processing facility and other non-core land in 2023. The biofuels business remains a cost center rather than a contributor, since no customer contract has been disclosed. Under this path, losses narrow over time but the company continues to need some further outside capital, leaving the shares worth roughly negative $0.40 today. In our upside case, the Nevada recycling facility hits its 2026 profitability target and signs the additional service agreements with customers that management has said it is pursuing, funding a second facility without further shareholder dilution; and the company repeats the kind of profitable asset sale it completed in 2023, when it sold a manufacturing facility and other holdings for combined proceeds of roughly $27 million. Under that path we estimate the shares are worth roughly $0.65. What would have to be true for us to be wrong on the downside: continued access to equity markets dries up faster than we assume, which the company itself flags as a real risk to its 12-month funding plan even though it currently believes it has enough resources for the year ahead. What would have to be true for the upside case: the recycling facility needs to actually turn a profit, not just be commissioned, and a real biofuels customer contract needs to appear with disclosed terms — neither has happened as of this filing. Given how far even our upside case is from certain, and how negative the downside looks, the margin-of-safety price is very low, and it applies only once the recycling facility has shown a couple of quarters of real segment profitability, or a real biofuels licensing contract with disclosed economics has been signed.

OE = CFO - ΔWC - SBC-equivalent - maintenance capex. CFO=$(24,387,033) (FY2025 10-K, accession 0001437749-26-009589). SBC-equivalent (no formal option/RSU expense recognized; company pays for services/IP with stock) = R&D expense paid with common stock $1,487,476 + R&D expense recognized on RenFuel IP and GenMat transactions $3,052,869 = $4,540,345. ΔWC (net source of cash, stripped out) = AR $1,548,831 + prepaid $(56,366) + other assets $732,722 + AP $(523,352) + accrued $(42,972) + deferred revenue-metals $1,947,912 + deferred income-grant $1,000,000 - Flux Photon payable $1,000,000 + other liabilities $942,676 = $4,549,451. Maintenance capex = purchase of mineral rights and PP&E $2,337,552; revenue declined YoY ($1.55M from $3.02M) so growth capex = $0 per formula, all capex is maintenance capex (excludes $7,571,679 of equipment deposits for the new Silver Springs, NV industrial-scale recycling facility, which is discretionary growth/expansion capex, not maintenance). OE = -24,387,033 - 4,549,451 - 4,540,345 - 2,337,552 = -35,814,381. Diluted shares = 36,707,660 (post reverse split). OE/sh = -$0.98.

OE = CFO - ΔWC - SBC-equivalent - maintenance capex. CFO=$(13,942,674) (FY2025 10-K, accession 0001437749-26-009589, comparative column). No formal stock-option/RSU SBC expense was recognized (2020/2022 equity incentive plans had no awards outstanding). The company instead settles services and IP acquisitions with stock; treated as the SBC-equivalent for this business: R&D expense paid with common stock $1,208,180 + R&D expense recognized on RenFuel IP and GenMat transactions $12,244,538 = $13,452,718 (this figure is unusually large and driven by one-time IP-acquisition-related non-cash charges, flagged as non-recurring). ΔWC (net source of cash, stripped out) = AR $(643,307) + prepaid $253,732 + deposits-assets $(394,697) + other assets $(64,606) + AP $1,839,259 + accrued $(976,002) + deferred revenue-metals $(1,082,806) + other liabilities $2,699,999 = $1,631,572. Maintenance capex = purchase of mineral rights and PP&E $934,724 (revenue rose YoY but total capex here is small; treated wholly as maintenance for simplicity, immaterial to the result). OE = -13,942,674 - 1,631,572 - 13,452,718 - 934,724 = -29,961,688. Diluted shares (post reverse split, restated) = 16,613,755. OE/sh = -$1.80.
2023 -$1.76 ▼
OE = CFO - ΔWC - SBC-equivalent - maintenance capex. CFO=$(13,625,221) (FY2023 10-K, accession 0001120970-24-000014). Net income of $10.5M in the year reflected one-time gains (sale of Manufacturing Facility $7.3M, gain on investments $25.0M, gain on sale of Daney Ranch $1.1M) that are non-cash/non-operating and already netted out inside CFO, so they do not affect this CFO-based figure. ΔWC (source of cash, stripped out) = prepaid $50,816 + deposits-assets $234,315 + other assets $387,730 + AP $31,371 + accrued $714,705 + deferred revenue $1,156,250 - deposits-liability $12,503 + other liabilities $500,000 = $3,062,684. No formal share-based comp plan expense was recognized (employee/director SBC was a $(2,256) recapture); treated as SBC-equivalent here (no material stock-settled R&D/IP expense that year). Capex = purchase of mineral rights and PP&E $1,819,065; revenue rose slightly period to period but capex is immaterial in dollar terms so full capex treated as maintenance capex (no growth-capex carve-out material to the result). OE = -13,625,221 - 3,062,684 - (-2,256) - 1,819,065 = -18,504,714. Diluted shares (post 1:10 reverse split, Feb 2025, retrospectively restated) = 10,516,936. OE/sh = -$1.76.
