Business condition attached to the margin of safety Loan origination volume in fiscal 2026 confirms the pickup in demand and faster portfolio turnover management pointed to in the 2025 annual report, rather than a continuation of 2025's slowdown.
Manhattan Bridge Capital is a small, straightforward business: it makes short-term, secured loans -- mostly six months to a few years -- to real estate investors in and around New York City, funded partly with its own capital and partly by drawing on bank credit lines, and it earns the spread between what it charges borrowers and what it pays its lenders. Its loans carry a floor rate of prime plus 3%, which protects its lending margin even if interest rates fall. As a real estate investment trust, it is required to pay out nearly all of its taxable income to shareholders as dividends each year. We measure owner earnings as cash generated from operations after removing the swings tied to loan-related receivables and payables, treating stock compensation as a real cost, and subtracting the tiny amount of cash spent on office equipment (this company owns essentially no physical property). Over the past eight years this figure has been remarkably stable, running between about $0.43 and $0.50 per share with no clear upward or downward trend -- this is a mature, simple lending operation, not a growth story. We anchored our valuation on the median of the last five years, about $0.46 per share, a period that spans a full swing in interest rates from near zero to a multi-year peak and back down, which we think fairly represents the business as it exists today. Owner earnings per share fell about 8% in the most recently completed year, mirroring an 8% shrinkage in the loan book (from roughly $66 million to $61 million) as new loan originations slowed. Management said in the same filing that it has recently seen improved demand for new loans and faster portfolio turnover -- a specific, dated signal that the slowdown may already be reversing. Given that signal, our base case assumes owner earnings per share is roughly flat in the coming year rather than continuing to decline, but we are not yet assuming the stronger growth that would follow if that improvement fully plays out. Because this is a lending business that continually recycles repaid loan principal into new loans, we treat its earning power as durable rather than as a wasting asset with a fixed end date -- unlike a business built on a patent or a single contract, there is no natural expiration here. That said, since the company must distribute nearly all of its income and cannot retain much capital to fund growth, we assume only very modest, inflation-like growth beyond our ten-year outlook, and roughly 60% of our valuation rests on that assumption of durability, which is worth being aware of. Our base case assumes the loan book stabilizes and then grows slowly over the next several years as the recent improvement in demand plays out, supported by expanded credit-line capacity the company put in place. On that basis we estimate the shares are worth about $9.50. Our bear case (roughly a one-in-ten downside outcome) assumes the recent improvement does not materialize and origination activity keeps slowing for a few more years -- perhaps due to more competition for these small commercial real estate loans, or borrowers pulling back -- before settling at a permanently smaller loan book. That scenario is worth roughly $6.40 per share. Our bull case (roughly a one-in-ten upside outcome) assumes the improved demand management described continues, the loan book grows using the credit-line capacity already in place, and lending spreads hold up. That scenario is worth roughly $11.50 per share. Because this is a simple, stable business with a fairly narrow gap between our bear and base cases, the margin-of-safety price carries a smaller discount than a more unpredictable company would require -- around $7.60 per share. A price closer to our full estimate of value would depend on fiscal 2026 loan volumes actually confirming the pickup management pointed to. Worth noting: the company operates almost entirely in the New York metropolitan area and is run by a small management team, so its results are more exposed to a single local real estate market and to key personnel than a more diversified lender would be.
