Gladstone Land owns farmland and related farm real estate and earns rental income from it. Revenue was $88.3 million in 2025, $85.2 million in 2024 and $90.4 million in 2023. Depreciation and amortization runs about $34.5 million a year, while spending on improvements to existing farms was only $7.2 million in 2025. How we measured earnings. We start from operating cash flow and remove the swings in working capital (other assets, payables, other liabilities and investments in water assets). We deduct only the part of farm-improvement spending needed to maintain the properties. Purchases of new farms are treated as discretionary growth and left out. The company reported no stock-based compensation in its cash flow statement. On this basis earnings per share were about $0.18 in 2019, $0.48 in 2020, $1.02 in 2021, $0.80 in 2022, $1.03 in 2023, $1.19 in 2024 and $1.22 in 2025. We judged the business from 2021 on, after the large acquisition years of 2019 and 2020 ended, and used the median of 2021-2025, about $1.03 per share, or roughly $37.5 million a year. What that leaves for common shareholders. The company paid $24.0 million of cumulative preferred dividends in 2025. These come ahead of common shareholders, so we subtract them from the earnings above. That leaves roughly $13.5 million a year, or about $0.37 per share. We do not deduct debt or add cash, because interest is already paid out of operating cash flow. Working capital is a real question here. In 2025 operating cash flow was only $7.0 million, because working capital absorbed about $44 million: other assets grew $21.6 million, payables and accrued expenses fell $13.9 million and other liabilities fell $6.2 million. Similar, smaller outflows occurred in 2023 and 2024. The filing shows amortization of deferred rent and lease incentives of $11.2 million in 2025, which appears related to part of the other-assets increase, but we could not fully reconcile the size of the 2025 outflow from the filing. Our base case treats it as timing, which is why we cross-checked it: median operating cash flow per share over 2021-2025 was about $1.07, close to our earnings level. In 2025, distributions of $44.5 million (preferred and common) far exceeded operating cash flow and were funded from $91.3 million of farm sale proceeds; the company also sold $68.5 million of farms in 2024 and repaid $61.6 million and $50.5 million of notes and bonds in 2025 and 2024. Base case, about $4.50 per share. Earnings for common shareholders stay at about $0.37 per share for ten years. We credit no growth: the record of revenue is flat at $85-90 million since 2022, and nothing contracted lifts it. After year ten we assume earnings decline about 5% a year, because depreciation of $34.5 million is far above maintenance spending, meaning improvements wear out, and we can name nothing that replaces them. Year-one growth in our model is 0%, versus actual earnings growth of about 2% in 2025. Bear case, $0 per share. If the working-capital outflows of 2023-2025 are real, recurring costs rather than timing, operating cash flow less maintenance capital spending was about $24.4 million (the 2023-2025 median), which is almost exactly the $24.0 million of preferred dividends. Nothing is left for common shareholders. Because preferred dividends are cumulative, common shareholders would be at best worthless in this case; the company appears to owe its preferred holders about what the business earns. We do not go below zero for the common shares. Bull case, about $6.70 per share. The recent working-capital outflows prove to be timing, and earnings hold at the 2024-2025 level of about $1.21 per share. After preferred dividends that is about $0.55 per share, followed by the same gradual decline after year ten. What would make this wrong. The result is highly sensitive to the preferred dividend, a fixed $24.0 million against roughly $37 million of earnings, so a small change in earnings moves value a lot. Continued farm sales would lower rental income from here; the 2025 filing does not tell us how much rent the sold farms produced. Gains on sales ($13.9 million in 2025) are excluded from our earnings, as they are not recurring.
