Business condition attached to the margin of safety Positive topline results from the ABACUS-2 Phase 2 trial of KIO-301 (expected Q3 2027), followed by Théa Open Innovation committing to a Phase 3 program and paying a development milestone under the January 2024 agreement.
Kiora Pharmaceuticals (formerly EyeGate Pharmaceuticals) is a clinical-stage eye-disease drug developer with no approved products. Its two active programs are KIO-301, a "photoswitch" molecule intended to restore some vision in people with late-stage retinitis pigmentosa (an inherited disease the company says affects about 1 in 3,500 people), and KIO-104, a DHODH inhibitor for retinal inflammation from diseases such as diabetic macular edema and posterior non-infectious uveitis. KIO-301 is being tested in ABACUS-2, a 36-patient Phase 2 trial in Australia, with topline data expected in the third quarter of 2027. KIO-104 is in the KLARITY Phase 2 trial, with first data expected in late 2026. How the business makes money today. Kiora has no product sales. Its only meaningful cash inflows have come from licensing deals. In January 2024 Théa Open Innovation (a sister company of Laboratoires Théa) licensed KIO-301 in ophthalmology worldwide except certain Asian countries. It paid $16 million upfront, pays all KIO-301 research and development costs, and may pay up to $285 million in milestones plus royalties of up to the low 20% range on net sales. In May 2025 Senju Pharmaceutical paid $1.25 million for an option on KIO-301 rights in Japan, China and other Asian countries. The option runs until shortly after the ABACUS-2 results. If it is exercised, pre-negotiated terms provide upfront, milestone and royalty payments up to a combined maximum of $110.75 million. A 2013 out-license of the KIO-104 compound to 4SC carries milestones of up to 155 million and a 3.25% royalty, but has produced no milestone payments since 2013. The record. We measure owner earnings as operating cash flow, minus working-capital swings, stock-based pay and capital spending. On that basis Kiora has lost money in nine of the last ten years. Owner earnings were -$10.7 million in 2021, -$11.7 million in 2022, -$8.5 million in 2023, +$4.2 million in 2024 and -$7.8 million in 2025. The only positive year came from the one-time $16 million Théa upfront. The accumulated deficit reached $154.2 million at the end of 2025. Losses have been funded by selling new shares almost every year. The company also did three reverse splits: 1-for-15 in August 2019, 1-for-40 in September 2022 and 1-for-9 in June 2024. One share today equals 5,400 shares from 2016, which is why past per-share losses look enormous. We anchor on the median of 2021-2025, about -$8.5 million a year. That window starts after the acquisitions of Panoptes (December 2020, KIO-104) and Bayon (October 2021, KIO-301), which built today's pipeline. Recent spending supports it: operating expenses were $4.7 million in the first half of 2026, the same as a year earlier, and operating cash outflow was $5.1 million. Capital spending is tiny (about $0.1 million in 2025), so treating all of it as maintenance changes nothing. Write-offs of acquired research assets ($4.6 million in 2025) are non-cash and do not reduce owner earnings. All three cases discount at a flat 6%. Per-share figures use about 6.18 million shares (common plus pre-funded warrants in the second quarter of 2026). The bull case adds 5.49 million shares from warrants that are tied to the trial readouts. These values measure the operations only. They do not add the $16.8 million of cash and short-term investments held at June 30, 2026 (about $2.73 a share) as a separate item. In the base and bear cases that cash is largely what gets spent. The company reported no borrowings at the end of 2025, so the negative values below do not come from debt. They mean the operations are expected to consume more cash than they return. Bear case (-$6.95 per share). Both readouts disappoint: KIO-104 in late 2026 and ABACUS-2 in 2027. The Senju option lapses and no milestone is paid. Kiora follows its own ten-year pattern and its stated plan to pursue deals that expand the pipeline. It keeps spending about $8.5 million a year for roughly six more years, funded by further share sales, before the story ends. Present value is about -$43 million. Base case (-$2.89 per share). Kiora spends about $8.5 million a year through the end of 2028, the runway the company now states, to reach the KLARITY and ABACUS-2 readouts. None of the milestones in the Théa, Senju or 4SC agreements can be counted before a trial has actually succeeded. In the median outcome, neither readout produces a payment we can point to, and the story ends when the runway does. Present value is about -$18 million. Put simply, the cash on hand pays for two trial readouts, and on today's evidence little is expected to be left for shareholders afterward. Bull case ($7.61 per share). ABACUS-2 succeeds in the third quarter of 2027. In 2028 Théa starts Phase 3 at its own cost and pays a development milestone, which we assume at $15 million, in line with its $16 million upfront. Senju exercises its option. We assume about $5.8 million upfront, the same 5.3% share of total deal value as the Théa upfront. Kiora passes 6% of sublicense income to the University of California under its KIO-301 license. KIO-301 is approved around 2031, with an assumed $40 million approval milestone. Royalties of about 15%, less the 2% Kiora owes the University of California on the first $250 million of sales, apply to worldwide sales that rise to $200 million a year by 2035. Royalties run through 2040, which assumes pending patents issue and extend protection toward 2041. Kiora's own overhead stays at about $6 million a year, in line with 2025 general and administrative costs of $5.7 million. Present value is about $89 million. The filings disclose only the $285 million milestone total, not how it is split among stages, and give no sales estimate. The milestone sizes and sales level in this case are therefore our assumptions, sized from the deal precedents above. What could make this wrong. KIO-301's issued patents run only to January 2030. Protection beyond that depends on pending applications, which could extend it to 2041, and on any regulatory exclusivity granted at approval. The balance sheet also carries $2.9 million of contingent consideration owed to the former owners of acquired businesses if milestones are met. Further dilution is likely whatever the outcome. The Tranche A and B warrants cover up to 5.49 million shares, and the 2026 private placement could add up to $19 million more through milestone-linked warrants. The company's own runway guidance moved from late 2027 in its annual report to late 2028 after raising $5 million in the second quarter of 2026. The annual report also notes a proposed Nasdaq rule requiring a minimum $5 million market value of listed shares. On the upside, a clean ABACUS-2 result would change this analysis a great deal. Théa has already paid $16 million and is funding the trial, and in August 2026 Kiora named Chong Kun Dang as its partner for South Korea. Margin-of-safety price. On current evidence no price meets the margin-of-safety test, because the median outcome consumes the cash. If ABACUS-2 succeeds and Théa commits to Phase 3 with a milestone payment, the business would be worth roughly what the bull case describes. Even then, approval, patents and royalty size would remain uncertain, and the company is small, has a single core asset and dilutes often. For that reason the margin-of-safety price is about $1.50 a share, roughly 80% below the bull value, and it applies only once that condition is met.
