Kopin makes tiny microdisplays: the screens inside thermal weapon sights, fighter-pilot helmet systems, and industrial and medical headsets. Defense customers were 74% of 2025 revenue (82% in 2024). One prime contractor, DRS Network & Imaging Systems, bought 62% of everything Kopin sold in 2025 (65% in 2024), and Collins Aerospace bought another 9%. Kopin supplies displays to the Army's Family of Weapon Sights-Individual program and the F-35 fighter program. Revenue was $39.3 million in 2025, down 22% from $50.3 million. What the business has actually earned. We measure the cash a business generates for its owners as cash from operations, excluding swings in receivables, inventory and payables, less stock compensation and the equipment spending needed to stay in business. Kopin has not produced a positive figure in any of the last ten years (2016 through 2025); cash from operations has been negative every year since at least 2014. Over the last five years the figure was about -$13.4 million (2021), -$18.9 million (2022), -$15.2 million (2023), -$14.8 million (2024) and -$13.7 million (2025). We use the five-year median, -$14.8 million a year, as the earnings level, because revenue has stayed between $39 million and $50 million over those years. In 2016-2019, when revenue averaged $26.1 million, the figure averaged -$27.6 million a year (-$110.4 million in total). The losses have been funded by selling stock: the share count has grown from about 63 million in 2014 to about 192 million, so per-share results from earlier years are not comparable with today's. The 2025 loss was 7.6% smaller than 2024's. Reported 2025 net income of $2.6 million came from non-operating items (an $11.1 million gain on deconsolidating Kopin Europe and a $5.1 million reduction of the litigation accrual), and we do not count them. The first half of 2026 is mixed. Revenue was $23.3 million versus $19.0 million a year earlier (+22.6%, even though Kopin Europe is no longer included), and the second-quarter operating loss narrowed to $3.5 million from $5.5 million. But the six-month operating loss was $9.5 million versus $9.4 million, cash used in operations was $5.1 million after a $5.1 million increase in customer advances (without which it would have been $10.2 million versus $7.6 million a year earlier), and capital spending jumped to $5.1 million from $1.2 million. We could not explain that jump from the data available, so we have not adjusted for it. Cash and restricted cash fell $11.3 million in the half, from $61.6 million to $50.3 million. Two quarters are not enough for us to move the earnings level. What the shareholders own after the claims ahead of them. At June 27, 2026 Kopin had $50.3 million of cash, of which $25.4 million is restricted (mainly the $24.2 million deposited with its bank to secure a $23.0 million appeal bond). It owes a $19.7 million judgment to BlueRadios over a contract involving the Golden-i headset technology; Kopin filed its appeal on October 7, 2025 and interest accrues at less than $0.1 million a month. It also owes $7.0 million of Series A convertible preferred stock sold to Theon International in October 2025 (about $7.1 million with accrued dividends; 2% cash and 2% paid-in-kind dividends; convertible at $3.00 a share; paid ahead of common shareholders in a liquidation). Kopin has no other borrowings, and our search of the annual report found no financial covenants; the bank arrangement behind the bond allows the bank to use the $23.0 million deposit if the bond is called. Kopin also kept 51% of Kopin Europe after Theon paid $8.0 million for 49%, plus a loan to it carried at $5.1 million at year-end. We count the 51% at about $8.3 million (the Theon price scaled up, slightly below the $8.9 million carrying value) and the loan at $5.1 million. Cash of $50.3 million plus $13.4 million of Kopin Europe interests, less $19.7 million and $7.1 million of claims, leaves $36.9 million, or about $0.19 per share on 192.1 million shares. Receivables, unbilled contract assets, inventory and prepaid items of $24.1 million, less $17.3 million of other liabilities, leave $6.8 million of net working capital that a wind-down would return. How we built the three cases. Each runs 2.5 years, which is how long $36.9 million lasts at the median loss; beyond that the filings name no source of funding, so the story ends and the operating assets are worth their working capital. No revenue growth is credited in any case. Revenue visibility is limited: at year-end 2025 there was $35 million of contracted work to be recognized within 12 months and $8.2 million after that, and the later portion is cancellable. Growth from new programs (armored vehicles, soldier rifle scopes, a medical headset), the Theon collaboration, margin improvement (product costs were 84.2% of product revenue in 2025, 83.0% in 2024) and any sale of the business are left out because none has produced positive earnings yet. Base case: the loss stays at $14.8 million a year. Losses over the period are worth -$34.5 million today and the working capital returned is worth $5.8 million, so operations come to -$28.7 million; adding the $36.9 million above gives $8.2 million, about $0.04 per share. The year-one loss assumed here is no smaller than the 2025 loss, so no improvement is assumed. Bull case: losses keep narrowing at the pace of 2022-2025 (about 10% a year): $12.3 million, $11.1 million, then a $9.9 million annual rate for the final half year. Operations come to -$20.6 million; with the $36.9 million, that is $16.2 million, about $0.08 per share. Nothing in the bull case rests on a new program or a recovery in revenue. Bear case: Kopin loses a major defense position, which is a risk the company itself lays out. Its largest customer is 62% of sales, the company states that it believes the Department of War is evaluating alternative display technologies for the F-35, shipments for the Family of Weapon Sights program were suspended at times in 2024 over quality issues, and revenue has fallen 15% (2023) and 22% (2025) in single years. We return to the 2016-2019 experience: a loss of $27.6 million a year. Losses are then worth -$64.2 million today, operations come to -$58.4 million, and against the $36.9 million that leaves a shortfall of about $21.5 million. Cash would run out in roughly 1.3 years, and the shares would be worth nothing. What would make this wrong. If the BlueRadios appeal succeeds, the $19.7 million claim disappears, which is worth about $0.10 per share in every case; we do not assume this because the appeal is unresolved. If Kopin Europe and the loan to it were worth nothing, the base case would fall to zero (a shortfall of about $5.2 million). If losses ran at the worst level of the last five years ($18.9 million), the base case would also be worth nothing (a shortfall of about $1.3 million). Earlier estimates for this company were built on a different basis, assumed losses would fade to breakeven and revenue would grow, and are not comparable; we no longer carry that forward. What changed in the business since is the October 2025 Theon transaction ($8.0 million for 49% of Kopin Europe and $7.0 million of preferred stock), the September 2025 private placement of 19.5 million shares for about $38.1 million net, the lower cash balance, and the stronger first-half 2026 revenue. Kopin's annual report carries no going-concern warning; the cash arithmetic above is ours. How we set the margin-of-safety price. We are certain of the sign of the earnings, not the size: five years ranged from -$13.4 million to -$18.9 million. The worst plausible outcome is loss of the F-35 or weapon-sight position while the business burns cash; no lender could force a restructuring, since there are no borrowings, but the preferred stock ranks ahead of common shareholders, $25.4 million of cash is tied up behind the appeal bond, and Kopin's only record of raising money is selling more shares. Kopin's common stock pays no dividend and the company says it does not intend to pay one, so the holding period produces no income. If the stories above hold for 2.5 years, a share is left with about $0.034 in the base case (the $36.9 million, less $37.1 million of losses, plus $6.8 million of working capital), about $0.08 in the bull case and nothing in the bear case, with the appeal outcome adding about $0.10 either way if it goes Kopin's way. From a $0.02 price the base outcome implies about 24% a year over 2.5 years and the bull far more, while the bear case loses the whole price. The margin-of-safety price is $0.02 per share: it needs the base case to play out as it is with no allowance for further dilution, and it leaves the appeal and any rescue of the business as upside rather than as something the price includes.

Sales geography
United States defense customers (prime contractors DRS Network & Imaging Systems and Collins Aerospace); about 94% of 2025 revenue was booked in the Americas and about 3% in Asia Pacific, with the remainder elsewhere (including Europe)
Historical growth strategy
Wins funded U.S. government and prime-contractor development contracts and tries to convert them into low-rate initial production for defense programs (thermal weapon sights, F-35 helmet displays), while funding continuing losses by repeatedly selling common stock (at-the-market sales, public offerings, a private placement in September 2025) and, in October 2025, by selling 49% of its UK subsidiary Kopin Europe and issuing $7.0 million of convertible preferred stock to Theon International.
