J.Jill sells women's clothing, aimed at women aged 45 and older, through 256 stores in 42 states (as of January 31, 2026) and through its website and catalog. Fiscal 2025 (the year ended January 31, 2026) net sales were $596.5 million, down 2.3%, and about 48% of sales came through its direct channel (website and catalog). Sales have been flat to slightly down for four years ($618.5 million in fiscal 2022, $608.0 million, $610.9 million, then $596.5 million), so we credit no growth from new stores, new products or a recovery in customer demand, since none of these is contracted or has a multi-year record behind it. How we measure earnings: we start with cash from operations, then subtract the swing in inventory, receivables, payables and accrued expenses, subtract stock compensation as a real cost, and subtract the capital spending needed to keep stores and systems running. Store rent and other long-term lease items are left in as a real cost. Per diluted share this gives $3.75 (fiscal 2021), $3.73, $3.57, $2.82 and $2.22 (fiscal 2025). We exclude fiscal 2020 (the pandemic, a loss year) and fiscal 2021 (a one-time rebound from pandemic closures), and use fiscal 2023 through 2025, the flat-sales years that followed the pandemic rebound. The median of those three years is $2.82 per share, which is our earnings level. Owner earnings fell 21% in fiscal 2025. Our base case starts flat at $2.82 rather than at $2.22 because two drags in fiscal 2025 are not expected to repeat: $3.6 million of CEO transition and severance-related costs, and interest expense that fell 34% in the year after debt repayments (it refinanced again in December 2025 into a $75.0 million term loan due December 12, 2030). In the first half of fiscal 2026, net income was $21.5 million versus $22.2 million a year earlier, and net sales were $299.3 million versus $307.6 million, down 2.7%. That is mixed evidence, so we do not lift the level above the median. What went wrong in fiscal 2025: gross margin fell to 68.7% from 70.4% on more promotions, more markdown sales and higher tariffs, while operating income dropped 33%. A 2.3% sales decline produced a 21% fall in owner earnings, which shows how much the business depends on holding margins. Base case, $31.4 per share: owner earnings of $2.82 in the coming year, then shrinking 3% a year, matching the 3.1% decline in comparable sales in fiscal 2025 and the 2.7% sales decline in the first half of fiscal 2026. We do not assume the business ends at a set date, because the stores, brand and customer base are in place today, but nothing supports growth. Bear case, $15.9 per share: owner earnings stay at the fiscal 2025 level of $2.22, then shrink 8% a year. The basis is that a small sales decline has already cut earnings several times faster, that tariffs are a disclosed cost pressure, and that the $75.0 million term loan matures in December 2030, requires an annual cash sweep of 25% to 75% of excess cash flow, and has to be refinanced or repaid. Bull case, $47.6 per share: owner earnings return to $3.57, a level the company reached or exceeded in each of fiscal 2021, 2022 and 2023, and then shrink only 1.5% a year, in line with the 1.2% average yearly sales decline since fiscal 2022. We left out possible refunds of tariffs paid in fiscal 2025 after a ruling that the emergency-powers tariffs were not authorized: the company states that recovery is not yet probable or reasonably estimable. The shares appear to be worth roughly $31 in the base case. The margin-of-safety price is $17.00, close to the bear case, because sales are shrinking, results react sharply to margin changes, and the company carries $75.0 million of secured debt. Interest is already deducted in our earnings figures, so debt is not subtracted a second time. The case would be wrong on the upside if sales stabilize with margins back near 70%, and on the downside if comparable sales keep falling at 3% or worse while tariffs remain in place. One point we could not settle from the filings is how much of the first-half fiscal 2026 improvement in operating cash flow ($48.0 million versus $24.7 million a year earlier) is timing of payments.
