Jade Biosciences is a clinical-stage biotechnology company developing antibody drugs for autoimmune diseases. It came into its current form in 2025, when a private company also named Jade Biosciences combined with Aerovate Therapeutics, a public company whose only drug had just failed a mid-stage lung-disease trial. Aerovate contributed its public listing and remaining cash; the science and the current pipeline are Jade's. Because of that history, the company's financial statements only tell the story of the business as it exists today starting in the second half of 2024. The pipeline has three candidates, all early. JADE101, an antibody targeting a protein called APRIL, is meant for a kidney disease called IgA nephropathy; it entered a first, healthy-volunteer study in August 2025, with a patient study planned to begin around the middle of 2026. JADE201, targeting a different immune pathway (BAFF-R), is intended for rheumatoid arthritis and related conditions and was set to begin its first human study in the second quarter of 2026. A third candidate, JADE301, is undisclosed and was planned to start human testing in the first half of 2027. None of the three has produced efficacy data in patients, none is close to regulatory approval, and the company has never generated any revenue from product sales. It licensed the rights to its lead program from a private antibody-discovery company called Paragon, and owes Paragon future milestone payments (up to $22 million) and royalties - money flows out, not in. What the company does have is cash: roughly $461 million in cash and short-term investments as of mid-2026, against total liabilities of only about $32 million and no debt. That cash came from the merger itself and from two stock sales to institutional investors in the fourth quarter of 2025. It is being spent quickly: operating cash use was about $95 million in 2025 and already $68 million in just the first half of 2026, rising as more studies get underway. Because none of the three drug candidates has yet shown it works in patients, we have not put any value in these cases on the drugs themselves - only on the company's cash and how it is likely to be spent or preserved. This is a deliberately cautious way to look at an early-stage biotechnology company: it means the cases below say nothing about whether the science will ultimately succeed, only about what the business is demonstrably worth today if it does not. We also weigh this company's own history as a caution: after Aerovate's drug failed in 2024, the company's path back to being a going concern was a merger that brought in an entirely new drug pipeline and two large new stock sales to institutional investors, both of which substantially increased the number of shares outstanding. If today's programs disappoint, a similar path - new financing or another merger - would likely again substantially increase the share count and dilute today's shareholders' claim on the company's cash. The bear case assumes spending continues at a fast pace across all three programs, one or more of the upcoming study results disappoints, and the company is forced into a heavily dilutive financing or another reverse merger, leaving current shareholders with only a small fraction of today's cash pile. The base case assumes spending continues roughly as guided but somewhat less aggressively, with a future financing still likely needed and still diluting current shareholders, though less severely. The bull case assumes management manages its cash more efficiently than the recent trend, preserving more of today's resources; it does not assume any of the three drugs succeeds, since none has yet shown it works in patients. On this basis we estimate the shares are worth on the order of $0.50 in the bear case, $1.30 in the base case and $2.40 in the bull case - all well below the company's current cash per share, because that cash is being spent on unproven research rather than held for shareholders. Given how much of the outcome depends on clinical results that do not yet exist, and on financing terms that cannot be predicted, the margin-of-safety price is set with a substantial cushion below even the bear case, at roughly $0.35 per share.

OE = CFO - change in working capital (removed) - SBC - maintenance capex. Fiscal year 2025 (January 1 - December 31, 2025), the first full fiscal year of Jade Biosciences following its 2025 reverse merger with Aerovate Therapeutics (pre-2024 filings under this CIK relate to Aerovate's discontinued pulmonary arterial hypertension program and are excluded as a different business). CFO = $(94.689)M. Changes in operating assets and liabilities per the cash flow statement (prepaid expenses and other current assets $(11.969)M, other assets $(0.038)M, accounts payable $0.361M, accrued expenses and other current liabilities $3.944M, operating lease liabilities $0.040M, related-party accrued expenses and other current liabilities $(0.535)M) sum to $(8.197)M and are removed. SBC = $20.009M. Capex = $0.196M; the company has no product revenue, so growth capex = $0 and maintenance capex = the full $0.196M. OE = $(94.689)M - $(8.197)M - $20.009M - $0.196M = $(106.697)M. Diluted weighted-average shares = 31,359,958. OE/sh = $(106.697)M / 31,359,958 = $(3.40). Reconciliation check: net loss $(127.410)M + non-cash add-backs (change in fair value of convertible notes payable $21.584M, SBC $20.009M, non-cash lease expense $0.083M, depreciation $0.026M, accretion/amortization on investments $(0.784)M) = $(86.492)M, which matches CFO before working-capital changes [CFO $(94.689)M - working-capital effect $(8.197)M = $(86.492)M] exactly; check passes. No revenue has been generated to date. Source: FY2025 Form 10-K (filed 2026-03-06), accession 0001193125-26-096550.
2024 -$10.90 ▼
OE = CFO - change in working capital (removed) - SBC - maintenance capex. Period is June 18, 2024 (inception of Jade Biosciences, the entity that survived the 2025 reverse merger with Aerovate Therapeutics) through December 31, 2024. Periods before this date, filed earlier under this same CIK, belong to Aerovate's discontinued pulmonary arterial hypertension program and are a different business; they are excluded from this series. CFO = $(22.614)M. Changes in operating assets and liabilities per the cash flow statement (prepaid expenses and other current assets $(0.265)M, other assets $(0.040)M, accounts payable $1.290M, accrued expenses and other current liabilities $3.980M, operating lease liabilities $0.040M, related-party accrued expenses $5.504M) sum to $10.509M and are removed. SBC = $1.256M. No capex was reported for this period, so maintenance capex = $0. OE = $(22.614)M - $10.509M - $1.256M - $0M = $(34.379)M. Weighted-average diluted shares for the period were 3,155,500 (the pre-merger Jade Biosciences share count, before the 2025 reverse-merger recapitalization that later increased shares outstanding roughly twenty-fold). OE/sh = $(34.379)M / 3,155,500 = $(10.90). Reconciliation check: net loss $(46.979)M + non-cash add-backs (change in fair value of convertible notes payable $12.600M, SBC $1.256M) = $(33.123)M, which matches CFO before working-capital changes [CFO $(22.614)M - working-capital effect $10.509M = $(33.123)M] exactly; check passes. Caveat: this per-share figure is not comparable to later periods because of the share-count discontinuity caused by the reverse-merger recapitalization; the FY2025 figure is the more representative data point. No revenue was generated in this period. Source: FY2025 Form 10-K (filed 2026-03-06), accession 0001193125-26-096550.
