Business condition attached to the margin of safety Owner earnings turn durably positive: at least two consecutive years in which operating cash flow after all equipment, software and customer-contract capital spending, and after stock compensation, is above roughly $0.50 per share, showing the 2025 spending surge on Gaming terminals is earning its keep.
Inspired Entertainment supplies gaming technology and content to regulated operators. Its four segments are Gaming (leased terminals and games in UK betting shops and arcades, Italy and Greece, typically on contracts of around three years), Virtual Sports (computer-generated sports betting content), Interactive (online casino games) and Leisure (UK pubs, bingo and arcade machines). In November 2025 it sold its UK holiday parks business and certain leisure assets. 2025 revenue was $304.1 million and the company reports $111.4 million of adjusted EBITDA. Why the shares appear worth roughly nothing on our measure: we count what the business actually leaves for shareholders after paying interest, all working-capital swings, stock compensation and every form of reinvestment (terminals, capitalized software and up-front customer-contract payments). On that basis owner earnings per share were about $(0.70) in 2019, $0.52 in 2020, $(0.16) in 2021, $1.03 in 2022, $(0.12) in 2023, $(0.02) in 2024 and $(0.44) in 2025. We measure from 2022, after the NTG acquisition and the COVID reopening; the median is about $(0.07) a share. Depreciation and amortization of about $57 million is almost exactly matched by $58.6 million of 2025 reinvestment, and interest cost was $37.3 million on roughly $365 million of borrowings (a new $270 million notes issue due 2030 plus other debt), so almost nothing is left over. The 2024 net income of $64.8 million was flattered by a $69 million non-cash tax benefit and is not a guide to cash earnings. Growth check: 2025 owner earnings fell versus 2024, and we assume no year-1 growth. Base case: $0 a share. No growth is credited. The Interactive segment grew 49% to $58.6 million revenue, but that is a market and share gain not yet proven through a downturn, so it is left out. Against it, Virtual Sports revenue fell from $45.4 million to $36.6 million on regulatory and tax developments in Brazil, and Gaming capital spending jumped from $9.4 million to $29.2 million in 2025. With owner earnings near zero, no named driver produces value for shareholders. Bear case: about $(2.00) a share. Owner earnings stay near the 2025 level of roughly $(0.40) a share for about five years while the $270 million notes come due in 2030 with nothing left to repay them; in that path the company owes more than it is worth, by roughly $2 a share. Virtual Sports erosion from Brazil and a UK Gaming contract needing another round of up-front capital are named risks. Bull case: about $8 a share. Owner earnings return to about $0.78 a share, the average of the two positive years the business has actually delivered (2020 and 2022), for ten years, if Gaming's 2025 capital surge earns its returns (Gaming adjusted EBITDA rose from $45.3 million to $55.0 million) and Interactive's higher-margin revenue holds. No further growth is assumed. What could prove this wrong: if 2025's heavy Gaming spending proves to be a one-time build that falls back toward 2021-2022 levels, owner earnings could sit well above our base. Some figures moved with reclassifications: from 2024 the company shows customer-contract payments under investing rather than operating cash flow, and we adjusted earlier years for consistency. A 10-K/A was filed in May 2026, and the filings mention costs of a restatement of prior financial statements; we relied on the latest figures.
