Business condition attached to the margin of safety Full-year 2026 owner earnings (operating cash flow less working-capital inflows, stock compensation and maintenance capex) clearly positive, at roughly 2% of revenue or better (about $1.50 per share), with stock compensation still falling as a share of revenue.
HubSpot sells subscription CRM software (Marketing, Sales, Service, Content, Operations and Commerce 'Hubs', plus its Customer Platform) mainly to small and mid-sized businesses. At the end of 2025 it had 288,706 customers (up from 247,939), average revenue per customer of about $11,400 (flat for three years) and net revenue retention of 103.5%. Revenue was $3.13 billion in 2025, up 19%, and grew about 21% in the first half of 2026. How we measure earnings. We start with operating cash flow, then remove the cash boost from timing items (mostly customers paying annual plans up front and accrued expenses), subtract stock-based compensation as the real cost it is (about $528 million in 2025), and subtract the part of spending on equipment and capitalized software needed just to stand still. On that basis HubSpot has never had positive owner earnings in the ten years we can measure: about -$1.46 per share in 2016, -$2.74 in 2023, -$1.21 in 2024 and -$0.30 in 2025. It is improving fast, but the honest starting point is roughly break-even, not the profits the accounting income statement suggests. Adding back amortization of acquired intangibles is small here (about $12 million a year) and did not need special treatment. The 2023 restructuring (about 7% of staff, office closures and a $46.8 million impairment) is treated as a one-off, and 2023 is excluded from the level we use. What changed recently. Stock compensation fell from about 20% of revenue in 2023 to about 17% in 2025 and to about 14% in the first half of 2026 (it fell in absolute dollars, $244 million versus $258 million a year earlier), while operating cash flow rose about 29% to $422 million in the first half and net income turned solidly positive in both 2026 quarters. Before working-capital effects, operating cash flow less stock compensation and capital spending was about +$68 million in the first half of 2026 versus about -$27 million a year earlier. Two quarters of this is enough for us to lift the starting level modestly, but not to project it climbing further. Last year's owner earnings improved by about $47 million (from -$62.6 million to -$15.9 million); our base case assumes a jump to roughly +$75 million in 2026, larger than last year's improvement, because of the first-half 2026 figures above. This is the main judgement in the valuation. Base case (about $45 per share). Revenue keeps growing from the existing customer base and a decade-long record of adding customers, at 18% in 2026 and fading to 4% by 2035 (customer additions of 16% in 2025 are the proven repeatable engine; we credit less than the recent pace and taper it). Owner earnings settle at 2% of revenue and stay there: we do not credit any further margin gains. After 2035 we assume owner earnings simply continue flat, because switching costs in a CRM that companies build their sales and marketing processes on, plus net retention above 100%, are the demonstrated reasons the earnings do not decay; we assume no growth beyond that. Discounted at 6%. Bear case ($0). Margin never gets above breakeven. What we can name: average revenue per customer has been flat for three years, net retention is only 102% to 104%, and capitalized software spending rose 46% in 2025 (to $131 million) and is still rising in 2026. On that evidence, a business that earns nothing after paying employees in stock and keeping its software current is worth nothing on our method. We do not show a negative value: HubSpot has no debt (it repaid its remaining convertible notes in 2025) and holds hundreds of millions of dollars in cash, which we do not add to value. Bull case (about $209 per share). Stock compensation continues shrinking as a share of revenue at the pace of the last three years, lifting owner earnings to 8% of revenue by 2029, with revenue growth of 20% fading to 6% by 2035, and earnings continuing flat afterward. This uses only the company's own demonstrated levers (customer growth, falling stock-compensation intensity), not any market recovery or new product bet. What we left out. New AI products, price increases, international expansion and margin gains beyond the cases above are not credited because they have not yet shown up in the cash numbers. We also did not credit cash and investments on the balance sheet (about $882 million of cash at the end of 2025 plus investments), which would add value on top of these figures if one prefers to count them; the valuation is on the operating business alone. What would make this wrong. The value is highly sensitive to the margin: the base case at breakeven is worth about $0, and at 8% is about $170 more. If stock compensation reverses upward or customer growth slows sharply, the base case is too high; if stock compensation keeps falling at the recent pace, it is too low. First-half 2026 numbers come from the company's quarterly filing data and have not been checked against a full document. The margin-of-safety price of $22 reflects a wide margin because the bear case is worthless and most of the value depends on a margin that is only two quarters into improving.
