Vyome Holdings is a clinical-stage specialty pharmaceutical company based in Cambridge, Massachusetts, Princeton, New Jersey and New Delhi, India. It became a public company on August 15, 2025 through a reverse merger with ReShape Lifesciences, which sold substantially all of its own assets and operations just before the deal. ReShape's earlier financial history therefore describes a different business and plays no part in this valuation; only Vyome's own results for 2024 onward are used. The business today has two parts. The first is a development pipeline with no approved products: VT-1953, a topical gel for malignant fungating wounds (an orphan drug application was filed in January 2026, the FDA gave written pre-IND feedback in the second quarter of 2026, and the company plans a further FDA meeting before any pivotal trial); VB-1953, an acne treatment that has completed Phase II; VT-1908, eye drops for uveitis at the pre-IND stage; and a JAK inhibitor in-licensed from Impetis Biosciences in May 2026 for a 1.5% royalty on any future sales. The second is a small legacy business in India, where anti-fungal products (a dandruff lotion and shampoo, and a luliconazole cream) are sold through Sun Pharma, with Vyome earning royalties and service fees. That business brought in $319,714 of revenue in 2025 and earned about $79,000 for the segment. One of the Sun Pharma supply agreements ended in December 2024, and revenue fell to $58,546 in the first half of 2026 from $248,535 a year earlier. Cash generated for owners was negative in both 2024 and 2025. In 2025 the company used $3.7 million of cash in operations and, after deducting share-based costs, the owner-level loss was about $10.4 million. Most of the gap was a one-time $6.0 million of stock issued to merger advisors, part of $7.7 million of merger fees; setting that aside, the underlying loss was about $4.4 million. In the first half of 2026 the net loss was $1.7 million, a pace of roughly $3.4 million a year, and the company raised $5.3 million by selling about 1.09 million new shares into the market. At June 30, 2026 it held $7.9 million of cash against $1.9 million of liabilities and no debt, leaving about $6.3 million of net current assets. Management states that this funds operations for at least 12 months. Because none of the drug candidates is approved, licensed for cash, or backed by a signed partner, we give the pipeline no value in any case. A successful pivotal trial or a licensing deal would add value, but neither exists today. The value per share therefore comes down to how much of today's cash is still left for current owners once spending decisions are made. The per-share figures spread value over about 8.5 million shares: 7.02 million shares outstanding plus about 1.48 million shares owed to minority holders of the company's US and Indian subsidiaries under put/call agreements from the merger. About 1.8 million stock options are not counted. Bear case, $0.00 per share: spending continues at the current pace or faster as the company prepares a pivotal trial, the remaining net current assets are fully used up within about two years, India tax credits of roughly $0.6 million are not recovered, and the Sun Pharma royalties keep shrinking. A further drain is possible from a related-party venture: a newly formed subsidiary agreed in February 2026 to acquire a secured note that would give it the assets of Humanyze, an AI company; the seller of the note is also a Vyome investor, and one of its principals is connected to Humanyze and sits on Vyome's board. The subsidiary plans to hire staff and raise money for Humanyze, and the deal had not closed as of August 2026. Nothing is left for current owners in this case, though with no debt the value does not fall below zero. Base case, $0.39 per share: current owners fund about 12 more months of spending at roughly $3.4 million a year, which matches the funding horizon management describes and covers the planned FDA meeting and pivotal-trial preparation. Any later trial is paid for by a partner or new investors on fair terms, which neither adds to nor takes from today's owners. Half of the India tax credits are recovered. Bull case, $0.65 per share: the company follows the licensing approach it has already used twice with Sun Pharma and licenses a lead program to a partner who pays for its development, so current owners fund only about six months of spending at the second-quarter 2026 pace of roughly $2.8 million a year, and the India tax credits are recovered in full. No value is given for milestones or royalties from such a deal. The main risks to these figures are that the company keeps selling shares and spending cash on programs that do not pay off, and that the Humanyze venture uses company money. The main upside we leave out is any value for VB-1953, VT-1953 or the other candidates, which would only count once there is a signed partner or an approval. Because the bear case is zero and results depend on clinical and financing decisions that are not yet made, the margin-of-safety price sits at a very large discount to the base case.

OE = CFO - dWC - SBC - maintenance capex. Vyome Therapeutics pre-merger figures as restated in the FY2025 10-K (supersedes ReShape's FY2024 10-K, a different business). CFO=$(614,136); dWC=+$390,388 (prepaids +64,463; other assets +78,742; AP/accrued -58,861; due to affiliates +95,972; post-employment +197,935; other liabilities +12,137); SBC=$0; capex=$0; OE=$(1,004,524). Reconciliation: NI $(1,447,461) + D&A 17,347 + FV loss 238,931 + non-cash interest 186,659 = $(1,004,524), exact match. Diluted shares=241 as filed (pre-merger VTI common only; most equity was preferred), so OE/sh=$(4,168.15) is not comparable to post-merger per-share figures.
