Grid Dynamics is a digital engineering and IT services firm. It builds and modernizes software, data and AI systems for large clients, mainly in retail, consumer goods, finance, technology and healthcare, using engineers based largely in Eastern Europe, Latin America and India. Revenue was $411.8 million in 2025 (up 17%, after $350.6 million in 2024 and $312.9 million in 2023). North America is about 70% of sales. The first half of 2026 grew only about 5%. The largest customer is about 15% of revenue and the ten largest are about 58%. How we measure earnings: we start with operating cash flow, remove swings in working capital, then deduct stock-based compensation as a real cost and deduct only the capital spending needed to keep the business running. On that basis, per-share earnings were roughly $(0.36) in 2020, $(0.02) in 2021, $(0.38) in 2022, $(0.06) in 2023, $0.09 in 2024 and $0.16 in 2025. Losses in 2020 to 2022 reflect very heavy stock compensation ($20 million to $61 million a year) following the 2020 merger that made the company public. The company is only modestly profitable on this basis, and the cash it generates is mostly paid out as stock to employees. Plainly, if working-capital swings are not removed, 2025 cash flow of $40.6 million less $30.3 million of stock compensation and $15.3 million of capital spending is slightly negative. Receivables have grown by about $10 million a year as the company has expanded, so that cash is genuinely tied up, and we reflect this by crediting no future growth. What we used as normal: the average of 2024 and 2025, about $0.12 per share. Earlier years are excluded because stock compensation was inflated by post-merger awards. Stock compensation has fallen every year since 2022 ($61.0 million, $35.5 million, $34.2 million, $30.3 million) and the first half of 2026 ran at $12.9 million versus $17.5 million a year earlier, which supports the higher level. In the most recent full year earnings per share rose from $0.09 to $0.16; we assume no growth from year 1, which is below that trailing rate, because no signed backlog or contract is disclosed that would carry growth forward, and first-half 2026 operating cash flow fell to $14.5 million from $23.7 million. Base case, about $1.13 per share: earnings stay at about $0.12 per share for ten years, then fade to zero over the following ten years as the client relationships and skills that produce them age with nothing named to replace them. We credit no revenue growth: growth in this industry depends on client budgets and new engagements, not on anything contracted. Bear case, about $0.17 per share: the largest customer (about $64 million of 2025 revenue) is lost or cut sharply and the fixed cost base of stock compensation and delivery centres is not reduced in time, so earnings drop to about $0.03 per share for five years and then fade. The company's engineers are concentrated in Ukraine, Poland, Serbia and other countries, and the filing states that the war in Ukraine has continued to worsen and could disrupt delivery. This case is not far above the 2023 experience, when earnings were negative. Bull case, about $1.88 per share: stock compensation continues at the first-half 2026 pace of roughly $26 million a year, lifting earnings to about $0.20 per share (2025 earnings were already $0.16), held for ten years and then fading over ten years. We include no revenue growth, new products or acquisitions since none is secured. Accounting notes: amortization of acquired intangibles and non-cash lease and bad-debt charges are added back through the cash-flow starting point; depreciation is small. The cash balance is not added separately because earnings already include interest income. What would make this wrong: a sustained revenue rebound with lower stock compensation would raise value materially, while continued receivable build-up or loss of a top customer would lower it.
