FVCBankcorp is the holding company for FVCbank, a commercial bank serving small and mid-sized businesses, professionals, non-profits and investors in the Washington, D.C. area, with branches in Northern Virginia, Washington, D.C., Montgomery County and Baltimore, Maryland. It lends against commercial real estate and to businesses, including government contractors, and funds itself mainly with deposits. It also provides banking services to state-licensed cannabis businesses in Virginia, Maryland and the District of Columbia. It provides banking services only and does not sell cannabis, but that customer group carries regulatory risk. How we measured earnings. We start from cash generated by operations, remove swings in working capital (accrued interest and other assets and liabilities), and subtract stock compensation and spending on premises and equipment (only $47 thousand in 2025, so the split between growth and maintenance spending makes no material difference). Owner earnings per diluted share, adjusted for the company's 5-for-4 stock split, were about $0.66 (2017), $0.81 (2018), $1.01 (2019), $1.00 (2020), $0.82 (2021), $1.38 (2022), $1.06 (2023), $0.80 (2024) and $1.21 (2025). Reported 2023 net income of $3.8 million was depressed by a $15.6 million loss on sales of securities; that loss is a non-cash adjustment in operating cash flow, so it does not reduce our owner earnings figure for that year. Anchor. We use the median of 2021 through 2025, or $1.06 per share. That window reflects the bank at its current size and covers both the zero-interest-rate conditions of 2021 and the higher-rate years since. We did not use 2025's $1.21 as the level, because one strong year does not move the anchor. Owner earnings rose about 52% in 2025 (from $0.80 to $1.21), but the five-year record has moved between roughly $0.80 and $1.38 without a clear trend, so the base case does not extend that jump. Year 1 of the base case assumes 2% growth, below the 52% just reported. Base case, about $20.60 per share. Owner earnings start at $1.06 and grow 2% a year for ten years, reaching about $1.29, then stay flat at that level. The 2% sits below the roughly 3% annual growth in per-share owner earnings between 2019 and 2025. It rests on the bank keeping most of its profits: 2025 net income was $22.1 million, of which about $2.2 million went to the first dividends (paid from the third quarter of 2025) and $6.7 million to share repurchases, and equity rose from $235.4 million to $253.6 million. We left out growth from a stronger economy, new branches or falling rates because none is secured. We credit no growth beyond year 10. Bear case, about $12.00 per share. Commercial real estate loans equal 313% of the bank's risk-based capital, and the bank lends to government contractors, whose customers can be hurt by federal spending cuts (both are disclosed in the annual report). In the bear case, credit losses cut owner earnings to $0.55 a share for three years (the bank's pandemic-year 2020 provision for credit losses was $5.0 million, and this case assumes several times that), after which earnings settle at $0.75 a share, below the $0.80 to $0.82 lows of 2021 and 2024, with no growth thereafter. Bull case, about $25.60 per share. Owner earnings hold at the 2025 level of $1.21, which the bank has just achieved, and grow 3% a year for ten years (its 2019 to 2025 pace), reaching about $1.63, then stay flat. The bull case takes no credit for acquisitions or new lines of business. What would make this wrong. Rising credit losses in commercial real estate or among government contractors, or the loss of the cannabis-related banking business, would push results toward the bear case. Conversely, sustained owner earnings above $1.20 per share for two or three more years would justify a higher anchor. We make no deduction for debt: owner earnings are already after interest paid. The margin-of-safety price is about $11.50 per share, slightly below the bear-case value, given the commercial real estate concentration and the bank's modest size (equity of about $254 million).
