Fathom Holdings Inc. (FTHM) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.00 ComplexityAverage Updated
Fathom Holdings is a residential real estate brokerage that reports three segments: real estate brokerage, mortgage and title. It operates in 43 U.S. states plus the District of Columbia. Revenue was $420.5 million in 2025, up from $335.2 million in 2024, but the company has not produced positive owner earnings in any year we can measure. We value each case at $0.00 per share. How we measured earnings. We start from cash generated by operations, then remove the timing swings that come from the mortgage business (loans are funded with warehouse borrowing, so the cash gap between originating and selling loans is not earnings), and then subtract stock compensation and the capital the business must keep spending on software and equipment. Amortization of acquired intangibles is added back as a sunk cost. On that basis owner earnings were a loss of $0.10 per share in 2020, $1.09 in 2021, $1.59 in 2022, $1.22 in 2023, $1.16 in 2024 and $0.57 in 2025. We measure the business from 2021, when its mortgage lending business began to carry loan inventory and acquisitions expanded the company; the median loss for 2021 to 2025 is about $1.16 per share. Stock compensation ($3.7 million in 2025, $8.8 million in 2024, $13.0 million in 2023) is treated as a real cost. Growth and trend. The loss narrowed by about $0.59 per share in 2025 (from $1.16 to $0.57). We assume no further improvement in the first year, so the base case starts at the 2025 loss rate of roughly $16 million a year, and we do not credit any turnaround that has not yet happened. Base case, $0.00. At the 2025 pace, losses cannot be discounted into a positive value. Year-end 2025 cash was $5.8 million, $5.0 million of convertible notes come due on October 1, 2026, and the company has paid for its losses by issuing shares: weighted diluted shares grew from 11.4 million in 2020 to 28.2 million in 2025 and 33.4 million in the second quarter of 2026. This case is shown at zero rather than a negative number. Bear case, $0.00. Losses continue and further financing arrives on worse terms, diluting existing holders again. Bull case, $0.00. Actions already put in place could narrow the loss: a $250 fee on Fathom Realty transactions, higher monthly fees for MHG agents, and expense reductions carried out during 2025. But we cannot point to any year in which the business earned a surplus, and the filings do not quantify those actions enough to show one, so nothing is credited. Management's goal of positive Adjusted EBITDA in 2026 is a target on a measure that excludes stock compensation, so we do not count it. What we checked. Reported cash used in operations was $4.6 million in the first half of 2026 against $11.7 million in the first half of 2025, an improvement, but the first-half 2026 net loss was $14.4 million against $9.2 million, and the cash figure still includes mortgage timing effects. That is mixed evidence and would need several more quarters of improvement before we changed the earnings level. What would make this wrong: two or three consecutive years of positive cash generation after stock compensation and capital spending. Until then there is no earnings power we can name and evidence, so no margin-of-safety price can be set.
