Business condition attached to the margin of safety Full-year 2026 cash from operations again exceeds spending on maintaining the plants and refrigerators, confirming that 2025's first positive owner earnings were not a one-off.
Freshpet makes refrigerated fresh pet food for dogs and cats, sold from company-owned Freshpet Fridges in grocery, mass, club and pet specialty stores across the United States, with smaller sales in Canada and Europe. Its biggest customers are Walmart (25% of 2025 net sales) and Costco (10%). Net sales reached $1.10 billion in 2025, up 13%, and rose another 14% in the first half of 2026 to $603 million. The key point is that Freshpet has spent nearly everything it earned, and much more, building kitchens. Capital spending was $322 million in 2021, $230 million in 2022, $239 million in 2023, $187 million in 2024 and $148 million in 2025, with about $150 million planned for 2026, mostly to finish Phases 2 and 3 of the Ennis, Texas kitchen. Because of that, our owner-earnings measure (operating cash flow, less working-capital swings, less stock compensation, less the portion of capital spending needed just to stand still) was negative every year from 2019 through 2024. 2025 is the first positive year at $65.7 million, or about $1.17 per share. We do not treat 2025's reported net income of $139 million as earnings power, because $68.8 million of it was a one-time non-cash tax benefit. We take about $50 million a year as the starting level. That is 2025's figure with stock compensation restored to the roughly $30 million a year run-rate (2025's $13.9 million was held down by a reversal of performance-award expense; the first halves of 2025 and 2026 each ran about $15 million). Only one year exists on the current business, so this is a judgement, and it is not a median of several years. To split capital spending, we treated 28.9% of each year's sales increase as growth spending (the average of capex to sales over 2016-2025) and counted the rest as maintenance; that is a generous assumption and the largest single uncertainty in the level. Our own cross-check of profit plus non-cash charges against operating cash flow left roughly a $16 million gap in 2025 that we could not fully tie to the filing. What we credit in the base case: owner earnings rise to about $70 million in 2026, because the first half of 2026 already showed operating cash flow of $84.8 million against $38.7 million a year earlier with capital spending flat at about $57 million a half. The trailing actual change (2024 to 2025) was from roughly negative $0.24 to $1.17 per share, so year 1 sits below where a rate on that swing would put it. We then credit modest growth of 8%, 6%, 4% and 2% over the next four years, since the Ennis lines are built or under construction and sales are already growing in the mid-teens, and hold owner earnings flat at about $85 million until year 20, then stop. What we left out: market expansion, share gains, new products, profit-margin expansion and any Ennis capacity beyond what is being built, none of which is contracted or yet demonstrated on the company's own cash. Base value is about $17 per share. Bear case (about $5): owner earnings stay near $40 million with no growth for ten years, then end. Named pressures: heavy dependence on Walmart and Costco, a single pet distributor's liquidation in 2025 that forced a receivable write-off, tariffs cited in the filing, and $402.5 million of 3.0% convertible notes due April 1, 2028 that will require refinancing or conversion. Full-year cash taxes are also expected to rise as the company's tax losses are used, though the filing does not quantify this. Bull case (about $26): Ennis Phases 2 and 3 come online on schedule and owner earnings start near $90 million, growing 15%, 12%, 10%, 8% and 6% over five years to about $138 million, then flat to year 20. The share count used, about 56 million, already includes shares from the convertible notes, so no debt is subtracted separately. What would make this wrong: a sales slowdown after the plants are finished would leave a heavy fixed-cost base; alternatively, if maintenance capital needs are much lower than our formula assumes, true owner earnings and value are higher. Cash flow for the second half of 2026 will help settle this.
