Business condition attached to the margin of safety Filings show total debt declining from about $675 million (July 3, 2026) through scheduled term-loan repayments funded by operating cash, with no further loosening of the leverage covenant and no share issuance to reduce debt.
Fox Factory designs and makes premium suspension and related performance products in three segments of roughly equal size. Powered Vehicles ($488 million of 2025 sales) sells FOX suspension products to vehicle makers such as BRP, Ford, Polaris, Toyota, Kawasaki and Yamaha for trucks, side-by-sides, ATVs, snowmobiles and motorcycles. Aftermarket Applications ($470 million) sells aftermarket vehicle products under brands including BDS Suspension, Zone Offroad, Ridetech, Tuscany, SCA and Custom Wheel House. Specialty Sports ($509 million) sells FOX, Marzocchi, Race Face and Easton Cycling bike components and, since the November 2023 purchase of Marucci for about $567 million, Marucci, Victus, Lizard Skins and Baum Bat baseball and softball gear. About 76% of sales are booked in North America, and the ten largest customers took about 35% of 2025 sales. How we measure earnings. We start from operating cash flow, remove swings in working capital, subtract stock compensation as a real cost, and subtract the capital spending needed to maintain the business (spending that went into growth is excluded). On that basis the company earned $0.82 to $1.52 per share each year from 2016 to 2020, then $3.71, $4.99 and $3.41 from 2021 to 2023 during the pandemic-era surge in bike and outdoor demand, then $0.88 in 2024 and $1.35 in 2025. The 2025 reported net loss of about $545 million came mostly from $557 million of non-cash goodwill write-downs. The company tied the first write-down to new U.S. tariff policies and a sustained fall in its share price, and after the second one only the Specialty Sports unit still carries goodwill. Those write-downs and about $42 million a year of amortization on acquired intangibles are added back because they do not use cash. The decay in acquired customer relationships is handled by crediting no growth, not by lowering the starting level. The balance sheet changed with the Marucci deal. Borrowings were $200 million at the end of 2022, when interest expense was $9 million. At July 3, 2026 the company owed about $512 million on a term loan and $163 million on its revolving credit line, and interest expense was $54 million in 2025. Both facilities were refinanced in October 2025 and now mature in October 2030, with the term loan repaid at $6.7 million a quarter. In May 2026 the company amended its credit agreement to raise its maximum permitted net leverage ratio to 5.0 times, up from 4.5 times. Our earnings figures are already after interest, so we do not subtract the debt again, but it widens the downside. Starting level. We use $1.40 per share. That is about the median of the last ten years ($1.42), a period covering both the boom and the bust. It is also close to what the business as it now stands has actually earned: $1.35 in 2025, when interest costs from the Marucci debt were already in place. The first half of 2026 supports it. Sales were $727 million against $730 million a year earlier, and cash earnings on our basis were about $33 million against about $27 million, helped by cost savings the company says it has already captured. Earnings rose about 54% in 2025, off a weak 2024. Our base case assumes about 4% for the coming year and nothing after that, because no growth driver is secured. Past growth came largely from acquisitions, and the largest of those led to the 2025 write-downs, so we do not treat buying companies as a repeatable source of value. Base case, $19.27 per share: owner earnings hold at $1.40 per share with no growth for 30 years and then stop. Three things support that life. The FOX brand is sold to major vehicle makers. Research and development spending has risen each year, to $53 million in 2023, $60 million in 2024 and $69 million in 2025. The product lines are spread across powersports, trucks, bikes and baseball. Holding earnings flat in dollars means they shrink after inflation, which accounts for the acquired intangibles that wear out. Bear case, $8.79 per share: earnings drop back to the 2024 level of $0.88 for five years. The pressures behind that are already disclosed: U.S. steel and aluminum tariffs raised to 50% in 2025, Specialty Sports sales down 9.4% in the second quarter of 2026 because of customer order timing and inventory cuts in the sales channel, and Ford F-150 chassis shortages after 2025 fires at an aluminum plant. Earnings then fall to $0.70 as the debt is refinanced in 2030 on worse terms, and the case ends after 20 years. The loosened covenant and the history of write-offs, including the loss on selling the Phoenix aftermarket operation in early 2026, are why this case is shorter and lower. Bull case, $26.29 per share: the cost program and the recovery of chassis supply bring earnings back to the margin the company earned before the pandemic. From 2016 to 2020, owner earnings were typically about 7.7% of sales. At 2025 sales, after the higher interest bill, that works out to about $1.95 per share. Earnings reach $1.55 in year one, $1.75 in year two and $1.95 from year three, held flat to year 30. Powersports sales rose 22.5% in the second quarter of 2026. We did not include a broader bike recovery or any gain in market share, because neither is secured. All values use a 6% discount rate. Accounting notes: the 2025 cash flow includes about $4 million of proceeds from settling interest-rate swaps, which may not continue. Our first-half 2026 estimate leaves out an income-tax working-capital line that was not available. What would make this wrong: another large acquisition write-off, a covenant breach or share issuance to cut debt, or tariff costs that cannot be passed on to customers. On the other side, cutting the debt faster would lift every case. Given the cyclical end markets, the debt and the record of costly acquisitions, the margin-of-safety price is set with a wide margin of safety, around $10 per share, and applies only once the filings show debt coming down without further lender relief.
