Business condition attached to the margin of safety The company's $220.2 million of bank borrowings (due December 31, 2027) are refinanced or extended well beyond 2027 without heavy dilution to shareholders, and full-year owner earnings turn positive.
Funko designs and sells licensed pop-culture collectibles, led by its Pop! vinyl figures (Core Collectible brands were $723.3 million of 2025 sales) and Loungefly bags and accessories ($155.0 million). A majority of sales come from products based on characters licensed from others, and the ten largest wholesale customers were about 31% of sales in both 2024 and 2025. Sales fell 13.5% in 2025 to $908.2 million, from $1,049.9 million in 2024 and a peak of $1,322.7 million in 2022. Management attributes the 2025 drop to tariff disruption, retailers cutting inventory and general economic uncertainty. Gross margin slipped from 41.4% to 38.7%, and the company swung from a small 2024 loss to a $68.3 million net loss. How we measured earnings: we start from cash generated by operations, remove swings in inventory, receivables and payables, deduct stock compensation as a real cost, and deduct the part of capital spending needed just to maintain the business. Per share, using all Class A and Class B shares (Class B holders own operating-company units that can be redeemed for Class A shares), this gives roughly $0.35 in 2017, $1.11 in 2018, $0.69 in 2019, $0.90 in 2020, $1.93 in 2021, -$0.32 in 2022, -$2.15 in 2023, $0.34 in 2024 and -$0.80 in 2025. The 2021 and 2022 inventory build and the 2023 to 2025 inventory reduction would otherwise have distorted individual years, which is why working-capital swings are stripped out. The benchmark is the median of all nine years, $0.35 per share (about $19 million a year). We use the full nine years because it spans the 2020 disruption, the 2021 to 2022 boom and the 2023 to 2025 glut and tariff period, so no single stretch dominates. Growth path check: owner earnings per share fell from $0.34 in 2024 to -$0.80 in 2025, so the latest full-year trend is down. The base case nonetheless starts at the $0.35 benchmark, a return to a level the business has already reached rather than growth. Our reason is dated and in the company's own quarterly filing for the period ended June 30, 2026: first-half 2026 sales were $408.6 million versus $384.2 million a year earlier (up about 6%, with the second quarter up about 7% at $207.7 million), operating cash flow was positive $23.6 million versus negative $44.4 million, and the net loss narrowed to $2.7 million from $68.1 million. Two quarters of improvement support returning to the benchmark; they do not support going above it. Management's raised profit outlook was not used, since it is stated on a basis that adds back items we treat as real costs. Base case, about $3.30 per share: owner earnings hold at about $0.35 per share for ten years, and we then credit half that amount for a further ten years, because the brand, license portfolio and retailer relationships have kept producing cash in six of the last nine years. Beyond that, nothing specific supports continued earnings, so we assume none. We credit no growth: expansion in Europe (sales up 1.6% to $288.3 million in 2025), price increases and new products are not yet shown to lift earnings above the benchmark. Bear case, $0.00 per share: earnings stay at zero for good. Three of the last four years had negative owner earnings, revenue is falling, and the company carries $220.2 million of borrowings (a $95.2 million term loan and the full $125.0 million revolver) that come due on December 31, 2027 after a February 2026 amendment extended the original September 2026 maturity. Lenders waived several financial tests in the amendment and raised the interest margin to 4.5% over the benchmark rate, and required quarterly principal payments of about $4.5 million. If earnings do not recover and the loans cannot be refinanced on acceptable terms, existing shareholders would be left with nothing or heavily diluted. We do not assign a value below zero: we cannot show that debts exceed what the business is worth. Bull case, about $8.50 per share: owner earnings return to about $0.90 per share, the level of 2020, and hold for ten years, followed by half that level for ten more. Evidence that this is possible: 2018 through 2021 produced between $0.69 and $1.93 per share, selling, general and administrative costs fell 5.9% in 2025, and 2025 price increases have started to work through. Selling prices and cost cuts are a named lever; a rebound in collectible demand is not assumed. Weighing the cases: the shares appear to be worth roughly $3.30, with a range from nothing to about $8.50. A wide gap between cases, a heavily indebted balance sheet and demand tied to fast-changing pop-culture trends call for a large safety margin, so the margin-of-safety price is about $1.25, and it applies only once the debt is no longer a threat. What would make this estimate wrong: if the second half of 2026 shows sales and cash flow slipping back to 2025 levels, the benchmark is too high. If the company refinances well beyond 2027 and margins return to 2019 to 2021 levels, the estimate is too low. Points we could not fully reconcile: for fiscal years 2020 to 2022, the working-capital effect is inferred from the difference between reported operating cash flow and the other reported items, and 2020 cash from operations was later restated upward by $1.5 million, which we used.
